The stock ticker \"DWAC\" trended on Twitter following the announcement.</p>\n<p>As the news goes viral, here are the answers to burning questions about the art of Trump's latest deal.</p>\n<p><b>So what is a SPAC, again?</b></p>\n<p>SPACs were a nearly dormant financial tool for taking companies public until right around the start of the COVID-19 pandemic, at which point the market became a feeding frenzy for investors, speculators, and retail traders looking to cash in on private companies with big potential for growth.</p>\n<p>A SPAC is just&nbsp;a small public company&nbsp;with a whole lot of cash that has one simple goal: to take a private company public. They are also known as \"blank-check\" companies and the process for a company to go public via SPAC can be easier than the traditional IPO route.</p>\n<p>To form a SPAC, a few people, often former bankers or corporate executives and sometimes celebrities, get together in the hopes of finding a worthwhile private company. First, the SPAC goes public, issuing shares and raising money from investors. SPAC shares are usually sold at $10 apiece - just like in the case of Trump Media's Digital World Acquisition Corp. SPAC, which raised about $283 million in its IPO, according to a filing with regulators.</p>\n<p>That war chest of cash will eventually be used to strike a deal with a target company. Digital World Acquisition found Trump Media &amp; Technology Group.</p>\n<p><b>DWAC stock is up how much?</b></p>\n<p>357% at Thursday's close! Intraday, it was up even more, gaining more than 400% before pulling back.</p>\n<p>We've seen&nbsp;SPAC stocks go wild&nbsp;after announcing the target company - but not this wild. SPAC stocks normally jump after the deal is announced, even though the target company isn't public yet (shareholders still need to give the thumbs up).</p>\n<p>The stock closed Thursday at $45.50, up from $9.96 the previous day. It was the most-traded stock on the market Thursday, with over 470 million shares changing hands.</p>\n<p><b>Who's behind this SPAC?</b></p>\n<p>Patrick Orlando is the SPAC's CEO. He's a former investment banker and has a hefty background in the SPAC business (he's been part of three before this one). The company's chief financial officer is Luis Orleans-Braganza, who currently serves on Brazil's National Congress.</p>\n<p>If you haven't heard of either of them, you may have heard of some of the high flying hedge funds that have invested in the SPAC, like Highbridge Capital Management, Lighthouse Partners, K2 Principal Fund, and Saba Capital Management. They all likely&nbsp;made a killing on&nbsp;Thursday's wild price action.</p>\n<p><b>So what's going on here?</b></p>\n<p>Basically, Orlando incorporated Digital World Acquisition in Miami about a month after Trump lost the election, with the goal of merging with a \"leading emerging growth technology company.\"</p>\n<p>Then today, his SPAC announced it would be taking Trump Media &amp; Technology Group public, on the condition of shareholder approval.</p>\n<p>But unlike in other SPAC mergers where the target company discloses its financial statements or future revenue potential, the Trump Media &amp; Technology Group doesn't have much in the way of financial projections - even though it got a $1.7 billion valuation in the merger.</p>\n<p>The goal of the future company is to \"create a rival to the liberal media consortium and fight back against the 'Big Tech' companies of Silicon Valley, which have used their unilateral power to silence opposing voices in America.\" The first step is launching a new site called Truth Social.</p>\n<p><b>What is Truth Social?</b></p>\n<p>That remains to be seen. The future social media site hasn't actually launched yet, but it has a&nbsp;waitlist. The statement said the eventual site aims to \"stand up to the tyranny of Big Tech.</p>\n<p>Trump has been wanting to get back on social media since being banned from Twitter and Facebook following the January 6 insurrection - and it hasn't been easy. At first, he tried sending tweets from&nbsp;other people's accounts. Then he&nbsp;launched a blog&nbsp;called \"From the Desk of Donald J. Trump\" that flopped.</p>\n<p>\"We live in a world where the Taliban has a huge presence on Twitter, yet your favorite American President has been silenced. This is unacceptable,\" he said. \"I am excited to send out my first TRUTH on TRUTH Social very soon. TMTG was founded with a mission to give a voice to all.\"</p>\n<p>A beta version of the site could launch as soon as November 2021.</p>\n<p><b>Is this thing for real?</b></p>\n<p>Even so, Trump's company going public is all dependent on shareholder approval. According to Julian Klymochko who&nbsp;runs a SPAC-focused exchange-traded fund, he's never seen a SPAC deal get voted down. Shareholders are incentivized to approve it because of assets called warrants that they receive at the beginning of the SPAC. No deal, and those warrants are worthless.</p>\n<p><b>Is this the next meme stock?</b></p>\n<p>If price action is any indication, it might already be a meme. The company's chief financial officer is Luis Orleans-Braganza, who currently serves on Brazil's National Congress.\nIf you haven't heard of either of them, you may have heard of some of the high flying hedge funds that have invested in the SPAC, like Highbridge Capital Management, Lighthouse Partners, K2 Principal Fund, and Saba Capital Management. They all likely made a killing on Thursday's wild price action.\nSo what's going on here?\nBasically, Orlando incorporated Digital World Acquisition in Miami about a month after Trump lost the election, with the goal of merging with a \"leading emerging growth technology company.\"\nThen today, his SPAC announced it would be taking Trump Media & Technology Group public, on the condition of shareholder approval.\nBut unlike in other SPAC mergers where the target company discloses its financial statements or future revenue potential, the Trump Media & Technology Group doesn't have much in the way of financial projections - even though it got a $1.7 billion valuation in the merger.\nThe goal of the future company is to \"create a rival to the liberal media consortium and fight back against the 'Big Tech' companies of Silicon Valley, which have used their unilateral power to silence opposing voices in America.\" The first step is launching a new site called Truth Social.\nWhat is Truth Social?\nThat remains to be seen. The future social media site hasn't actually launched yet, but it has a waitlist. The statement said the eventual site aims to \"stand up to the tyranny of Big Tech.\nTrump has been wanting to get back on social media since being banned from Twitter and Facebook following the January 6 insurrection - and it hasn't been easy. At first, he tried sending tweets from other people's accounts. Then he launched a blog called \"From the Desk of Donald J. Trump\" that flopped.\n\"We live in a world where the Taliban has a huge presence on Twitter, yet your favorite American President has been silenced. This is unacceptable,\" he said. \"I am excited to send out my first TRUTH on TRUTH Social very soon. TMTG was founded with a mission to give a voice to all.\"\nA beta version of the site could launch as soon as November 2021.\nIs this thing for real?\nEven so, Trump's company going public is all dependent on shareholder approval. According to Julian Klymochko who runs a SPAC-focused exchange-traded fund, he's never seen a SPAC deal get voted down. Shareholders are incentivized to approve it because of assets called warrants that they receive at the beginning of the SPAC. No deal, and those warrants are worthless.\nIs this the next meme stock?\nIf price action is any indication, it might already be a meme. Currently, a ranking of the sectors’ recent relative strength lines up fairly close with that pattern.</p>\n<p>This is a big change since mid-May when, as I reported, this leading indicator was not detecting any signs of imminent trouble. The sectors with the best trailing three-month returns at that time were not those that typically lead the market prior to tops, and the sectors with the worst trailing three-month returns were not those that typically lag.</p>\n<p>Now, in contrast, there is a distinct correlation between the sectors’ relative strength ranking and the typical pattern that appeared in past tops.</p>\n<p>According to research conducted by Ned Davis Research, Utilities, Energy and Financials are the S&amp;P 500 sectors that have performed the worst, on average, in the final three months of all bull markets since 1970. As is clear in the chart below, these three sectors now are at or near the bottom in a ranking of trailing three-month returns.</p>\n<p><img src=\"https://static.tigerbbs.com/8465aa12910238871b10168546466b1f\" tg-width=\"2100\" tg-height=\"1272\" width=\"100%\" height=\"auto\"></p>\n<p>In contrast, according to Ned Davis Research, Consumer Staples, Health Care and Consumer Discretionary are the sectors that have performed the best, on average, over the three months prior to past bull market tops. As the chart shows, these three have performed relatively well over the past three months.</p>\n<p>To quantify how much the sector relative strength rankings have shifted in a bearish direction, consider the correlation coefficients that I calculated. This statistic ranges from a high of 1.0 (which would mean that there is a perfect one-to-one correspondence between a ranking of the sectors’ recent returns and the historical pattern) to minus 1.0 (which would mean a perfectly inverse correlation). A coefficient of zero would mean that there is no detectable relationship.</p>\n<p>In mid-May, this coefficient stood at a significantly negative minus 0.66. Today, in contrast, it is a positive 0.67. This latest reading is one of the higher coefficients I’ve seen from my periodic monitoring of this indicator.</p>\n<p>Needless to say, neither this (nor any indicator, for that matter) is guaranteed to work. One time that it was accurate was in April 2015, when my column on this indicator ran under the headline “leading indicators signal a market top.” A bear market began one month later, according to the bear-market calendar maintained by Ned Davis Research. The sectors with the best trailing three-month returns at that time were not those that typically lead the market prior to tops, and the sectors with the worst trailing three-month returns were not those that typically lag.\nNow, in contrast, there is a distinct correlation between the sectors’ relative strength ranking and the typical pattern that appeared in past tops.\nAccording to research conducted by Ned Davis Research, Utilities, Energy and Financials are the S&P 500 sectors that have performed the worst, on average, in the final three months of all bull markets since 1970. As is clear in the chart below, these three sectors now are at or near the bottom in a ranking of trailing three-month returns.\n\nIn contrast, according to Ned Davis Research, Consumer Staples, Health Care and Consumer Discretionary are the sectors that have performed the best, on average, over the three months prior to past bull market tops. As the chart shows, these three have performed relatively well over the past three months.\nTo quantify how much the sector relative strength rankings have shifted in a bearish direction, consider the correlation coefficients that I calculated. This statistic ranges from a high of 1.0 (which would mean that there is a perfect one-to-one correspondence between a ranking of the sectors’ recent returns and the historical pattern) to minus 1.0 (which would mean a perfectly inverse correlation). A coefficient of zero would mean that there is no detectable relationship.\nIn mid-May, this coefficient stood at a significantly negative minus 0.66. Today, in contrast, it is a positive 0.67. This latest reading is one of the higher coefficients I’ve seen from my periodic monitoring of this indicator.\nNeedless to say, neither this (nor any indicator, for that matter) is guaranteed to work. One time that it was accurate was in April 2015, when my column on this indicator ran under the headline “leading indicators signal a market top.” A bear market began one month later, according to the bear-market calendar maintained by Ned Davis Research. Moderna earned $6.46 per share for its latest quarter, beating the $5.96 consensus estimate.</p>\n<p><b>2)&nbsp;Cigna(CI)</b> – The insurance company beat estimates by 28 cents with adjusted quarterly earnings of $5.24 per share, with revenue also beating estimates. It did note a negative impact of higher medical costs, and the stock fell 3.7% in premarket trading.</p>\n<p><b>3)&nbsp;Penn National(PENN)</b> – Penn is buying digital media and sports betting companyScore Media(SCR) for $2 billion in cash and stock, sending Score shares soaring by 72.4% in premarket trading. Separately, the gaming company reported a quarterly profit of $1.17 per share, beating the 92 cent consensus estimate, and its stock gained 2.7% in the premarket.</p>\n<p><b>4)&nbsp;Robinhood(HOOD)</b> – The trading platform company’s stock fell 11.3% in premarket trading after it announced it would sell up to 97.9 million shares over time. The shares will come from various selling stockholders, and the company won’t receive any proceeds from the sale. Robinhood had surged more than 50% in Wednesday’s trading.</p>\n<p><b>5)&nbsp;Wayfair(W) </b>– The home furnishings seller’s shares leaped 8.7% in the premarket after its quarterly profit of $1.89 per share came in well above the consensus estimate of $1.15. The company also said it’s $3.9 billion in revenue during the quarter is well above pre-pandemic run rates.</p>\n<p><b>6)&nbsp;Regeneron(REGN)</b> – The drug company’s stock added 3.3% in premarket trading after beating top and bottom-line estimates by a wide margin. Results were boosted by demand for its COVID-19 antibody cocktail.</p>\n<p><b>7)&nbsp;Roku(ROKU) </b>– Roku shares stumbled 8.8% in premarket trading after the video streaming device maker reported weaker-than-expected user growth. Roku did report better-than-expected earnings for its latest quarter, with a profit of 52 cents per share compared with a 13 cents consensus estimate. Revenue exceeded Wall Street forecasts as well.</p>\n<p><b>8)&nbsp;Fastly(FSLY) </b>– Fastly lost 14 cents per share for the second quarter, 2 cents less than analysts had predicted. However, the cloud software company’s revenue missed forecasts, and it said a widespread network outage in June will continue to impact results for the rest of the year. Shares tumbled 21.8% in the premarket.</p>\n<p><b>9)&nbsp;Uber(UBER) </b>– Uber reported a surprise profit of 58 cents per share, compared with consensus forecasts of a 51 cents per share loss. The ride-hailing company’s revenue beat estimates as well, but the stock is under pressure with Uber’s quarterly profit largely coming from its investments. Uber shares lost 4.5% in premarket action.</p>\n<p><b>10)&nbsp;Electronic Arts(EA) </b>– Electronic Arts beat estimates by 12 cents with adjusted quarterly earnings of 79 cents per share, and the videogame maker’s revenue also topped analyst forecasts. EA also gave an upbeat current-quarter forecast, on strength in franchises like “FIFA 2021”. The stock jumped 3.4% in premarket trading.</p>\n<p><b>11)&nbsp;Booking Holdings(BKNG)</b> – Booking Holdings lost an adjusted $2.55 per share for the second quarter, wider than the loss of $2.04 that Wall Street had been anticipating. However, revenue was above estimates and nearly tripled for the parent of Priceline, Kayak and other travel services, as travel demand jumped amid increasing vaccinations and an easing of restrictions. The stock added 3.1% in the premarket.</p>\n<p><b>12)&nbsp;Etsy(ETSY)</b> – Etsy came in 5 cents above estimates with quarterly earnings of 68 cents per share, and the online crafts marketplace operator also saw revenue come in above analyst forecasts. However, the stock is under pressure after user growth figures fell short of expectations, and its stock suffered a 12.5% drop in premarket trading.</p>\n<p><b>13)&nbsp;Lemonade(LMND) </b>– Lemonade shares lost 8.8% in the premarket after the insurance company reported a sales decline and quarterly losses that more than doubled from a year earlier. However, Lemonade did issue a better than expected full-year revenue forecast.</p>\n<p><b>In rates, </b>treasuries rose modestly with the curve flatter and pivoting around an unchanged 5-year sector. Yields were lower by up to 1.5bps across long-end of the curve, flattening 5s30s spread by 1.2bp on the day; 10-year yields around 1.17%, marginally richer and underperforming bunds by 1bp. Treasuries drifted lower over Asia session as investors reacted to Bank of England policy outcome at midday London time; losses were later pared over early European session as bunds outperformed and gilts little changed after Bank of England policy announcement at midday London time, following 7-1 vote to keep bond-buying target unchanged.</p>\n<p>Money-market traders boosted bets for an initial U.S. rate hike in early 2023 after Clarida said the central bank is on course to pull back on the massive support it’s providing to the economy, starting with an announcement later this year that it’s paring bond purchases and moving on to a liftoff in interest rates in 2023. San Francisco Fed President Mary Daly said tapering could start later this year or in early 2022 The benchmark 10-year Treasury yield edged up one basis point to 1.19%.</p>\n<p><b>In FX, </b>moves in most G-10 currencies were muted with FX traders reporting light risk-on flows, with the yen trailing and the Australian dollar leading. The pound rose but was unchanged after the BOE reported that it would begin its balance sheet unwind once rates hit 0.5%. It did note a negative impact of higher medical costs, and the stock fell 3.7% in premarket trading.</p>\n<p><b>3)&nbsp;Penn National(PENN)</b> – Penn is buying digital media and sports betting companyScore Media(SCR) for $2 billion in cash and stock, sending Score shares soaring by 72.4% in premarket trading.
