But before the Department of Justice tries to break up companies likeGoogleorApple,it should recall the history, and eventual outcome, of theAT&amp;T-Time Warner merger.</p>\n<p>The DOJ expended extensive time and resources to stop AT&amp;T’s acquisition of Time Warner, marking the department’s first challenge to a major vertical merger in over 40 years. The government was unsuccessful despite its best efforts, which included an appeal to the D.C. Circuit, and time reveals that its concerns were evidently misplaced all along. The merger did not result in higher prices, program blackouts, or even any appreciable advantage for the companies.</p>\n<p>In October 2016 AT&amp;Tannouncedits plan to buy Time Warner.&nbsp; Donald Trump’s presidential campaign trashed the merger in a statement: &nbsp;“AT&amp;T … is now trying to buy Time Warner and thus the wildly anti-Trump CNN. Donald Trump would never approve such a deal.”&nbsp; With Trump in office, the DOJ moved to block it.</p>\n<p>In 2017, the DOJ went to court tocomplainthat the merger would “substantially lessen competition in video” by allowing AT&amp;T to “use Time Warner’s ‘must have’” networks like CNN, TNT, TBS, and HBO to raise fees charged to rival cable TV distributors like Comcast or DISH. AT&amp;T, which had acquired national satellite operator DirecTV, could threaten “blackouts” depriving rival distributors of key programs—their subscribers would then quit and flock to DirecTV (AT&amp;T) so as to keep watching CNN or the NBA Playoffs on TNT. Not only would major TV and cable systems be hurt, but emerging online streaming services would be crushed.</p>\n<p>The government’s case focused on “vertical leveraging,” where a company uses two complementary products to make it more difficult for rivals to compete in the individual markets.&nbsp;Here, AT&amp;T was combining video content creation with video program distribution; the allegation was that competitors in either segment might be hurt.&nbsp;Yet there are clear efficiencies to be had, as widely found in studies of vertically integrated firms, with joint operations boosting consumer happiness. Buyers at Costco eagerly snap up Costco-supplied Kirkland products—which the retailer stocks in place of those of some independent producers—if they improve price or quality.&nbsp;So facts, not just a story, are needed.&nbsp; District Court Judge Richard J. Leonfoundthat the DOJ case “falls far short of establishing the validity of its… theory.”</p>\n<p>Aside from the political overtones of the case, there was good historical reason to doubt the official complaint. A cable TV programmer combined with (or split from) a video distributor several times in recent years.&nbsp;Vertical integration did not cause higher prices, as shown by econometric analysis. Nor did vertical integration lead to “blackouts,” as the DOJ conceded. A three-judge panel of the D.C. Circuit confirmed Judge Leon’s opinion, finding that “the industry had become dynamic in recent years with the emergence, for example, of Netflix and Hulu.”</p>\n<p>Owning DirecTV and Time Warner together turned out to be not much advantage, let alone a monopoly. Despite a huge boost in pandemic demand for video content, rivals soon dined on AT&amp;T-Time Warner’s lunch. When AT&amp;T bought DirecTV in 2015, it paid $67 billion.&nbsp;In February 2021, with DirecTV’s satellite subscriber base collapsing, the spun-off operation wasvaluedat $16.3 billion.</p>\n<p>And AT&amp;Tthen unloaded the video assets of Time Warner. A new enterprise—Warner Bros. Discovery—is being spun off and merged with Discovery (Discovery Channel, Animal Planet, TLC, HGTV, the Food Networkand more). The content-only firm voluntarily severs the link the DOJ critiqued as easy monopoly money. With the allegations of anticompetitive bundling, it has been cast off as not worth the trouble.AT&amp;T shareholders receive $43 billion, less than half the $100 billion AT&amp;T expended (in debt and equity) for Time Warner three years ago. The government’s scenario of anti-competitive vertical integration proved a fantasy.</p>\n<p>AT&amp;T’s maneuvers deserve whatever scorn billions in shareholder losses can buy. A cynic might offer that antitrust laws be beefed up to protect against such corporate errors, ignoring that economic penalties—more reliable and harsher than whatever antitrust enforcers might deal—are visibly in place. But little note has been made of the ironic political saga. Policymakers are moving full throttle to enact statutes to beef up antitrust prosecution in tech for exactly what AT&amp;T so spectacularly failed to do in video.&nbsp; Rep. Pramila Jayapal (D-Wash.) and Rep. Lance Gooden (R-Texas) introduced the “Ending Monopoly Platforms Act” that would restrict vertical mergers in online services, for example. At least five other bills for new antitrust rules have been introduced.</p>\n<p>Not only can such policies be expensive legal diversions, they can block the innovations igniting exciting new choices for customers. Netflix has integrated from streaming into movie production, after launching Roku. Hulu was created by News Corp. (Fox) and NBC-Universal (Comcast).&nbsp;Amazon Prime Video, Sling, YouTube TV, Apple TV, Disney Plus, HBO Max and Paramount Plus—each has extended a large media or e-commerce platform. Each evolved from a quest for better products. Treating entrepreneurship as suspect puts the screws to just the disruptions now roiling online entertainment markets. But before the Department of Justice tries to break up companies likeGoogleorApple,it should recall the history, and eventual outcome, of theAT&T-Time Warner merger.\nThe DOJ expended extensive time and resources to stop AT&T’s acquisition of Time Warner, marking the department’s first challenge to a major vertical merger in over 40 years. The government was unsuccessful despite its best efforts, which included an appeal to the D.C. Circuit, and time reveals that its concerns were evidently misplaced all along. The merger did not result in higher prices, program blackouts, or even any appreciable advantage for the companies.\nIn October 2016 AT&Tannouncedits plan to buy Time Warner.  Donald Trump’s presidential campaign trashed the merger in a statement:  “AT&T … is now trying to buy Time Warner and thus the wildly anti-Trump CNN. Donald Trump would never approve such a deal.”  With Trump in office, the DOJ moved to block it.\nIn 2017, the DOJ went to court tocomplainthat the merger would “substantially lessen competition in video” by allowing AT&T to “use Time Warner’s ‘must have’” networks like CNN, TNT, TBS, and HBO to raise fees charged to rival cable TV distributors like Comcast or DISH. AT&T, which had acquired national satellite operator DirecTV, could threaten “blackouts” depriving rival distributors of key programs—their subscribers would then quit and flock to DirecTV (AT&T) so as to keep watching CNN or the NBA Playoffs on TNT. Not only would major TV and cable systems be hurt, but emerging online streaming services would be crushed.\nThe government’s case focused on “vertical leveraging,” where a company uses two complementary products to make it more difficult for rivals to compete in the individual markets. Here, AT&T was combining video content creation with video program distribution; the allegation was that competitors in either segment might be hurt. Yet there are clear efficiencies to be had, as widely found in studies of vertically integrated firms, with joint operations boosting consumer happiness. Buyers at Costco eagerly snap up Costco-supplied Kirkland products—which the retailer stocks in place of those of some independent producers—if they improve price or quality. So facts, not just a story, are needed.  District Court Judge Richard J. Leonfoundthat the DOJ case “falls far short of establishing the validity of its… theory.”\nAside from the political overtones of the case, there was good historical reason to doubt the official complaint. A cable TV programmer combined with (or split from) a video distributor several times in recent years. Vertical integration did not cause higher prices, as shown by econometric analysis. Nor did vertical integration lead to “blackouts,” as the DOJ conceded. A three-judge panel of the D.C. Circuit confirmed Judge Leon’s opinion, finding that “the industry had become dynamic in recent years with the emergence, for example, of Netflix and Hulu.”\nOwning DirecTV and Time Warner together turned out to be not much advantage, let alone a monopoly. Despite a huge boost in pandemic demand for video content, rivals soon dined on AT&T-Time Warner’s lunch. When AT&T bought DirecTV in 2015, it paid $67 billion. In February 2021, with DirecTV’s satellite subscriber base collapsing, the spun-off operation wasvaluedat $16.3 billion.\nAnd AT&Tthen unloaded the video assets of Time Warner. A new enterprise—Warner Bros. Discovery—is being spun off and merged with Discovery (Discovery Channel, Animal Planet, TLC, HGTV, the Food Networkand more). The content-only firm voluntarily severs the link the DOJ critiqued as easy monopoly money. With the allegations of anticompetitive bundling, it has been cast off as not worth the trouble.AT&T shareholders receive $43 billion, less than half the $100 billion AT&T expended (in debt and equity) for Time Warner three years ago. The government’s scenario of anti-competitive vertical integration proved a fantasy.\nAT&T’s maneuvers deserve whatever scorn billions in shareholder losses can buy. A cynic might offer that antitrust laws be beefed up to protect against such corporate errors, ignoring that economic penalties—more reliable and harsher than whatever antitrust enforcers might deal—are visibly in place. But little note has been made of the ironic political saga. Policymakers are moving full throttle to enact statutes to beef up antitrust prosecution in tech for exactly what AT&T so spectacularly failed to do in video.  Rep. Pramila Jayapal (D-Wash.) and Rep. Lance Gooden (R-Texas) introduced the “Ending Monopoly Platforms Act” that would restrict vertical mergers in online services, for example. At least five other bills for new antitrust rules have been introduced.\nNot only can such policies be expensive legal diversions, they can block the innovations igniting exciting new choices for customers. Netflix has integrated from streaming into movie production, after launching Roku. Hulu was created by News Corp. (Fox) and NBC-Universal (Comcast). Amazon Prime Video, Sling, YouTube TV, Apple TV, Disney Plus, HBO Max and Paramount Plus—each has extended a large media or e-commerce platform. Each evolved from a quest for better products. Treating entrepreneurship as suspect puts the screws to just the disruptions now roiling online entertainment markets. Nvidia's gaming and data center businesses accounted for the lion's share of this incredible top-line growth, with these two segments registering revenue increases of 106% and 79%, respectively, year over year. And it wasn't just Nvidia's top line that was looking good in the first quarter -- its bottom-line growth was even higher, at 109% year over year.</p>\n<p>Its rapid growth isn't preventing it from increasing its cash position or paying down its existing liabilities. As of the first quarter, the company reported total assets of about $31 billion, with approximately $13 billion in cash, cash equivalents, and marketable securities. Nvidia also reported total current liabilities (obligations due within the coming 12 months) of a far lower $4 billion.</p>\n<p>According to a report by Jon Peddie Research, as of the first quarter of 2021, Nvidia held a whopping 81% share of the entire discrete GPU market. The broader semiconductor market (in which NVIDIA remains a key player) is on track to achieve a global valuation of more than $803 billion by 2028, according to <i>Fortune</i> Business Insights.</p>\n<p>Nvidia executed a 4-for-1 stock split on July 20, bringing shares down from $750 to a price just shy of $200 at the time of this writing. Even so, the stock is trading about 85% higher than it was 12 months ago. Now looks like a great time to grab shares of this high-flying tech stock before it soars even higher.</p>\n<h2>2. Apple</h2>\n<p>FAANG stock <b>Apple</b> (NASDAQ:AAPL) is the kind of investment that you can keep adding to your portfolio as the years go by, to generate consistent growth when the market is up as well as when it's down. Apple has continued to generate record balance-sheet growth despite the uncertainty of the pandemic economy, and shares of the company have risen 20% since the beginning of this year alone.</p>\n<p>In the first half of Apple's fiscal 2021 (ended March 27), total net sales increased 34% compared to the year-ago period. Net income during the six months surged by a healthy 56% from a year ago.</p>\n<p>iPhone sales continue to make up the lion's share of Apple's total net sales. In the first half of fiscal 2021, the iPhone segment generated net sales of $113.5 billion. Apple's five core business segments -- iPhone; Mac; iPad; Wearables, Home, and Accessories; and Services -- generated year-over-year sales growth of 34%, 42%, 57%, 28%, and 25%, respectively, in the first six months of fiscal 2021. The company's total net sales for the six-month period were $201 billion.</p>\n<p>The smartphone market alone is expected to hit a global valuation of nearly $1.4 trillion by the year 2026, and Apple remains <a href=\"https://laohu8.com/S/AONE.U\">one</a> of the top manufacturers of smartphones in the world. Its substantial brand and ever-expanding market share driven by its vast range of lucrative products, coupled with consistent balance-sheet growth and share-price gains, make Apple a no-brainer stock you can buy and hold forever.</p>\n<h2>3. Pfizer</h2>\n<p>Another compelling stock for long-term investors to consider buying right now is one of the largest pharmaceutical companies in the world, <b>Pfizer</b> (NYSE:PFE). Shares are up by about 14% year to date. Investors can also enjoy dividend income from Pfizer. The stock has a hefty yield of about 3.7% at the time of this writing.</p>\n<p>Investors have increasingly flocked to buy shares of Pfizer over the past year on the heels of its COVID-19 vaccine success. The company's vaccine, which it developed with its German counterpart <b>BioNTech</b>, amassed $3.5 billion in revenue during the first quarter of 2021 and is expected to generate $26 billion for the full year.</p>\n<p>But investors shouldn't buy shares of Pfizer just because its COVID vaccine (now called Comirnaty) has been such a massive commercial success. The company, which has been in business since 1849, has a roster of products that continue to generate impressive revenue increases quarter after quarter. These products are spread across an array of therapeutic areas, including oncology, immunology, and rare diseases.</p>\n<p>For example, Pfizer's blockbuster drug Ibrance (for breast cancer) amassed worldwide revenue of about $1.3 billion in the first quarter of 2021. Top-selling drugs Inlyta (for advanced renal cell carcinoma) and Sutent (for a range of rare cancers) earned revenue of $229 million and $200 million, respectively, in the quarter. And Pfizer's blockbuster blood thinner Eliquis brought in a whopping $1.6 billion in revenue in the first-quarter period.</p>\n<p>First-quarter revenue and net income both increased 45% year over year, and the company expects remarkable revenue growth for the full year, projecting an increase of as much as 73% from 2020.</p>\n<p>According to a report by the news website Pharmaceutical Technology, Comirnaty is on track to remain the top-seller in the global COVID vaccine market over the next several years and is expected to bring in $55 billion in revenue by 2027. Nvidia</h2>\n<p>Semiconductor maker <b>Nvidia</b> (NASDAQ:NVDA) has continued to record explosive growth throughout the ups and downs of the pandemic. The company is known for its graphics processing units (GPUs), which are used in self-driving cars, video games, data centers, and other applications.</p>\n<p>In the first quarter of Nvidia's fiscal 2022 (ended May 2), the company reported that total revenue surged 84% from the year-ago period. Nvidia's gaming and data center businesses accounted for the lion's share of this incredible top-line growth, with these two segments registering revenue increases of 106% and 79%, respectively, year over year. And it wasn't just Nvidia's top line that was looking good in the first quarter -- its bottom-line growth was even higher, at 109% year over year.</p>\n<p>Its rapid growth isn't preventing it from increasing its cash position or paying down its existing liabilities. As of the first quarter, the company reported total assets of about $31 billion, with approximately $13 billion in cash, cash equivalents, and marketable securities. Nvidia also reported total current liabilities (obligations due within the coming 12 months) of a far lower $4 billion.</p>\n<p>According to a report by Jon Peddie Research, as of the first quarter of 2021, Nvidia held a whopping 81% share of the entire discrete GPU market. The broader semiconductor market (in which NVIDIA remains a key player) is on track to achieve a global valuation of more than $803 billion by 2028, according to <i>Fortune</i> Business Insights.</p>\n<p>Nvidia executed a 4-for-1 stock split on July 20, bringing shares down from $750 to a price just shy of $200 at the time of this writing. Even so, the stock is trading about 85% higher than it was 12 months ago. Now looks like a great time to grab shares of this high-flying tech stock before it soars even higher.</p>\n<h2>2. Apple</h2>\n<p>FAANG stock <b>Apple</b> (NASDAQ:AAPL) is the kind of investment that you can keep adding to your portfolio as the years go by, to generate consistent growth when the market is up as well as when it's down. Apple has continued to generate record balance-sheet growth despite the uncertainty of the pandemic economy, and shares of the company have risen 20% since the beginning of this year alone.</p>\n<p>In the first half of Apple's fiscal 2021 (ended March 27), total net sales increased 34% compared to the year-ago period. Net income during the six months surged by a healthy 56% from a year ago.</p>\n<p>iPhone sales continue to make up the lion's share of Apple's total net sales. In the first half of fiscal 2021, the iPhone segment generated net sales of $113.5 billion. Apple's five core business segments -- iPhone; Mac; iPad; Wearables, Home, and Accessories; and Services -- generated year-over-year sales growth of 34%, 42%, 57%, 28%, and 25%, respectively, in the first six months of fiscal 2021. The company's total net sales for the six-month period were $201 billion.</p>\n<p>The smartphone market alone is expected to hit a global valuation of nearly $1.4 trillion by the year 2026, and Apple remains <a href=\"https://laohu8.com/S/AONE.U\">one</a> of the top manufacturers of smartphones in the world. Its substantial brand and ever-expanding market share driven by its vast range of lucrative products, coupled with consistent balance-sheet growth and share-price gains, make Apple a no-brainer stock you can buy and hold forever.</p>\n<h2>3. Pfizer</h2>\n<p>Another compelling stock for long-term investors to consider buying right now is one of the largest pharmaceutical companies in the world, <b>Pfizer</b> (NYSE:PFE). Shares are up by about 14% year to date. Investors can also enjoy dividend income from Pfizer. The stock has a hefty yield of about 3.7% at the time of this writing.</p>\n<p>Investors have increasingly flocked to buy shares of Pfizer over the past year on the heels of its COVID-19 vaccine success. The company's vaccine, which it developed with its German counterpart <b>BioNTech</b>, amassed $3.5 billion in revenue during the first quarter of 2021 and is expected to generate $26 billion for the full year.</p>\n<p>But investors shouldn't buy shares of Pfizer just because its COVID vaccine (now called Comirnaty) has been such a massive commercial success. The company, which has been in business since 1849, has a roster of products that continue to generate impressive revenue increases quarter after quarter. These products are spread across an array of therapeutic areas, including oncology, immunology, and rare diseases.</p>\n<p>For example, Pfizer's blockbuster drug Ibrance (for breast cancer) amassed worldwide revenue of about $1.3 billion in the first quarter of 2021. Top-selling drugs Inlyta (for advanced renal cell carcinoma) and Sutent (for a range of rare cancers) earned revenue of $229 million and $200 million, respectively, in the quarter. And Pfizer's blockbuster blood thinner Eliquis brought in a whopping $1.6 billion in revenue in the first-quarter period.</p>\n<p>First-quarter revenue and net income both increased 45% year over year, and the company expects remarkable revenue growth for the full year, projecting an increase of as much as 73% from 2020.</p>\n<p>According to a report by the news website Pharmaceutical Technology, Comirnaty is on track to remain the top-seller in the global COVID vaccine market over the next several years and is expected to bring in $55 billion in revenue by 2027. In fact, a study of Gen Z and millennial investors conducted by The Motley Fool in April found that nearly 40% used the platform, making Robinhood the most-used investing  app among the 18-to-40 age segment.\nWhile the furor surrounding some of the top stocks trading on the platform isn't much more than hype, a number of the most popular Robinhood buys are worth a second look from the long-term investor. Nvidia\nSemiconductor maker Nvidia (NASDAQ:NVDA) has continued to record explosive growth throughout the ups and downs of the pandemic. The company is known for its graphics processing units (GPUs), which are used in self-driving cars, video games, data centers, and other applications.\nIn the first quarter of Nvidia's fiscal 2022 (ended May 2), the company reported that total revenue surged 84% from the year-ago period. Nvidia's gaming and data center businesses accounted for the lion's share of this incredible top-line growth, with these two segments registering revenue increases of 106% and 79%, respectively, year over year. And it wasn't just Nvidia's top line that was looking good in the first quarter -- its bottom-line growth was even higher, at 109% year over year.\nIts rapid growth isn't preventing it from increasing its cash position or paying down its existing liabilities. As of the first quarter, the company reported total assets of about $31 billion, with approximately $13 billion in cash, cash equivalents, and marketable securities. Nvidia also reported total current liabilities (obligations due within the coming 12 months) of a far lower $4 billion.\nAccording to a report by Jon Peddie Research, as of the first quarter of 2021, Nvidia held a whopping 81% share of the entire discrete GPU market. The broader semiconductor market (in which NVIDIA remains a key player) is on track to achieve a global valuation of more than $803 billion by 2028, according to Fortune Business Insights.\nNvidia executed a 4-for-1 stock split on July 20, bringing shares down from $750 to a price just shy of $200 at the time of this writing. Even so, the stock is trading about 85% higher than it was 12 months ago. Now looks like a great time to grab shares of this high-flying tech stock before it soars even higher.\n2. Apple\nFAANG stock Apple (NASDAQ:AAPL) is the kind of investment that you can keep adding to your portfolio as the years go by, to generate consistent growth when the market is up as well as when it's down. Apple has continued to generate record balance-sheet growth despite the uncertainty of the pandemic economy, and shares of the company have risen 20% since the beginning of this year alone.\nIn the first half of Apple's fiscal 2021 (ended March 27), total net sales increased 34% compared to the year-ago period. Net income during the six months surged by a healthy 56% from a year ago.\niPhone sales continue to make up the lion's share of Apple's total net sales. In the first half of fiscal 2021, the iPhone segment generated net sales of $113.5 billion. Apple's five core business segments -- iPhone; Mac; iPad; Wearables, Home, and Accessories; and Services -- generated year-over-year sales growth of 34%, 42%, 57%, 28%, and 25%, respectively, in the first six months of fiscal 2021. The company's total net sales for the six-month period were $201 billion.\nThe smartphone market alone is expected to hit a global valuation of nearly $1.4 trillion by the year 2026, and Apple remains one of the top manufacturers of smartphones in the world. Its substantial brand and ever-expanding market share driven by its vast range of lucrative products, coupled with consistent balance-sheet growth and share-price gains, make Apple a no-brainer stock you can buy and hold forever.\n3. Pfizer\nAnother compelling stock for long-term investors to consider buying right now is one of the largest pharmaceutical companies in the world, Pfizer (NYSE:PFE). Shares are up by about 14% year to date. Investors can also enjoy dividend income from Pfizer. The stock has a hefty yield of about 3.7% at the time of this writing.\nInvestors have increasingly flocked to buy shares of Pfizer over the past year on the heels of its COVID-19 vaccine success. The company's vaccine, which it developed with its German counterpart BioNTech, amassed $3.5 billion in revenue during the first quarter of 2021 and is expected to generate $26 billion for the full year.\nBut investors shouldn't buy shares of Pfizer just because its COVID vaccine (now called Comirnaty) has been such a massive commercial success. The company, which has been in business since 1849, has a roster of products that continue to generate impressive revenue increases quarter after quarter. These products are spread across an array of therapeutic areas, including oncology, immunology, and rare diseases.\nFor example, Pfizer's blockbuster drug Ibrance (for breast cancer) amassed worldwide revenue of about $1.3 billion in the first quarter of 2021. Top-selling drugs Inlyta (for advanced renal cell carcinoma) and Sutent (for a range of rare cancers) earned revenue of $229 million and $200 million, respectively, in the quarter. And Pfizer's blockbuster blood thinner Eliquis brought in a whopping $1.6 billion in revenue in the first-quarter period.\nFirst-quarter revenue and net income both increased 45% year over year, and the company expects remarkable revenue growth for the full year, projecting an increase of as much as 73% from 2020.\nAccording to a report by the news website Pharmaceutical Technology, Comirnaty is on track to remain the top-seller in the global COVID vaccine market over the next several years and is expected to bring in $55 billion in revenue by 2027. But before the Department of Justice tries to break up companies likeGoogleorApple,it should recall the history, and eventual outcome, of theAT&amp;T-Time Warner merger.</p>\n<p>The DOJ expended extensive time and resources to stop AT&amp;T’s acquisition of Time Warner, marking the department’s first challenge to a major vertical merger in over 40 years. The government was unsuccessful despite its best efforts, which included an appeal to the D.C. Circuit, and time reveals that its concerns were evidently misplaced all along. The merger did not result in higher prices, program blackouts, or even any appreciable advantage for the companies.</p>\n<p>In October 2016 AT&amp;Tannouncedits plan to buy Time Warner.&nbsp; Donald Trump’s presidential campaign trashed the merger in a statement: &nbsp;“AT&amp;T … is now trying to buy Time Warner and thus the wildly anti-Trump CNN. Donald Trump would never approve such a deal.”&nbsp; With Trump in office, the DOJ moved to block it.</p>\n<p>In 2017, the DOJ went to court tocomplainthat the merger would “substantially lessen competition in video” by allowing AT&amp;T to “use Time Warner’s ‘must have’” networks like CNN, TNT, TBS, and HBO to raise fees charged to rival cable TV distributors like Comcast or DISH. AT&amp;T, which had acquired national satellite operator DirecTV, could threaten “blackouts” depriving rival distributors of key programs—their subscribers would then quit and flock to DirecTV (AT&amp;T) so as to keep watching CNN or the NBA Playoffs on TNT. Not only would major TV and cable systems be hurt, but emerging online streaming services would be crushed.</p>\n<p>The government’s case focused on “vertical leveraging,” where a company uses two complementary products to make it more difficult for rivals to compete in the individual markets.&nbsp;Here, AT&amp;T was combining video content creation with video program distribution; the allegation was that competitors in either segment might be hurt.&nbsp;Yet there are clear efficiencies to be had, as widely found in studies of vertically integrated firms, with joint operations boosting consumer happiness. Buyers at Costco eagerly snap up Costco-supplied Kirkland products—which the retailer stocks in place of those of some independent producers—if they improve price or quality.&nbsp;So facts, not just a story, are needed.&nbsp; District Court Judge Richard J. Leonfoundthat the DOJ case “falls far short of establishing the validity of its… theory.”</p>\n<p>Aside from the political overtones of the case, there was good historical reason to doubt the official complaint. A cable TV programmer combined with (or split from) a video distributor several times in recent years.&nbsp;Vertical integration did not cause higher prices, as shown by econometric analysis. Nor did vertical integration lead to “blackouts,” as the DOJ conceded. A three-judge panel of the D.C. Circuit confirmed Judge Leon’s opinion, finding that “the industry had become dynamic in recent years with the emergence, for example, of Netflix and Hulu.”</p>\n<p>Owning DirecTV and Time Warner together turned out to be not much advantage, let alone a monopoly. Despite a huge boost in pandemic demand for video content, rivals soon dined on AT&amp;T-Time Warner’s lunch. When AT&amp;T bought DirecTV in 2015, it paid $67 billion.&nbsp;In February 2021, with DirecTV’s satellite subscriber base collapsing, the spun-off operation wasvaluedat $16.3 billion.</p>\n<p>And AT&amp;Tthen unloaded the video assets of Time Warner. A new enterprise—Warner Bros. Discovery—is being spun off and merged with Discovery (Discovery Channel, Animal Planet, TLC, HGTV, the Food Networkand more). The content-only firm voluntarily severs the link the DOJ critiqued as easy monopoly money. With the allegations of anticompetitive bundling, it has been cast off as not worth the trouble.AT&amp;T shareholders receive $43 billion, less than half the $100 billion AT&amp;T expended (in debt and equity) for Time Warner three years ago. The government’s scenario of anti-competitive vertical integration proved a fantasy.</p>\n<p>AT&amp;T’s maneuvers deserve whatever scorn billions in shareholder losses can buy. A cynic might offer that antitrust laws be beefed up to protect against such corporate errors, ignoring that economic penalties—more reliable and harsher than whatever antitrust enforcers might deal—are visibly in place. But little note has been made of the ironic political saga. Policymakers are moving full throttle to enact statutes to beef up antitrust prosecution in tech for exactly what AT&amp;T so spectacularly failed to do in video.&nbsp; Rep. Pramila Jayapal (D-Wash.) and Rep. Lance Gooden (R-Texas) introduced the “Ending Monopoly Platforms Act” that would restrict vertical mergers in online services, for example. At least five other bills for new antitrust rules have been introduced.</p>\n<p>Not only can such policies be expensive legal diversions, they can block the innovations igniting exciting new choices for customers. Netflix has integrated from streaming into movie production, after launching Roku. Hulu was created by News Corp. But before the Department of Justice tries to break up companies likeGoogleorApple,it should recall the history, and eventual outcome, of theAT&T-Time Warner merger.\nThe DOJ expended extensive time and resources to stop AT&T’s acquisition of Time Warner, marking the department’s first challenge to a major vertical merger in over 40 years. The government was unsuccessful despite its best efforts, which included an appeal to the D.C. Circuit, and time reveals that its concerns were evidently misplaced all along. The merger did not result in higher prices, program blackouts, or even any appreciable advantage for the companies.\nIn October 2016 AT&Tannouncedits plan to buy Time Warner.  Donald Trump’s presidential campaign trashed the merger in a statement:  “AT&T … is now trying to buy Time Warner and thus the wildly anti-Trump CNN. Donald Trump would never approve such a deal.”  With Trump in office, the DOJ moved to block it.\nIn 2017, the DOJ went to court tocomplainthat the merger would “substantially lessen competition in video” by allowing AT&T to “use Time Warner’s ‘must have’” networks like CNN, TNT, TBS, and HBO to raise fees charged to rival cable TV distributors like Comcast or DISH. AT&T, which had acquired national satellite operator DirecTV, could threaten “blackouts” depriving rival distributors of key programs—their subscribers would then quit and flock to DirecTV (AT&T) so as to keep watching CNN or the NBA Playoffs on TNT. Not only would major TV and cable systems be hurt, but emerging online streaming services would be crushed.\nThe government’s case focused on “vertical leveraging,” where a company uses two complementary products to make it more difficult for rivals to compete in the individual markets. Here, AT&T was combining video content creation with video program distribution; the allegation was that competitors in either segment might be hurt. Yet there are clear efficiencies to be had, as widely found in studies of vertically integrated firms, with joint operations boosting consumer happiness. Buyers at Costco eagerly snap up Costco-supplied Kirkland products—which the retailer stocks in place of those of some independent producers—if they improve price or quality. So facts, not just a story, are needed.  District Court Judge Richard J. Leonfoundthat the DOJ case “falls far short of establishing the validity of its… theory.”\nAside from the political overtones of the case, there was good historical reason to doubt the official complaint. A cable TV programmer combined with (or split from) a video distributor several times in recent years. Vertical integration did not cause higher prices, as shown by econometric analysis. Nor did vertical integration lead to “blackouts,” as the DOJ conceded. A three-judge panel of the D.C. Circuit confirmed Judge Leon’s opinion, finding that “the industry had become dynamic in recent years with the emergence, for example, of Netflix and Hulu.”\nOwning DirecTV and Time Warner together turned out to be not much advantage, let alone a monopoly. Despite a huge boost in pandemic demand for video content, rivals soon dined on AT&T-Time Warner’s lunch. When AT&T bought DirecTV in 2015, it paid $67 billion. In February 2021, with DirecTV’s satellite subscriber base collapsing, the spun-off operation wasvaluedat $16.3 billion.\nAnd AT&Tthen unloaded the video assets of Time Warner. A new enterprise—Warner Bros. Discovery—is being spun off and merged with Discovery (Discovery Channel, Animal Planet, TLC, HGTV, the Food Networkand more). The content-only firm voluntarily severs the link the DOJ critiqued as easy monopoly money. With the allegations of anticompetitive bundling, it has been cast off as not worth the trouble.AT&T shareholders receive $43 billion, less than half the $100 billion AT&T expended (in debt and equity) for Time Warner three years ago. The government’s scenario of anti-competitive vertical integration proved a fantasy.\nAT&T’s maneuvers deserve whatever scorn billions in shareholder losses can buy. A cynic might offer that antitrust laws be beefed up to protect against such corporate errors, ignoring that economic penalties—more reliable and harsher than whatever antitrust enforcers might deal—are visibly in place. But little note has been made of the ironic political saga. Policymakers are moving full throttle to enact statutes to beef up antitrust prosecution in tech for exactly what AT&T so spectacularly failed to do in video.  Rep. Pramila Jayapal (D-Wash.) and Rep. Lance Gooden (R-Texas) introduced the “Ending Monopoly Platforms Act” that would restrict vertical mergers in online services, for example. At least five other bills for new antitrust rules have been introduced.\nNot only can such policies be expensive legal diversions, they can block the innovations igniting exciting new choices for customers.
