Either way, the cryptocurrency is working itself into the mainstream financial world, achieving the scale and critical mass that may make it increasingly difficult to dislodge or restrain.</p>\n<p>With its market value hovering around $1 trillion, Bitcoin (BTC) has become too large and influential to remain on the financial fringes. Wall Street is pumping out reports on cryptos. Piper Sandler issued a 30-page report on Thursday, noting that the “crypto-economy could be entering a pivotal point in its development/lifecycle.”</p>\n<p>Coinbase Global, the largest U.S. crypto exchange and custodian, says it plans to go public on April 14 in what may be the largest tech IPO since Facebook(ticker: FB) in 2012. Private valuations peg Coinbase at $68 billion. The firm custodies an estimated $90 billion in crypto assets on its platform. It had revenue of $1.3 billion in 2020 and profits of $322 million, according to a regulatory filing.</p>\n<p>Fintechs see Bitcoin and other cryptos as a vast new market for payments and transaction services.Visasays it plans to settle transactions in a “stablecoin,” USD Coin (USDC). About $10 billion of USDC is now circulating, according to Visa, which sees it used for everything from buying a cup of coffee to cross-border payments, trade settlements, or foreign money transfers. Stablecoins are like digital dollars, pegged in value to the buck.</p>\n<p>Other votes of confidence in Bitcoin are coming fromTesla(TSLA),PayPal Holdings(PYPL) andSquare(SQ), all of which are now offering ways to transact in Bitcoin or other cryptos.</p>\n<p>And there are expanding ways to invest, including derivatives, stocks and holding companies like the Grayscale Bitcoin Trust (GBTC). Fund sponsors are also angling to launch a U.S.-listed exchange-traded fund (catching up to Canada, where Bitcoin ETFs recently started trading).</p>\n<p>U.S. fund sponsors filing for approvals recently include Fidelity Investments, VanEck,WisdomTree Investments(WETF), SkyBridge Capital, Valkyrie Digital Assets, and NYDIG Asset Management, according to Piper Sandler.</p>\n<p>The Securities and Exchange Commission has so far declined to approve a Bitcoin ETF, citing concerns about volatility, price transparency, and market manipulation. However, the Biden Administration’s nominee for SEC chairman, Gary Gensler, may take a friendlier approach. Gensler previously ran the Commodity Futures Trading Commission and has studied cryptos extensively. “This is good news for the digital assets industry,” wrote Jeff Bandman, a former CFTC official in aposton CoinDesk.</p>\n<p>As Bitcoin becomes entrenched, it may only get harder for regulators to restrain. Its growing acceptance as an alternative investment or transaction currency is far outpacing regulatory controls. That, in turn, could improve the investment case for owning it, according to Piper Sandler.</p>\n<p>“Many investors view this scale as a safeguard against potentially overbearing regulations from governments in the developed world,” Piper says. Investing in Bitcoin, the firm adds, is a “quasi call option for both individuals and institutions on this new and potentially disruptive technology.”</p>\n<p>Some economists also view Bitcoin’s rising clout as a means of keeping regulators at bay.</p>\n<p>“My read on the last six to 12 months is that as influential investors come in, it puts pressure on regulators not to do anything,” says Harvard economist Kenneth Rogoff, who doesn’t expect regulators to sit on their hands forever.</p>\n<p>Bitcoin and other crytpos are regulated by various federal agencies and states, but they aren’t entirely clear or consistent. The IRS classifies cryptos as property, for instance, subjecting it to capital-gains tax. The CFTC said in 2015 that virtual currencies should be “properly defined as commodities.” Banks, for their part, are now allowed to custody cryptos, conduct banking in stablecoins, and participate in blockchain networks under guidelines from the U.S. Comptroller of the Currency.</p>\n<p>But prices for Bitcoin and other cryptos are likely to stay volatile. Only a small fraction of the Bitcoin supply actually trades on exchanges or other platforms—most of it is kept off the market by long-term “hodlers.” That makes the price volatile and act like a thinly traded stock.</p>\n<p>“How bubbly is this market? I think it’s very bubbly,” says Carmen Reinhart, chief economist of the World Bank. “It’s low liquidity and it may not take any melodrama in a thin market to reverse most or all of the price gains we’ve seen.”</p>\n<p>Nonetheless, Bitcoin’s use cases are also compelling, she notes, particularly in countries like Venezuela and Lebanon, where hyperinflation and capital controls incentivize the use of unregulated digital currencies.</p>\n<p>“If you want to get money out of Lebanon or any country where you’re concerned about its future prospects—whether it’s inflation, confiscation, or anything else—crypto is a way of transferring [money], a vehicle for capital flight,” she says.</p>\n<p>As for the price, investors should buckle up. “We have to expect huge price volatility,” Reinhart says. “But does this mean we’ll see a crash from which it doesn’t recover? Jay-Z, who owns Tidal through his holding company, Project Panther Bidco, will join Square's board. The acquisition raised eyebrows since Square mainly provides online payment services for merchants, and peer-to-peer payments,<b>Bitcoin</b>(CRYPTO:BTC) purchases, and stock trades for consumers.</p>\n<p>In a threaded tweet, Square CEO Jack Dorsey, who also leads <b>Twitter</b>(NYSE:TWTR), defended the purchase by declaring that Square's payment services could help Tidal's musicians \"support their work,\" and there were still plenty of \"compelling\" growth opportunities \"between music and the economy.\"</p>\n<p>But as a Square investor, I still can't see the synergies between Square and Tidal. Instead, I think Tidal would have been a better fit for Twitter, which is already a major promotional platform for musicians.</p>\n<p><b>Why buying Tidal doesn't make sense for Square</b></p>\n<p>Tidal is a distant underdog in the crowded streaming music market. It claimed to serve 3 million subscribers in early 2016, but it hasn't updated that figure since then.</p>\n<p>In 2017, a Norwegian newspaper claimed Tidal was inflating its subscriber numbers, and that it only had about 1.2 million subscribers. Last year, Counterpoint Research claimed Tidal only accounted for about 5% of the streaming music market.</p>\n<p>By comparison,<b>Spotify</b>(NYSE:SPOT)ended 2020 with 345 million monthly active users and 155 million paid subscribers.<b>Apple</b>(NASDAQ:AAPL) Music surpassed 72 million subscribers last year.</p>\n<p>Tidal costs $9.99 per month for standard-quality streams, which roughly matches Spotify Premium and Apple Music's prices, and $19.99 per month for high-quality streams. Its revenue rose 26% to $147.6 million in 2018, which suggests it only served about 1.2 million to 2.4 million subscribers that year.</p>\n<p>Tidal's net loss only narrowed slightly from $40.2 million to $36.9 million in 2018. It hasn't revealed any updated figures for 2019 or 2020 yet.</p>\n<p>Meanwhile, Square's own bottom line remains wobbly. Its net income declined 43% to $213 million in 2020, as itrelied heavilyon lower-margin Bitcoin revenue to offset its declining transaction fee revenue throughout the pandemic.</p>\n<p>Excluding $295 million in investment-related gains, most of which came from its stake in <b>DoorDash</b>(NYSE:DASH), it would have posted a net loss of $82 million. Square gained that stake by selling its food delivery platform, Caviar, to DoorDash in late 2019.</p>\n<p>Square likely sold Caviar because it was losing money and couldn't gain much ground against DoorDash,<b>Grubhub</b>, or <b>Uber</b> Eats in the food delivery market. But Tidal is also losing money and struggling to stay relevant in a market dominated by larger rivals.</p>\n<p>Caviar, which could be integrated into Square's \"Square for Restaurants\" platform, also seemed like a much better fit for Square's payments ecosystem than Tidal. It plans to significantly increase its number of monetizable features and believes those improvements will<i>more than double</i>its annual revenue from $3.7 billion in 2020 to more than $7.5 billion in 2023. Twitter also plans to offer more ad products for small-to-medium-sized businesses, expand its mobile advertising platform MoPub, and possibly allow its users to charge subscription fees to hit those targets.</p>\n<p>But I'm not convinced those efforts will work, especially as higher-growth social media platforms like <b>Snap</b>'s Snapchat and <b>Pinterest</b> are growing atmuch faster ratesthan Twitter.</p>\n<p>However, buying Tidal's streaming music platform and integrating it into Twitter's mobile app could be a game-changing move. Musicians could directly stream music from their profiles, and Twitter could launch a freemium version of Tidal as a new tab within its app. That ecosystem expansion, which would mirror Snap's addition of Discover videos, could lock in Twitter's users and boost its average revenue per user.</p>\n<p>Twitter also ended 2020 with a net loss, mainly due to pandemic-related expenses, but its profitability should improve significantly this year as its core advertising business regains its momentum. Therefore, Twitter could have easily justified buying Tidal as a necessary expansion of its business.</p>\n<p><b>The bottom line</b></p>\n<p>I don't plan to sell my shares of Square anytime soon, but its abrupt investment in Tidal is a baffling decision. The acquisition raised eyebrows since Square mainly provides online payment services for merchants, and peer-to-peer payments,Bitcoin(CRYPTO:BTC) purchases, and stock trades for consumers.\nIn a threaded tweet, Square CEO Jack Dorsey, who also leads Twitter(NYSE:TWTR), defended the purchase by declaring that Square's payment services could help Tidal's musicians \"support their work,\" and there were still plenty of \"compelling\" growth opportunities \"between music and the economy.\"\nBut as a Square investor, I still can't see the synergies between Square and Tidal. Instead, I think Tidal would have been a better fit for Twitter, which is already a major promotional platform for musicians.\nWhy buying Tidal doesn't make sense for Square\nTidal is a distant underdog in the crowded streaming music market. It claimed to serve 3 million subscribers in early 2016, but it hasn't updated that figure since then.\nIn 2017, a Norwegian newspaper claimed Tidal was inflating its subscriber numbers, and that it only had about 1.2 million subscribers. Last year, Counterpoint Research claimed Tidal only accounted for about 5% of the streaming music market.\nBy comparison,Spotify(NYSE:SPOT)ended 2020 with 345 million monthly active users and 155 million paid subscribers.Apple(NASDAQ:AAPL) Music surpassed 72 million subscribers last year.\nTidal costs $9.99 per month for standard-quality streams, which roughly matches Spotify Premium and Apple Music's prices, and $19.99 per month for high-quality streams. Its revenue rose 26% to $147.6 million in 2018, which suggests it only served about 1.2 million to 2.4 million subscribers that year.\nTidal's net loss only narrowed slightly from $40.2 million to $36.9 million in 2018. But Powell and Yellen are also expected to be asked what, if anything, they learned about managing the biggest crisis since the Great Recession in 2007-2009.\nThe historic bottom one year ago\nThe S&P 500 bottomed on March 23rd, 2020. From the mid-February, 2020 high to the March 23 bottom, the S&P dropped 34%, its biggest drop since the 50% decline in the Great Financial Crisis.\nThe big difference between now and then: the breathtaking speed of the recovery. In the Financial Crisis, the S&P did not return to its old high until February 2013, nearly six years later. In the case of the Covid drop, the S&P returned to its February 2020 high in August of that year, a mere six months later and is now up 75% from that March 23 bottom.\nThe Great Financial Crisis, of course, was a different kind of disaster than Covid, but the speed of this recovery was nonetheless breathtaking.\nWhat accounted for the breathtaking recovery? Most traders cite the lessons the Fed learned from the Financial Crisis.\n“The Fed had a playbook from the last time around [the Financial Crisis], they accelerated it and sped everything up,” Peter Cecchini from AlphaOmega Advisors told me. “They went really big ”\nCecchini noted the Fed instituted a massive monetary stimulus program, cutting rates almost to zero, and unveiled plans for massive asset purchases. “The biggest difference was the primary and secondary lending facilities that intervened in the corporate bond market,” he said. “Even though they did not buy that much debt, the Fed said, ‘Corporate America, you can count on us. We will not let the corporate bond market implode.’ And that had a huge effect on confidence.”\nChris Murphy, co-head of derivative strategy at Susquehanna, also credited science, which is not usually a factor in stock rallies: “The other good news is that this felt like a temporary thing, depending on getting a vaccine, whereas no one was sure how long the Financial Crisis was going to last.”\nThe Fed’s largess shows up in stocks\nWhile all 11 sectors of the S&P are well off that March 23 low, the biggest movers are those sectors that were the most direct beneficiaries of the Fed and Congressional largess: small caps, commodities, and cyclicals like Transports and Industrials, what has come to be known as the “reflation trade.”\nMajor sectors since the bottom: reflation rules (since March 23, 2020)\n\nRussell 2000 up 126%\nTransports up 108%\nBanks up 107%\nMaterials up 93%\nEnergy up 91%\nIndustrials up 90%\n\nWhile Technology has also done well (up 85%), consumer sectors have greatly lagged the reflation trade because those stocks benefit less from the “reopening” of the economy.\nDefensive sectors lag the recovery (from 3/23/20 low)\n\nHealth Care up 47%\nConsumer Staples up 32%\nUtilities up 30%\n\nWhat investors are really invested in: Rapid change\nStill, looking at returns since the bottom shows an even bigger trade than reflation: call it the “rapid change trade.”\nInvestments in clean energy, online retail, lithium/batter, 3D printing, cyber security, have all exploded in the last year.\nThe “rapid change” trade? (from 3/23/20 low)\n\nClean Energy (PBW) up 324%\nOnline Retail (IBUY) up 303%\nARK Innovation (ARKK) up 231%\nLithium/Battery (LIT) up 217%\n3D Printing (PRNT) up 166%\n\n“Investors are betting that Covid is speeding up a tech transformation of the home and the workplace...so investing in change is definitely a theme,” said Murphy.\nStill, it seems a bit strange. You have the old school energy, brick and mortar, and industrials all rallying, and at the same time you have the high-tech, more speculative “rapid change trade.”\nCan you have both? “Over time, one will prevail over the other, but right now, circumstances are such that there is room for both,” Steve Sosnick from Interactive Brokers told me. “Think of all the new investors that have come into the market in the last year. The new money has gone into that thematic tech. That’s what happened in the late 1990s: a whole new crop of investors came in and were interested in tech. The old school investors aren’t comfortable chasing that trend.”\nStill, betting on everything speeding up also seems a safe bet for Jim Besaw, chief investment officer at GenTrust, who is one of many observers noting that the pace of change, the pace of trading, the pact of everything seems to have sped up in the last year: “Everything we previously believed would take months to happen now was going to happen in a matter of days/hours.”\nYellen and Powell\nWhat will Powell and Yellen say about the lessons learned from managing the Covid crisis?\nWhile Sosnick expects a wide discussion about inequality and the K-shaped recovery, he also expects a vociferous defense of going big with stimulus: “The Republicans I think will argue going big was right in the beginning, but did we really need to ‘go big’ now, with this latest stimulus, when we are more likely closer to the end than the beginning?”\nCecchini, who is writing a book about the fiscal and monetary policy response to the pandemic, hopes Congress will push back on the increasingly aggressive behavior of the Fed during these crises.\n“There are situations where a coordinated fiscal and monetary response is warranted,” he said.\n“But if you are going to have these kinds of coordinated efforts in the future, there needs to be a more explicit involvement of Congress. The blockage is further stressing an already strained supply chain, said Jon Gold, vice president of supply chain and customs policy for the National Retail Federation.\n“Every day that the vessel remains wedged across the canal adds delays to normal cargo flows,” he said, adding that the trade group’s members are actively working with carriers to monitor the situation and determine the best mitigation strategies. “Many companies continue to struggle with supply chain congestion and delays stemming from the pandemic. Energy exports like liquified natural gas, Crude oil, and refined oil make up 5% to 10% of global shipments. The rest of the traffic is largely consumer products ranging from fire pits to clothing, furniture, manufacturing, auto parts and exercise equipment.\n“The key to this problem hinges on how much longer it will take to move the Ever Given,” explained Alan Baer, President of logistics provider, OL USA LLC. “USA importers face arrival delays of three days right now and this will continue to grow as long as the disruption continues.”\nHorn of Africa\nThe Suez has provided some relief for global importers as they increasingly relied on it last year to avoid massive congestion at West Coast ports in the U.S. that added days, if not weeks, to some deliveries coming from Asia.\nBaer, who has containers on vessels stuck in both lanes of the Suez Canal, said if it stays closed, vessels will be diverted and go around the horn of Africa, which adds an additional seven to nine days to a trip.\nAccording to BIMCO, the largest of the international shipping associations representing shipowners, the bottleneck will only continue to grow and impact supplies.\n“Everyone is making contingency plans as we speak,” said Peter Sand, chief shipping analyst at BIMCO.\nBIMCO\n“Carriers run a third of their Asia trade strings to the U.S. East Coast via the Suez and two-thirds via Panama Canal,” said Baer. “Disruption is also hitting the import trade from India as well as the Middle East.”\nClearing the backlog\nAccording to the World Shipping Council, the Suez canal’s daily vessel throughput capacity is 106. If the canal is closed for two days, it will then take two additional days after re-opening to clear the backlog. The longer the delay, the longer it will take to move out the vessels.\nLars Jensen, CEO of Sea Intelligence Consulting, tells CNBC the schedule reliability for container vessels is already in disarray as a result of the pandemic.\n“Right now two out of three container vessels arrive late,” he explained. “And when they are late, they are on average five days late,” he said, adding that a two-day delay isn’t a major problem. “However, the longer this drags out, the worse it gets because you are then talking about effectively removing vessel capacity as well as containers at a point in time where they are already in short supply.”\nStranded container ship Ever Given, one of the world’s largest container ships, is seen after it ran aground, in Suez Canal, Egypt March 25, 2021.\nInventory impact\nIn addition to delaying thousands of containers loaded with consumer items, the stranded ship has also tied up empty containers, which are key for Chinese exports.\n“Containers are already scarce in China and the backup in the Suez will further stress the inventory,” explained Jon Monroe, maritime trade and logistics consultant with Jon Monroe Consulting. “We are back to a pre-Chinese New Year environment where factories are running at full steam and are struggling to find containers as well as space for their finished goods.”\nThis delay will impact the arrival of U.S. imports that fill store shelves as well as U.S. manufacturing components.\n“Before the Suez Canal disruption, we were expecting the container situation to get worse in April because we were already seeing the scarcity of containers,” said Monroe. “This canal closure will not help. It isn’t conducting a typical roadshow, but may host one or more investor days, the prospectus said.</p><p>Founded in 2012, Coinbase is the largest U.S. cryptocurrency exchange, with more than 43 million verified users last year, up 34% from 32 million users in 2019. Its online platform allows users to buy, sell, transfer, and store Bitcoin and other digital currencies. The company, whose mission is to create an open financial system for everyone, has raised $537.4 million in funding, according to Crunchbase. Its last round, which raised $300 million in 2018, valued Coinbase at $8 billion. Investors include Andreessen Horowitz, Tiger Global, IVP, andRibbit Capital.</p><p>Coinbase swung to a profit in 2020. It reported $322.3 million in net income for the year ended Dec. 31, up from $30.4 million in losses for the same period in 2019, the prospectus said. Revenue jumped 136% to $1.14 billion for the same period. The company had 1,249 employees.</p><p>Brian Armstrong, Coinbase’s co-founder and CEO, has 21.7% total voting power, while Andreessen Horowitz has 14.3%, the prospectus said.</p><p>Coinbase is the latest company to opt for a direct listing instead of a traditional IPO. This sometimes leads to large pops in the aftermarket price of companies. There is also a lockup period that restricts shareholders from selling their stock.</p><p>By comparison, direct listing aims to level the playing field for investors. Instead of companies raising fresh capital, existing shareholders sell their stock, and there is no lockup period restricting stockholders from offering their shares. Underwriters in a direct listing also don’t set the price range. Instead, the exchange typically consults with a company’s financial advisors to set the price for the stock.</p><p>Coinbase is going public as cryptocurrencies have experienced a surge in acceptance. Coinbase won’t receive any proceeds from shareholders selling their stock during the offering,the prospectus said.Goldman Sachs,J.P. Morgan Securities, Allen & Co., and Citigroup Global Markets are acting as financial advisors on the deal. Coinbase plans to trade on the Nasdaq under the symbol “COIN.”Companies typically have to wait 15 days to commence a roadshow for their IPOs after making the prospectus public. This means Coinbase could launch the direct listing as soon as next month. It isn’t conducting a typical roadshow, but may host one or more investor days, the prospectus said.Founded in 2012, Coinbase is the largest U.S. cryptocurrency exchange, with more than 43 million verified users last year, up 34% from 32 million users in 2019. Its online platform allows users to buy, sell, transfer, and store Bitcoin and other digital currencies. The company, whose mission is to create an open financial system for everyone, has raised $537.4 million in funding, according to Crunchbase.
