有饭研究","summary":"腾讯看上去有两副面孔。一面,是“科技向善”的企业使命;另一面,是网友“南山必胜客”、“资本大鳄”的调侃和责难。两副面孔是如此矛盾,腾讯人可能有时候自己也会感到模糊,哪一面才是真相?\n而对于多家三方游戏","content":"<p>腾讯看上去有两副面孔。一面,是“科技向善”的企业使命;另一面,是网友“南山必胜客”、“资本大鳄”的调侃和责难。两副面孔是如此矛盾,腾讯人可能有时候自己也会感到模糊,哪一面才是真相?</p>\n<p>而对于多家三方游戏交易平台来说,“科技向善”还没看到,被腾讯告,才是实实在在的真实。</p>\n<p>一、起因:200亿年交易额,20年业态,一朝被告</p>\n<p>第三方游戏交易平台,即脱离开网络游戏本身的,由非游戏官方运营的,提供给玩家在其上交易游戏账号、游戏内金币、道具等虚拟物品的平台,属于游戏第三方服务业。</p>\n<p>可以理解为,专门交易这些东西的“闲鱼”、“二手车交易平台”。目前比较知名的平台有5173、DD373、交易猫、淘手游等。淘手游介绍自己业务的时候,话术比较官方,是专门“帮助玩家处置,闲置的游戏财产”的。</p>\n<p>国内这类平台最早出现在2002年,据交易平台DD373介绍,目前市场规模估计在年交易额200亿元左右。</p>\n<p>但从2020年开始,国内主要的第三方游戏交易平台开始被腾讯以“不正当竞争”,“侵害作品信息网络传播权”等事由告上法庭。</p>\n<p>对于这次的诉讼,这些平台的反应,多是“有点懵”,“从没被告过”,且纷纷表示,都是合法经营,“持有国家文化部发放的‘利用互联网从事网络游戏虚拟货币交易’的经营许可证”,有的企业还“多次取得当地政府颁发的各项荣誉”。</p>\n<p>另一层面,<b>在第三方交易平台看来,这个业态的存在逻辑,其实就是依附于游戏,它满足了游戏本身,游戏运营商,以及玩家的需求,才得以生存。</b></p>\n<p>据淘手游的代理律师陈晔介绍,“其实大部分游戏运营商是支持三方交易平台的,因为账号和道具的流通,可以使游戏生命周期更长,降低玩家体验游戏的成本,死号率也更低,游戏内的‘活人活号’多。经济生态做得越好的游戏,账号和道具的交易就越频繁。所以像网易有自已的藏宝阁交易平台,这种交易流通其实对游戏运营商有很大帮助。这还只是其中一个方面,大的平台如果流量够大,还能为一些游戏起到宣传作用,能给游戏早期带量,等等。”</p>\n<p>DD373方面也表达了同样的疑惑,他们觉得和游戏运营商,“多年以来相处很好,也有很多互相配合的案例,像类似账号找回了,物品系统问题丢失了,找到游戏公司很多都会配合处理,这就说明了他们是欢迎这种业态的。而且绝大部分游戏没有官方交易平台。”</p>\n<p>玩家方面,对于这个存在了快20年的交易方式,知悉度、接受度也是比较高的。记者随机采访了一些游戏玩家,所涉游戏包括网易运营的《魔兽世界》《梦幻西游》、腾讯的《天涯明月刀》《英雄联盟》《穿越火线》、西山居的《剑网3》等。</p>\n<p>这些游戏的玩家基本上都知道第三方游戏交易平台的存在,也都表示如果有需求是愿意在这些平台上交易的,有大约不到2成左右的用户在平台上进行过交易。这几款游戏的特征都是长时间运营,接受采访的玩家,游戏龄也比较长。</p>\n<p>他们接受这种方式,第一是的确有买卖账号和物品的需求,第二是官方没有提供交易平台,第三通过平台可以获得担保交易避免上当受骗。即使像《梦幻西游》这样有官方交易平台的游戏,不少玩家也选择第三方平台,理由是交易费相对低一些,同时获取账号或者物品的效率能更快一些。</p>\n<p>经常在《梦幻西游》中买卖账号和道具的小陈表示,网易从未禁绝第三方平台的销售行为,并尝试通过运营手段从中获利。</p>\n<p>二、争议:我还能不能在第三方平台卖我自己花钱花时间玩的账号了?</p>\n<p>这场腾讯发起的,接连诉讼多家第三方交易平台的“车轮战”。第一场,诉贵州指趣网络科技有限公司(淘手游)的一审,已有判决。</p>\n<p>判决书显示,腾讯方面举证,在淘手游上销售其运营的游戏《地下城与勇士》的账号、道具,有三大损害:</p>\n<p>第一,对游戏本身的运营造成损害。</p>\n<p>第二,损害玩家的利益,因为《腾讯游戏许可及服务协议》以及游戏运营公告里都规定不可以这样交易账号、道具、装备等,腾讯要依约遵守,玩家也要。</p>\n<p>第三,扰乱游戏市场的竞争秩序,因为违反了国家要求网络服务实名制,以及违反了游戏行业中禁止第三方交易游戏账号的行业惯例。</p>\n<p>第三方交易平台构成不正当竞争,应当停止上架《地下城与勇士》的相关交易,索赔490万,道歉等。</p>\n<p><img height=\"auto\"></p>\n<p>判决书中,腾讯对用户协议的说明。是否公平合理,是否真的是维护玩家的合法利益,大家心里都有杆秤</p>\n<p>最后法院判腾讯胜诉,要求淘手游下架相关产品,不允许再上架,赔偿包括诉讼费在内的70万元。</p>\n<p>这一场胜负,实际上不单单是两家公司的输赢。另外几家被起诉的平台,已感不安。但其实最应该感到不安的,可能是广大的游戏玩家。</p>\n<p>这些案件的背后,争议的核心在于,<b>普通用户花时间花钱玩出的游戏角色,获得的道具、装备、金币等等,以及承载这些的账号,归属到底是谁,谁有处置权?</b></p>\n<p>腾讯在这次的诉讼中,刻意规避了这个问题,只提到<b>用户协议中,有规定,不可以在第三方平台上销售和获得,</b>这是游戏运营商和玩家互相约定的合同,有法律效益。</p>\n<p>有两位中立的法律专家在接受采访时,都提到了上述的核心问题。</p>\n<p>专门研究电子游戏与电子竞技的王如华律师,研究了案件相关的信息后,表示作为独立观察者,支持交易平台一方。他直接指出,账号交易的本质,是交易游戏网络账号对应的游戏角色、游戏道具、游戏虚拟货币等数据或网络虚拟财产。</p>\n<p>作为一名游戏法律从业者,当然<b>“希望游戏玩家可以自由处分,转让自己游戏账号相关的各种虚拟财产权益,不希望这些权益被包括任何一家游戏公司通过格式合同强行与自身永久捆绑”。</b></p>\n<p>中国人民大学民商事法律科学研究中心副主任、中国知识产权法学研究会副秘书长,常务理事姚欢庆教授认为“<b>就游戏账号及游戏衍生物而言,对于游戏的玩家来说,既具有使用价值,也具有主观价值,是游戏用户通过时间投入或者金钱购买的</b>。只要这些字符串所对应的虚拟物有主观价值,在不违背国家强制性规范的前提下,<b>就都具有财产的属性</b>。作为账号及相关衍生品的拥有者,<b>玩家理应拥有类似于现实世界中动产所有权一样的占有、使用、收益或者处分这些虚拟财产的权利。</b></p>\n<p>而对于“用户协议”,两位专家和腾讯方面所持意见也不同。腾讯认为用户协议是它与玩家之间公平的合同,对双方均有约束力,玩家必须遵守这个协议。</p>\n<p>姚教授认为,这种用户协议,其中设定的各种条款属于“格式条款”,它是一种法学上的概念,指由一方当事人(这里是腾讯)为重复使用而预先拟定的条款,并于缔约时不容相对人(这里也就是玩家)协商的条款。<b>因为会有格式条款制定者利用优势地位滥用权利的可能,所以合同法、民法典都对滥用格式条款的情形进行了规制。</b></p>\n<p>在具体探讨这个问题上,姚教授没有下结论,但是提供了思考的方向:游戏公司<b>本身已经通过衍生物的销售或者流量变现获得了利益。</b>在获得这部分利益以后,网络服务提供者<b>是否有权通过限制这些虚拟物的流转获得新的稀缺性利益,需要单独考虑。</b>限制虚拟物的流转是否显示公平,是否违反诚实信用原则,还是有进一步的探讨余地。</p>\n<p>王律师指出,用户协议就是格式条款,但他的倾向性就比较明确,他认为,“尽管游戏用户和腾讯公司的协议中宣称虚拟财产归其所有,并禁止游戏用户与第三人进行虚拟财产交易。但这样的条款是腾讯单方面拟定、提出的,不会与游戏玩家协商,也不存在游戏玩家与其协商的空间。这种典型的格式条款违反了公平原则,单方面限制了用户主要权利。<b>”</b>不过王律师也指出,这种认定,在个案中需要法院具体适用。</p>\n<p>对于腾讯的用户协议中,规定的内容,王律师另外也提出了一些质疑:当下,法律对于数据及网络虚拟财产并没有相应明确的规定。所以腾讯公司和游戏玩家的“协议”,称游戏中的数据及网络虚拟财产的所有权是自己的,在现有法律框架下是不严谨的一种表述。网络游戏账号对应的游戏角色、游戏道具、游戏虚拟货币等数据或网络虚拟财产,更多的是一个权益束,里面有游戏公司的法益,有游戏玩家的法益,甚至有社会国家的法益,整个权益束不会为一家所独占。</p>\n<p>虚拟财产的处置,以及格式条款的讨论之外,第三方平台们还在担心饭碗和生态链的问题。如果腾讯最终都胜诉,会不会开启某种模式,导致其他企业有样学样,第三方平台业务倒掉,依附于其上的工作室及其从业者失业……针对这种担心,王律师认为,不太可能,因为司法政策会变化,虽然这种变化可能会相对缓慢。另外,部分法院的看法也不一定影响到全国法院的看法,更不一定是国家立法机关的未来立法的意见。</p>\n<p>三、归因:是想搞垄断,还是《地下城与勇士》不行了?</p>\n<p>对于第一案的败诉,第三方平台颇有不忿。最大的不满,来自于“你告我,不让我卖,但是京东、转转、拼多多上都有该游戏的相关交易,微信、QQ上还有入口。如果腾讯说的那些理由成立,第三方平台对游戏、玩家都这么大的影响,那让这些平台卖还给导量,怎么解释?腾讯自己信吗?这是什么?这就是搞垄断。”</p>\n<p>淘手游的代理律师对此比较愤慨,“这个问题,大家很清楚,就是通过法律手段打掉小平台小公司,扶持腾讯系的公司来做这个事,而到那一天,游戏是我开发的,交易平台是我旗下的。交易费收多少?怎么交易?给不给你交易?不都是腾讯说了算。”</p>\n<p>“强化反垄断和防止资本无序扩张”,无疑是未来一段时间国家的重要政策。和案件双方都无关系的王律师指出,如果腾讯有自己的投资的平台,可以从事类似的业务而不允许其他商家这么做,恰好说明腾讯的行为在此案中,可能最接近滥用市场支配地位这种垄断形式——如无正当理由,限定交易相对人只能与其进行交易或者只能与其指定的经营者进行交易。他也强调,反垄断在民事案件中不太会直接涉及,不过希望反垄断的精神会影响民事法官在裁判案件中对法律的理解及解释。</p>\n<p>在云游戏领域,有个别中小云游戏平台,因为上架了腾讯的游戏,被告侵权和不正当竞争。</p>\n<p>据当事方透露,如果打这个官司,一方面对于小公司来说,诉讼成本过高,而且未必赢,另一方面,面临高额的赔偿,承担不起。这个时候,腾讯投资部门就提出和解,接受腾讯投资,并且要求服务器等相关需求必须使用腾讯云的服务。这个手法,据说,还用在了动漫、直播、短视频等领域。</p>\n<p>这其中,有的的确是侵权事实比较明确,有的就不好说,权责比较模糊,法律没有明确规定,特别是这次游戏第三方交易平台。</p>\n<p>另一种猜想,是来自于《地下城与勇士(DNF)》游戏本身。因为腾讯的其他产品,貌似还没有提出诉讼。</p>\n<p>而腾讯的2019年报显示:“增值服务中,网络游戏全年收入约1147亿元,同比增长10%。主要受益《王者荣耀》、《和平精英》和《PUBGMobile》等手游的贡献增加,部分被《DNF》等端游收入下滑所抵消。”</p>\n<p>这份年报,在2020年公布,正是腾讯提出这次车轮战式诉讼的年份。</p>\n<p>同期,DNF的玩家也对腾讯的运营进行了一番责难。</p>\n<p>据玩家解释,DNF在胜极之时,是默许一些刷图外挂、代练工作室的存在的,现在没“那么火”了,就“重拳出击”,对外挂和代练进行了比较彻底的查封,玩家圈子吵了好一阵。</p>\n<p>四、到底哪一个是腾讯的面目?</p>\n<p>其实很难想象,盛极一时,为腾讯游戏奠定胜局的《地下城与勇士》,要用这种姿态和面目,去面对衰退。</p>\n<p>这款2008年上线,代理自韩国的客户端网游,在当时具有划时代的意义,是全新的品类,与当时已有的游戏有比较大的不同。它与另一款韩国游戏《穿越火线》一起,正式开启了腾讯游戏的成功,将其捧上行业第一。</p>\n<p>但腾讯在当时的一些行为,自研方面的仿制,等等,最终通过2010年7月的3Q大战,引爆了舆论。</p>\n<p>腾讯在当年,痛定思痛,开启了开放战略。我当时坐在台下,非常近距离地看着腾讯的创始人,马化腾说,腾讯当时的年利润200亿,他相信反思过去决定开放之后,会为腾讯带来另一个200亿。</p>\n<p>这位情感不爱外露的天蝎男,说得诚恳,真实,动情。</p>\n<p>腾讯一面在说,科技向善。可是睁开眼看看,腾讯的面目到底是怎样,腾讯自己看清了吗?</p>\n<p>我相对来说更喜欢马化腾那时的面目。</p>\n<p>还有一次,腾讯发第一款火影正版授权的游戏,我采访制作人问,你们会通过法律手段打掉其他蹭IP的或者盗版游戏吗?</p>\n<p>看上去就有点宅的制作人想了想说,“我觉得自己的产品做得够好,玩家都来玩,更重要。如果正版都做不过盗版,还有什么好说的?”后来大家都知道,腾讯的这款火影忍者游戏相当成功。</p>\n<p>这才是腾讯应该有的面目吧。</p>","source":"lsy1580730584351","collect":0,"html":"<!DOCTYPE Link</a>\n\n</div>\n\n\n</article>\n</div>\n</body>\n</html>\n","type":0,"thumbnail":"https://static.tigerbbs.com/e7799eeb7043b8caaf3d109c3b13109e","relate_stocks":{"00700":"腾讯控股"},"source_url":"https://mp.weixin.qq.com/s/8hlW3HEfwfJsEuuh2eLylQ","is_english":false,"share_image_url":"https://static.laohu8.com/e9f99090a1c2ed51c021029395664489","article_id":"1162302135","content_text":"腾讯看上去有两副面孔。一面,是“科技向善”的企业使命;另一面,是网友“南山必胜客”、“资本大鳄”的调侃和责难。两副面孔是如此矛盾,腾讯人可能有时候自己也会感到模糊,哪一面才是真相?\n而对于多家三方游戏交易平台来说,“科技向善”还没看到,被腾讯告,才是实实在在的真实。\n一、起因:200亿年交易额,20年业态,一朝被告\n第三方游戏交易平台,即脱离开网络游戏本身的,由非游戏官方运营的,提供给玩家在其上交易游戏账号、游戏内金币、道具等虚拟物品的平台,属于游戏第三方服务业。\n可以理解为,专门交易这些东西的“闲鱼”、“二手车交易平台”。目前比较知名的平台有5173、DD373、交易猫、淘手游等。淘手游介绍自己业务的时候,话术比较官方,是专门“帮助玩家处置,闲置的游戏财产”的。\n国内这类平台最早出现在2002年,据交易平台DD373介绍,目前市场规模估计在年交易额200亿元左右。\n但从2020年开始,国内主要的第三方游戏交易平台开始被腾讯以“不正当竞争”,“侵害作品信息网络传播权”等事由告上法庭。\n对于这次的诉讼,这些平台的反应,多是“有点懵”,“从没被告过”,且纷纷表示,都是合法经营,“持有国家文化部发放的‘利用互联网从事网络游戏虚拟货币交易’的经营许可证”,有的企业还“多次取得当地政府颁发的各项荣誉”。\n另一层面,在第三方交易平台看来,这个业态的存在逻辑,其实就是依附于游戏,它满足了游戏本身,游戏运营商,以及玩家的需求,才得以生存。\n据淘手游的代理律师陈晔介绍,“其实大部分游戏运营商是支持三方交易平台的,因为账号和道具的流通,可以使游戏生命周期更长,降低玩家体验游戏的成本,死号率也更低,游戏内的‘活人活号’多。经济生态做得越好的游戏,账号和道具的交易就越频繁。所以像网易有自已的藏宝阁交易平台,这种交易流通其实对游戏运营商有很大帮助。这还只是其中一个方面,大的平台如果流量够大,还能为一些游戏起到宣传作用,能给游戏早期带量,等等。”\nDD373方面也表达了同样的疑惑,他们觉得和游戏运营商,“多年以来相处很好,也有很多互相配合的案例,像类似账号找回了,物品系统问题丢失了,找到游戏公司很多都会配合处理,这就说明了他们是欢迎这种业态的。而且绝大部分游戏没有官方交易平台。”\n玩家方面,对于这个存在了快20年的交易方式,知悉度、接受度也是比较高的。记者随机采访了一些游戏玩家,所涉游戏包括网易运营的《魔兽世界》《梦幻西游》、腾讯的《天涯明月刀》《英雄联盟》《穿越火线》、西山居的《剑网3》等。\n这些游戏的玩家基本上都知道第三方游戏交易平台的存在,也都表示如果有需求是愿意在这些平台上交易的,有大约不到2成左右的用户在平台上进行过交易。这几款游戏的特征都是长时间运营,接受采访的玩家,游戏龄也比较长。\n他们接受这种方式,第一是的确有买卖账号和物品的需求,第二是官方没有提供交易平台,第三通过平台可以获得担保交易避免上当受骗。即使像《梦幻西游》这样有官方交易平台的游戏,不少玩家也选择第三方平台,理由是交易费相对低一些,同时获取账号或者物品的效率能更快一些。\n经常在《梦幻西游》中买卖账号和道具的小陈表示,网易从未禁绝第三方平台的销售行为,并尝试通过运营手段从中获利。\n二、争议:我还能不能在第三方平台卖我自己花钱花时间玩的账号了?\n这场腾讯发起的,接连诉讼多家第三方交易平台的“车轮战”。第一场,诉贵州指趣网络科技有限公司(淘手游)的一审,已有判决。\n判决书显示,腾讯方面举证,在淘手游上销售其运营的游戏《地下城与勇士》的账号、道具,有三大损害:\n第一,对游戏本身的运营造成损害。\n第二,损害玩家的利益,因为《腾讯游戏许可及服务协议》以及游戏运营公告里都规定不可以这样交易账号、道具、装备等,腾讯要依约遵守,玩家也要。\n第三,扰乱游戏市场的竞争秩序,因为违反了国家要求网络服务实名制,以及违反了游戏行业中禁止第三方交易游戏账号的行业惯例。\n第三方交易平台构成不正当竞争,应当停止上架《地下城与勇士》的相关交易,索赔490万,道歉等。\n\n\n判决书中,腾讯对用户协议的说明。是否公平合理,是否真的是维护玩家的合法利益,大家心里都有杆秤\n最后法院判腾讯胜诉,要求淘手游下架相关产品,不允许再上架,赔偿包括诉讼费在内的70万元。\n这一场胜负,实际上不单单是两家公司的输赢。另外几家被起诉的平台,已感不安。但其实最应该感到不安的,可能是广大的游戏玩家。\n这些案件的背后,争议的核心在于,普通用户花时间花钱玩出的游戏角色,获得的道具、装备、金币等等,以及承载这些的账号,归属到底是谁,谁有处置权?\n腾讯在这次的诉讼中,刻意规避了这个问题,只提到用户协议中,有规定,不可以在第三方平台上销售和获得,这是游戏运营商和玩家互相约定的合同,有法律效益。\n有两位中立的法律专家在接受采访时,都提到了上述的核心问题。\n专门研究电子游戏与电子竞技的王如华律师,研究了案件相关的信息后,表示作为独立观察者,支持交易平台一方。他直接指出,账号交易的本质,是交易游戏网络账号对应的游戏角色、游戏道具、游戏虚拟货币等数据或网络虚拟财产。\n作为一名游戏法律从业者,当然“希望游戏玩家可以自由处分,转让自己游戏账号相关的各种虚拟财产权益,不希望这些权益被包括任何一家游戏公司通过格式合同强行与自身永久捆绑”。\n中国人民大学民商事法律科学研究中心副主任、中国知识产权法学研究会副秘书长,常务理事姚欢庆教授认为“就游戏账号及游戏衍生物而言,对于游戏的玩家来说,既具有使用价值,也具有主观价值,是游戏用户通过时间投入或者金钱购买的。只要这些字符串所对应的虚拟物有主观价值,在不违背国家强制性规范的前提下,就都具有财产的属性。作为账号及相关衍生品的拥有者,玩家理应拥有类似于现实世界中动产所有权一样的占有、使用、收益或者处分这些虚拟财产的权利。\n而对于“用户协议”,两位专家和腾讯方面所持意见也不同。腾讯认为用户协议是它与玩家之间公平的合同,对双方均有约束力,玩家必须遵守这个协议。\n姚教授认为,这种用户协议,其中设定的各种条款属于“格式条款”,它是一种法学上的概念,指由一方当事人(这里是腾讯)为重复使用而预先拟定的条款,并于缔约时不容相对人(这里也就是玩家)协商的条款。因为会有格式条款制定者利用优势地位滥用权利的可能,所以合同法、民法典都对滥用格式条款的情形进行了规制。\n在具体探讨这个问题上,姚教授没有下结论,但是提供了思考的方向:游戏公司本身已经通过衍生物的销售或者流量变现获得了利益。在获得这部分利益以后,网络服务提供者是否有权通过限制这些虚拟物的流转获得新的稀缺性利益,需要单独考虑。限制虚拟物的流转是否显示公平,是否违反诚实信用原则,还是有进一步的探讨余地。\n王律师指出,用户协议就是格式条款,但他的倾向性就比较明确,他认为,“尽管游戏用户和腾讯公司的协议中宣称虚拟财产归其所有,并禁止游戏用户与第三人进行虚拟财产交易。但这样的条款是腾讯单方面拟定、提出的,不会与游戏玩家协商,也不存在游戏玩家与其协商的空间。这种典型的格式条款违反了公平原则,单方面限制了用户主要权利。”不过王律师也指出,这种认定,在个案中需要法院具体适用。\n对于腾讯的用户协议中,规定的内容,王律师另外也提出了一些质疑:当下,法律对于数据及网络虚拟财产并没有相应明确的规定。所以腾讯公司和游戏玩家的“协议”,称游戏中的数据及网络虚拟财产的所有权是自己的,在现有法律框架下是不严谨的一种表述。网络游戏账号对应的游戏角色、游戏道具、游戏虚拟货币等数据或网络虚拟财产,更多的是一个权益束,里面有游戏公司的法益,有游戏玩家的法益,甚至有社会国家的法益,整个权益束不会为一家所独占。\n虚拟财产的处置,以及格式条款的讨论之外,第三方平台们还在担心饭碗和生态链的问题。如果腾讯最终都胜诉,会不会开启某种模式,导致其他企业有样学样,第三方平台业务倒掉,依附于其上的工作室及其从业者失业……针对这种担心,王律师认为,不太可能,因为司法政策会变化,虽然这种变化可能会相对缓慢。另外,部分法院的看法也不一定影响到全国法院的看法,更不一定是国家立法机关的未来立法的意见。\n三、归因:是想搞垄断,还是《地下城与勇士》不行了?\n对于第一案的败诉,第三方平台颇有不忿。最大的不满,来自于“你告我,不让我卖,但是京东、转转、拼多多上都有该游戏的相关交易,微信、QQ上还有入口。如果腾讯说的那些理由成立,第三方平台对游戏、玩家都这么大的影响,那让这些平台卖还给导量,怎么解释?腾讯自己信吗?这是什么?这就是搞垄断。”\n淘手游的代理律师对此比较愤慨,“这个问题,大家很清楚,就是通过法律手段打掉小平台小公司,扶持腾讯系的公司来做这个事,而到那一天,游戏是我开发的,交易平台是我旗下的。交易费收多少?怎么交易?给不给你交易?不都是腾讯说了算。”\n“强化反垄断和防止资本无序扩张”,无疑是未来一段时间国家的重要政策。和案件双方都无关系的王律师指出,如果腾讯有自己的投资的平台,可以从事类似的业务而不允许其他商家这么做,恰好说明腾讯的行为在此案中,可能最接近滥用市场支配地位这种垄断形式——如无正当理由,限定交易相对人只能与其进行交易或者只能与其指定的经营者进行交易。他也强调,反垄断在民事案件中不太会直接涉及,不过希望反垄断的精神会影响民事法官在裁判案件中对法律的理解及解释。\n在云游戏领域,有个别中小云游戏平台,因为上架了腾讯的游戏,被告侵权和不正当竞争。\n据当事方透露,如果打这个官司,一方面对于小公司来说,诉讼成本过高,而且未必赢,另一方面,面临高额的赔偿,承担不起。这个时候,腾讯投资部门就提出和解,接受腾讯投资,并且要求服务器等相关需求必须使用腾讯云的服务。这个手法,据说,还用在了动漫、直播、短视频等领域。\n这其中,有的的确是侵权事实比较明确,有的就不好说,权责比较模糊,法律没有明确规定,特别是这次游戏第三方交易平台。\n另一种猜想,是来自于《地下城与勇士(DNF)》游戏本身。因为腾讯的其他产品,貌似还没有提出诉讼。\n而腾讯的2019年报显示:“增值服务中,网络游戏全年收入约1147亿元,同比增长10%。主要受益《王者荣耀》、《和平精英》和《PUBGMobile》等手游的贡献增加,部分被《DNF》等端游收入下滑所抵消。”\n这份年报,在2020年公布,正是腾讯提出这次车轮战式诉讼的年份。\n同期,DNF的玩家也对腾讯的运营进行了一番责难。\n据玩家解释,DNF在胜极之时,是默许一些刷图外挂、代练工作室的存在的,现在没“那么火”了,就“重拳出击”,对外挂和代练进行了比较彻底的查封,玩家圈子吵了好一阵。\n四、到底哪一个是腾讯的面目?\n其实很难想象,盛极一时,为腾讯游戏奠定胜局的《地下城与勇士》,要用这种姿态和面目,去面对衰退。\n这款2008年上线,代理自韩国的客户端网游,在当时具有划时代的意义,是全新的品类,与当时已有的游戏有比较大的不同。它与另一款韩国游戏《穿越火线》一起,正式开启了腾讯游戏的成功,将其捧上行业第一。\n但腾讯在当时的一些行为,自研方面的仿制,等等,最终通过2010年7月的3 href=\"https://laohu8.com/S/BIDU\">百度</a>自动驾驶产品运营部总监徐宝强近期在接受媒体采访时表示:“百度现在的发展方向还并不是把自动驾驶技术输出给车企,而是希望推动共享领域的无人出行事业。”</p>\n<p>在上述言论中,百度透露了两点关键信息:百度不再重点输出自动驾驶技术、专注共享领域无人驾驶。显然,这与最初百度推出<a href=\"https://laohu8.com/S/APOL\">阿波罗</a>计划时的目标已经发生了180度的大转弯。</p>\n<p>那么,不再强调输出无人驾驶技术的百度,还能否讲好AI的故事?</p>\n<p><b>汽车战略转向</b></p>\n<p>在无人驾驶这个赛道,百度是起步最早的一批。</p>\n<p>早在2013年,百度便在内部启动了无人车项目,打磨四年之后于2017年4月正式推出Apollo系统,致力于打造“自动驾驶领域的安卓系统”,目标是向汽车行业及自动驾驶领域的合作伙伴提供一个开放、完整、安全的软件平台,帮助他们结合车辆和硬件系统,快速搭建一套属于自己的完整的自动驾驶系统。</p>\n<p>至今,百度的无人车项目已启动近八年,累计投资数百亿,参与百度“<a href=\"https://laohu8.com/S/APOL\">阿波罗</a>计划”的有戴勒姆奔驰、丰田、本田、大众、宝马、拜腾等十余家车厂,还有其他科研机构、互联网公司、运营商等。阿波罗计划成为一个行业性的巨大联盟,号召力强大。</p>\n<p>百度做自动驾驶有着其他厂商无可比拟的优势,比如AI技术储备和百度地图。在技术上,百度拥有云存储、高精地图等全方位技术,而AI又是百度的固有优势。同时,百度地图拥有强大的用户基础,从自动驾驶的采集能力以及资质上来看,百度在业界也处于领先地位。</p>\n<p>然而,随着造车新势力的崛起,以及华为、小米、360等科技企业的入局,拥有先发优势的阿波罗计划的存在感越来越弱。事实上,截至目前,还没有车企量产产品大规模搭载百度的自动驾驶系统。</p>\n<p>原因何在?业内普遍认为,阿波罗计划的L4级目标定位过高,难以实现商业化是其前进遇阻的最主要原因。</p>\n<p>“汽车的软件代码数量比<a href=\"https://laohu8.com/S/5RE.SI\">智能</a>手机高出10倍左右,自动驾驶技术也比电动技术复杂得多,商业化落地难度更是远超电动汽车。”一位汽车行业分析师表示,自动驾驶行业是一个既烧钱又费时的领域,要想实现商业化落地,还需要更多的技术沉淀以及更为适合的商业模式。</p>\n<p>不少试乘百度无人车的用户表示,百度无人车存在着转向绕行半径大、平均车速慢、行驶过程中超车困难以及打车时必须到指定地点上车等方面的问题,虽然这些问题都并非致命硬伤,但对于乘客而言,驾乘感受并不友好,真正取代传统汽车可能还需要更多时间。</p>\n<p>从目前市场上<a href=\"https://laohu8.com/S/TSLA\">特斯拉</a>、小鹏、<a href=\"https://laohu8.com/S/NIO\">蔚来</a>等造车新势力的销量来看,外界更为认同的自动驾驶实现方式首先还是L2、L3级别的辅助自动驾驶,其次才可能逐步过渡至L4级别。</p>\n<p>当然,消费者的使用感受只是一方面,来自法律法规层面的阻力则更为直接。由于目前法律法规对于完全自动驾驶汽车上路许可的限制,L4级自动驾驶更多的只能行驶于封闭、局限的特定场景之下,用户对于选择一款L4级别自动驾驶汽车的兴趣,也因此被减弱了。当年李彦宏坐上「自动驾驶汽车」在北京四环现场直播,结果就遭到了交管部门约谈。</p>\n<p>为此,百度自动驾驶不得不优先满足不同地方政府的法规要求,这也让百度自动驾驶变成了以地方政府要求为导向的自动驾驶团队。无论是合作车型选择、测试地点,以及产品研发,百度的阿波罗都很难按照最利于技术发展的节奏来考量,而是以是否能获得地方政策扶持作为第一标准。</p>\n<p>因此,即使L4级自动驾驶前景十分明朗,但囿于当下的驾乘感受及监管政策现实,百度最初所设想的赋能整车企业的梦想只能当作愿景缓慢推进,直至现在不得不从顶层设计层面做出战略改变——不向车企输出自动驾驶技术。</p>\n<p><b>裁判与选手的抉择</b></p>\n<p>华为HI方案为什么不被上汽所采纳?从整车企业的角度而言,必然希望能由自己来掌握个人消费市场的主导权,不想沦为<a href=\"https://laohu8.com/S/5RE.SI\">智能</a>汽车解决方案的汽车“代工厂”,从这一角度而言,车企的顾虑完全可以理解。</p>\n<p>但这又为百度的阿波罗计划造成了第二个困扰,如上文所言,在一开始的构想中,阿波罗借鉴了<a href=\"https://laohu8.com/S/GOOG\">谷歌</a>的Android系统之于整个智能手机产业的思路,企图通过开源的方式发展成为整个智能汽车产业的中枢,这就直接导致了整车企业不愿意采用其解决方案。</p>\n<p>因此,百度在经过一番权衡之后,于2020年底开始酝酿自己下场造车,这当然有觊觎智能汽车庞大市场潜力的心态,但同时也是出于不得已而为之的考量。最终,今年3月,百度与吉利联合推出了集度汽车,并计划5年内投入500亿元造车。</p>\n<p>不过,这又让百度陷入了另一个困扰——既当裁判又当运动员,这与当下华为鸿蒙系统的困境相似,如果车企采用了百度的自动驾驶方案,那么自己的命脉会不会掌握在竞争对手手里?百度在提供自动驾驶技术输出时,会不会有所偏向?</p>\n<p>除此之外,百度的自动驾驶方案还面临着其他选手的激烈竞争,最为突出的当属华为。极狐汽车作为华为与百度的共同合作伙伴,已经发布了基于华为HI方案的阿尔法智能汽车,依靠30年的ICT能力,华为为其提供了包括1个全新的智能汽车数字化架构和5大智能系统。在整个解决方案里,华为已经具备了“全栈”智能能力,包括芯片、操作系统、语言、地图、云计算、大数据、车路协同、自动驾驶、软件迭代升级和云端数据训练等。</p>\n<p>更重要的一点是,华为自2018年就已宣布不造车是公司铁律,并且多次重申这一战略不会改变,这与百度所选择的亲自下场造车完全不同,这也会成为车企在二者之间进行选择时考量的因素。</p>\n<p>基于上述种种考虑,徐宝强在此次媒体采访中透露,百度将选择另外一条路径,即避开车企希望掌控主导权、竞争激烈的个人消费市场,从共享汽车业务层面切入。在这方面,今年6月份极狐汽车与百度 Apollo 发布了无人共享车 Apollo Moon,价格为48万元,成本仅为其它 L4 级自动驾驶车辆的三分之一,百度认为这有望真正将 Robotaxi 带进网约车运营成本区间。</p>\n<p>淡化押注了8年的自动驾驶系统平台,转而选择应用前景不明朗、市场空间小、落地更困难的智能共享汽车,究竟是选择,还是不得已?相信只有百度自己更清楚了。</p>\n<p><b>集度汽车能否扛起大旗?</b></p>\n<p>如果百度转向,发展重点不再是向车企输出自动驾驶技术,那么,集度汽车很可能是百度造车梦的最终载体。从股权机构来看,百度持股份额达到了55%,除了夏一平,另有梁志翔、何俊杰、李震宇三位董事来自百度,只有安聪慧一位董事来自吉利,由此可见百度对于集度汽车有着更高的掌控力与期望。</p>\n<p>另外,从双方的硬性条件来说,确实是一对天成佳偶,作为互联网科技巨头,百度技术实力自然不必多说,尤其是深耕AI与自动驾驶多年。吉利方面,其2020年总销量高达132万辆,汽车生产能力非常强悍。此外,吉利自研的 SEA浩瀚汽车架构基于软件定义汽车的思路所打造,无论是硬件层、系统层还是生态层,均实现了行业内前所未有的兼容性,可以大幅缩短汽车的研发周期。因此,集度汽车才敢于喊出三年内实现量产的口号。</p>\n<p>同时,百度承诺未来五年内将投入500亿元进行研发,远超<a href=\"https://laohu8.com/S/5RE.SI\">智能</a>手机高出10倍左右,自动驾驶技术也比电动技术复杂得多,商业化落地难度更是远超电动汽车。”一位汽车行业分析师表示,自动驾驶行业是一个既烧钱又费时的领域,要想实现商业化落地,还需要更多的技术沉淀以及更为适合的商业模式。</p>\n<p>不少试乘百度无人车的用户表示,百度无人车存在着转向绕行半径大、平均车速慢、行驶过程中超车困难以及打车时必须到指定地点上车等方面的问题,虽然这些问题都并非致命硬伤,但对于乘客而言,驾乘感受并不友好,真正取代传统汽车可能还需要更多时间。</p>\n<p>从目前市场上<a href=\"https://laohu8.com/S/002594\">比亚迪</a>CEO王传福口中“浪费三年”造车之人?</p>\n\n</article>\n</div>\n</body>\n</html>\n","type":0,"thumbnail":"https://static.tigerbbs.com/68a814138696b6daf296c3939a776531","relate_stocks":{"QNETCN":"纳斯达克中美互联网老虎指数","BIDU":"百度","09888":"百度集团-SW"},"is_english":false,"share_image_url":"https://static.laohu8.com/e9f99090a1c2ed51c021029395664489","article_id":"1110754441","content_text":"起了个大早赶了个晚集\n\n百度自动驾驶不再想成为汽车的“灵魂”了?\n在上汽集团董事长陈虹提出要把“灵魂”掌握在自己手中后不久,百度自动驾驶产品运营部总监徐宝强近期在接受媒体采访时表示:“百度现在的发展方向还并不是把自动驾驶技术输出给车企,而是希望推动共享领域的无人出行事业。”\n在上述言论中,百度透露了两点关键信息:百度不再重点输出自动驾驶技术、专注共享领域无人驾驶。显然,这与最初百度推出阿波罗计划时的目标已经发生了180度的大转弯。\n那么,不再强调输出无人驾驶技术的百度,还能否讲好AI的故事?\n汽车战略转向\n在无人驾驶这个赛道,百度是起步最早的一批。\n早在2013年,百度便在内部启动了无人车项目,打磨四年之后于2017年4月正式推出Apollo系统,致力于打造“自动驾驶领域的安卓系统”,目标是向汽车行业及自动驾驶领域的合作伙伴提供一个开放、完整、安全的软件平台,帮助他们结合车辆和硬件系统,快速搭建一套属于自己的完整的自动驾驶系统。\n至今,百度的无人车项目已启动近八年,累计投资数百亿,参与百度“阿波罗计划”的有戴勒姆奔驰、丰田、本田、大众、宝马、拜腾等十余家车厂,还有其他科研机构、互联网公司、运营商等。阿波罗计划成为一个行业性的巨大联盟,号召力强大。\n百度做自动驾驶有着其他厂商无可比拟的优势,比如AI技术储备和百度地图。在技术上,百度拥有云存储、高精地图等全方位技术,而AI又是百度的固有优势。同时,百度地图拥有强大的用户基础,从自动驾驶的采集能力以及资质上来看,百度在业界也处于领先地位。\n然而,随着造车新势力的崛起,以及华为、小米、360等科技企业的入局,拥有先发优势的阿波罗计划的存在感越来越弱。事实上,截至目前,还没有车企量产产品大规模搭载百度的自动驾驶系统。\n原因何在?业内普遍认为,阿波罗计划的L4级目标定位过高,难以实现商业化是其前进遇阻的最主要原因。\n“汽车的软件代码数量比智能手机高出10倍左右,自动驾驶技术也比电动技术复杂得多,商业化落地难度更是远超电动汽车。”一位汽车行业分析师表示,自动驾驶行业是一个既烧钱又费时的领域,要想实现商业化落地,还需要更多的技术沉淀以及更为适合的商业模式。\n不少试乘百度无人车的用户表示,百度无人车存在着转向绕行半径大、平均车速慢、行驶过程中超车困难以及打车时必须到指定地点上车等方面的问题,虽然这些问题都并非致命硬伤,但对于乘客而言,驾乘感受并不友好,真正取代传统汽车可能还需要更多时间。\n从目前市场上特斯拉、小鹏、蔚来等造车新势力的销量来看,外界更为认同的自动驾驶实现方式首先还是L2、L3级别的辅助自动驾驶,其次才可能逐步过渡至L4级别。\n当然,消费者的使用感受只是一方面,来自法律法规层面的阻力则更为直接。由于目前法律法规对于完全自动驾驶汽车上路许可的限制,L4级自动驾驶更多的只能行驶于封闭、局限的特定场景之下,用户对于选择一款L4级别自动驾驶汽车的兴趣,也因此被减弱了。当年李彦宏坐上「自动驾驶汽车」在北京四环现场直播,结果就遭到了交管部门约谈。\n为此,百度自动驾驶不得不优先满足不同地方政府的法规要求,这也让百度自动驾驶变成了以地方政府要求为导向的自动驾驶团队。无论是合作车型选择、测试地点,以及产品研发,百度的阿波罗都很难按照最利于技术发展的节奏来考量,而是以是否能获得地方政策扶持作为第一标准。\n因此,即使L4级自动驾驶前景十分明朗,但囿于当下的驾乘感受及监管政策现实,百度最初所设想的赋能整车企业的梦想只能当作愿景缓慢推进,直至现在不得不从顶层设计层面做出战略改变——不向车企输出自动驾驶技术。\n裁判与选手的抉择\n华为HI方案为什么不被上汽所采纳?从整车企业的角度而言,必然希望能由自己来掌握个人消费市场的主导权,不想沦为智能汽车解决方案的汽车“代工厂”,从这一角度而言,车企的顾虑完全可以理解。\n但这又为百度的阿波罗计划造成了第二个困扰,如上文所言,在一开始的构想中,阿波罗借鉴了谷歌的Android系统之于整个智能手机产业的思路,企图通过开源的方式发展成为整个智能汽车产业的中枢,这就直接导致了整车企业不愿意采用其解决方案。\n因此,百度在经过一番权衡之后,于2020年底开始酝酿自己下场造车,这当然有觊觎智能汽车庞大市场潜力的心态,但同时也是出于不得已而为之的考量。最终,今年3月,百度与吉利联合推出了集度汽车,并计划5年内投入500亿元造车。\n不过,这又让百度陷入了另一个困扰——既当裁判又当运动员,这与当下华为鸿蒙系统的困境相似,如果车企采用了百度的自动驾驶方案,那么自己的命脉会不会掌握在竞争对手手里?百度在提供自动驾驶技术输出时,会不会有所偏向?\n除此之外,百度的自动驾驶方案还面临着其他选手的激烈竞争,最为突出的当属华为。极狐汽车作为华为与百度的共同合作伙伴,已经发布了基于华为HI方案的阿尔法智能汽车,依靠30年的ICT能力,华为为其提供了包括1个全新的智能汽车数字化架构和5大智能系统。在整个解决方案里,华为已经具备了“全栈”智能能力,包括芯片、操作系统、语言、地图、云计算、大数据、车路协同、自动驾驶、软件迭代升级和云端数据训练等。\n更重要的一点是,华为自2018年就已宣布不造车是公司铁律,并且多次重申这一战略不会改变,这与百度所选择的亲自下场造车完全不同,这也会成为车企在二者之间进行选择时考量的因素。\n基于上述种种考虑,徐宝强在此次媒体采访中透露,百度将选择另外一条路径,即避开车企希望掌控主导权、竞争激烈的个人消费市场,从共享汽车业务层面切入。在这方面,今年6月份极狐汽车与百度 Apollo 发布了无人共享车 Apollo Moon,价格为48万元,成本仅为其它 L4 级自动驾驶车辆的三分之一,百度认为这有望真正将 Robotaxi 带进网约车运营成本区间。\n淡化押注了8年的自动驾驶系统平台,转而选择应用前景不明朗、市场空间小、落地更困难的智能共享汽车,究竟是选择,还是不得已?相信只有百度自己更清楚了。\n集度汽车能否扛起大旗?\n如果百度转向,发展重点不再是向车企输出自动驾驶技术,那么,集度汽车很可能是百度造车梦的最终载体。从股权机构来看,百度持股份额达到了55%,除了夏一平,另有梁志翔、何俊杰、李震宇三位董事来自百度,只有安聪慧一位董事来自吉利,由此可见百度对于集度汽车有着更高的掌控力与期望。\n另外,从双方的硬性条件来说,确实是一对天成佳偶,作为互联网科技巨头,百度技术实力自然不必多说,尤其是深耕AI与自动驾驶多年。吉利方面,其2020年总销量高达132万辆,汽车生产能力非常强悍。此外,吉利自研的 SEA浩瀚汽车架构基于软件定义汽车的思路所打造,无论是硬件层、系统层还是生态层,均实现了行业内前所未有的兼容性,可以大幅缩短汽车的研发周期。因此,集度汽车才敢于喊出三年内实现量产的口号。\n同时,百度承诺未来五年内将投入500亿元进行研发,远超蔚来、小鹏、理想10亿元级别的研发投入,从这一角度而言,扎实的自动驾驶技术与长期的巨额投入,或许真的能够为集度汽车带来更优秀的市场表现。\n然而,含着金钥匙出生的集度汽车也并非完全没有隐忧。首先就是造车团队的搭建,2021年4月,夏一平预计到2022年年底,集度汽车核心团队规模将扩大到2500-3000人。\n从之前的3-4人团队,到2022年底的近3000人,团队组建几乎是从零开始。至今,集度的团队中有来自传统车企和已经在新势力融合过的人,也有来自互联网、消费电子领域的同事。这一方面带来了集度汽车在各方面的整合优势,但另一方面这样的优势也必须在充分地磨合基础上才能实现。毕竟,创业团队或多或少、或长或短都会经历一个磨合时期。\n但一个不可否认的事实是,百度体系内部关系复杂,即使曾经微软光环加身的陆奇,在调整自动驾驶业务时也造成了王劲、吴恩达等核心人员的流失,没能理顺内部关系。夏一平能在多大程度上调动内部资源,做好集度汽车尚未可知。\n其次,虽然夏一平认同智能化才是未来智能汽车的核心竞争力,“智能化不只是形态上,也是底层技术,从下至上的重构。”并把这种从下至上的重构定义为“端到端的生态”。这与目前行业的普遍共识相一致——智能汽车未来一定是与用户生活深度融合,也就是与用户其他设备构成一套「无感知」级的 IoT 生态系统,但是眼下无论是百度还是吉利,都没有为其提供生态系统赋能的能力。\n生态构建却并不是百度的强项,百度在移动端不仅软件覆盖广度和深度远远落后于阿里、腾讯,在硬件方面也缺少手机之类能够与用户产生强联系的设备,百度也至今未能建立起属于自己的一套 IoT
