Tesla’s board currently has nine members who are divided into three classes in staggered three-year terms.</p>\n<p>If the proposal is approved, however, the board will be divided into two classes with staggered two-year terms, with directors distributed as equally between the classes as possible, Tesla said in the filing.</p>\n<p>The board would be reduced to eight members, since Antonio Gracias, a venture capitalist who has served on the Tesla board since 2007, said in 2019 he’d not be seeking reelection when his term ends this year.</p>\n<p>Tesla’s board nominated current board members James Murdoch, the youngest son of News Corp founder Rupert Murdoch, and Kimbal Musk, Chief Executive Elon Musk’s brother, for re-election as class II directors, with terms expiring in 2024. If the term reduction is approved, then their terms would end in 2023, the company said.</p>\n<p>Tesla’s curtailing board member terms was a response to a shareholder proposal calling to elect each board member for one year.</p>\n<p>The two-year term, however, “strikes a suitable balance to the long-term interests of and nearer-term accountability to our stockholders at this time,” Tesla said.</p>\n<p>Tesla shares were flat in after-hours trading after ending the regular trading day down 0.7%. That’s almost double the 23% return for the real estate sector, which is the second-best sector. The S&P 500 is up nearly 12% this year.\nEnergy’s big start to the year means that even if the sector goes nowhere for the rest of 2021, it will still be the best year since 1990 by nearly 10%, according to Bay Crest Partners chief market technician Jonathan Krinsky.\nThe surge in energy stocks comes on the back of a recovery in oil prices, and as investors return to areas of the market that were left out of 2020′s rebound from the pandemic lows. The sector was also starting from a low base. In 2020, the group fell 37.3% for its worst performance since inception in 1989.\nKrinsky is among those saying the upside move is overdone, and his call is to sell crude oil and energy stocks broadly. From a technical standpoint, he noted that the $420 to $450 level acted as support — a floor — for the group during the last decade. But then during the Covid sell-off, the sector plunged below that key level — breaking below $200 — as the pandemic ground economies around the world to a halt.\n\nThe S&P Energy Sector has since recovered and traded as high as $420 on Thursday, inching closer to their prior support level, which now acts as resistance, or where an uptrend could be expected to reverse.\n“Oftentimes when you break a very important support like that, once you come back and test it as resistance, it’s difficult to exceed that — at least on the first try,” Krinsky noted.\nGauging performance from Jan. 1 might seem arbitrary, but he added that the sector’s outperformance is notable from virtually any date. Over the last eight months, the group has returned over 90%, which Krinsky says is more than two times the prior largest such gain over the last three decades.\n“Even on a rolling basis this is somewhat unprecedented,” he said. His bearish call on the sector also stems from other commodities breaking down, including lumber and copper. On a year-over-year basis, Adobe earnings rose 24% while sales climbed 23%.</p>\n<p>For the current quarter, Adobe expects to earn an adjusted $3 a share, up 17%, on sales of $3.88 billion, up 20%.</p>\n<h2>ADBE Stock Rises After Earnings Report</h2>\n<p>In morning trading on the stock market today, ADBE stock advanced 2.2%, near 563.35. Earlier in the session, ADBE stock notched a record high 570.</p>\n<p>\"All three of our businesses — Creative Cloud, Document Cloud and <a href=\"https://laohu8.com/S/EXP.AU\">Experience</a> Cloud — just killed it this quarter with excellent performance,\" Chief Financial Officer John Murphy told Investor's Business Daily. \"Content creation and customer experience engagement in personalized ways are resonating across all of our businesses. And it's really driving the momentum and acceleration in the business.\"</p>\n<p>That momentum will continue in the company's seasonally weaker fiscal third quarter, Murphy said. That's also why its expectations for 105% year-over-year revenue growth in the second quarter aren't all that impressive.</p>\n<p>For the full year, analysts expect Pinterest's revenue to rise 53% to $2.6 billion, which would still represent accelerating growth from 2020, and increase another 33% next year. That outlook is promising, but Pinterest's latest quarterly report had a few notable flaws.</p>\n<p>First, Pinterest's MAU growth in the first quarter of 2021 actually marked its slowest year-over-year growth in four quarters. Second, its MAU growth in the U.S. has stalled out sequentially at 98 million for <i>three straight quarters</i>.</p>\n<p>Therefore, Pinterest is relying more heavily on its international users, who accounted for 79% of its total MAUs last quarter, to drive its growth. But its international users generate lower ARPU than its domestic users, and they only contributed 20% of its revenue during the quarter.</p>\n<p>Pinterest expects its U.S. MAUs to remain flat year-over-year and decline sequentially to about 96 million in the second quarter. It expects its total MAUs to only grow by the \"mid-teens\" -- which implies its growth in international MAUs will also cool off.</p>\n<h2>Looking beyond the pandemic</h2>\n<p>The bulls will attribute most of that slowdown to tough post-pandemic comparisons, and claim Pinterest's growth will stabilize over the long term.</p>\n<p>After all, retailers like <b>IKEA</b> have already uploaded their entire print catalogs to Pinterest as shoppable pins, and its pinboards have carved out a high-growth niche in the crowded social networking market. It also easily deflected competition from challengers like Hobbi, Facebook's short-lived Pinterest clone.</p>\n<p>Furthermore, many other social networking companies, including Facebook and Twitter, also serve more overseas users but generate most of their revenue domestically. But the same may not be true for AMC.</p>\n<p>\"The future of AMC Theaters, however, is very much in doubt,\" warns the analyst, because AMC is \"over-levered\" with more than $11.3 billion in debt, cash poor, and unable to earn much more cash until people feel comfortable coming back to the theater.</p>\n<h2>Now what</h2>\n<p>Of course, that's probably what investors are betting on this morning.
