目前,公司各项生产经营活动正常,经营活动并未发生重大不利变化,且未发生影响公司偿债能力和债券还本付息的不利事项。\n 另据澎湃新闻,世茂集团工作人员表示,公告是发出去了,但目前并没有确定解约方案,会考虑给购买房屋的客户利息赔偿。\n 当晚,上交所向世茂股份发问询函,要求说明将物业管理业务相关公司、资产、负债和业务全部出售给关联方世茂服务(000873.HK)的交易必要性,说明本次交易是否有利于上市公司后续经营发展。此外,上交所特别提及,近期外界舆情对公司及控股股东债务事项较为关注,请公司自查是否存在应披露未披露的事项,审慎评估相关债务对上市公司的影响。\n\n 上交所的此次问询主要来自世茂股份与世茂服务(0873.HK)在12月13日的一笔转让其物业管理交易。\n 12月13日,世茂股份发布公告称,拟将所属的世茂物业管理有限公司100%股权、北京茂悦盛欣企业管理有限公司等29家公司涉及的物业管理业务以及相关的资产负债,转让给世茂服务,价格为人民币165350万元。\n 受到市场上种种传言的影响,整个世茂系股票已连日下跌。\n 2月14日,世茂集团旗下上海世茂房地产发出一份《关于浦城路580弄小区房屋后续处理的情况说明》,指出上海世茂所持有的浦东新区浦城路580弄小区110套房屋于2021年10月开始销售,但随着网上出现各种传言,直接影响到这批房源后续流程,感到非常难过和痛心。\n 21世纪经济报道记者获悉,该批房源已经网签数十套。\n 上海世茂表示,经公司多方沟通并慎重决策,不得不停止上述房源销售,并将启动善后程序,为客户办理解除房屋买卖合同并依据合同约定进行处理。即日起,上海世茂将主动联系购房客户并办理相关手续。\n\n 据中央广播电视总台中国之声报道,此前网传“上海房叔”一次性抛售93套房产,持有28年、房价翻了100倍,如今套现4.5亿元,而且所有房源都在一个小区。经多方了解,这批房产早期真正权属人为世茂集团下属苏沪区域公司,并非个人所持有的。\n 这93套房源位于上海浦东新区的浦城小区,地处市区核心地段,是俗称的“老破小”二手房。\n 购房者虞先生表示,自己购买的600多万的房子,11月15日按照合同交完全款,但16日去签正式合同时,销售方却表示这个合同已经停,但讲不清为什么,自己损失很大。\n\n 据悉,93套房子中,大部分购房者被卡在网签环节,另有30多户较早打款购房者虽已完成网签,但也卡在过户环节,均无法完成交易。\n 世茂服务耗资千万港元回购\n 今年累计回购金额4162万港元\n 12月14日傍晚,世茂服务公告,12月14日耗资1064.14万港元回购200万股,每股价格为6.11港元-4.74港元。\n 近期港股物业股估值回落,此前的11月9日,世茂服务已耗资2054.7万港元回购200万股,回购价格每股10.06-10.4港元。加上12月14日的回购,今年以来,世茂服务累计回购480万股,耗资约4162万港元。\n 公开资料显示,世茂集团控股有限公司是世茂服务第一大股东,占已发行普通股比例62.55%。截至2021年中期,世茂服务来自第三方外拓的占比高达69%,营业收入实现171%的增长。\n 世茂系公司最近为护盘已展开一系列回购动作。从年初开始,大股东许荣茂不断增持世茂集团(00813.HK),1-7月份增持金额约1.42亿港元,11月又通过以股代息方式增持超16亿港元。目前,许荣茂持有世茂集团股权比例超66%。\n 短期流动性问题引发资本市场强烈震荡,世茂集团不得不积极回购公司股票,尽力减缓市场波动对投资者的负面影响。7月,世茂集团回购股份超6000万港元;9月,世茂股份购回境内债券超2.3亿元,11月,世茂集团在公开市场耗资150万美元回购美元债。但在12月7日,世茂集团配股融资约11.73亿港元。\n 集团开启业务重组\n 股价不升反跌\n 12月13日,世茂股份、世茂服务公告一笔涉资超过16亿人民币的关联交易,开启世茂体系系内各业务重整序幕:世茂股份以16.535亿元人民币,向世茂服务转让世茂物业管理100%股权及其他29家附属涉及的物业管理业务以及相关的资产负债。\n 世茂服务曾于2021年10月通过“配股+可转债”的方式再融资净额共48.45亿港元,其中部分资金就用于支付此次交易兑价。\n 世茂方面称,世茂服务借此次收购进入商业物业管理和设施设备管理等细分领域,扩大业务范围,将有助于未来寻找更多的优质标的,进一步扩大市场份额。世茂股份及下属企业将不再从事国内物业管理业务。\n 伴随业务重整,世茂还开展了一系列人事调整。世茂股份、世茂服务12月13日发布一系列人事公告,披露高管人事变动。具体调整如下:\n 1、张杰离任副总裁、首席财务官职位,转而升任为世茂股份高级副总裁;\n 2、孙岩上任世茂股份副总裁、首席财务官职位;\n 3、杨煜补选为世茂股份第九届监事会职工监事。\n 4、刘羽自2021年12月13日起获委任为世茂服务执行董事。\n 此外,世茂集团也公告了九名中高层管理人员的晋升,其中吕翼和谢琨晋升执委会成员;蒋玉华和叶松晋升为集团列席执委会成员。四人均向董事局副主席、总裁许世坛汇报。\n 业内人士分析认为,结合世茂近期出现的短期流动性问题,世茂开启体系内业务重整以及人事调整,或有意推高世茂服务股价,为后续出让股权套现铺路。\n 想不到的是,第二天资本市场开始担忧因此次关联交易导致世茂服务整体债务的增加,世茂服务开始领跌,股价屡创上市新低。\n 截至2021年6月底,世茂服务在国内14个省份及24个城市拥有70个项目,在管建筑面积约为465万平方米,合约建筑面积约1079万平方米。\n 此前不久,世茂服务连续完成两场收购。12月3日,世茂服务与苏州市天翔物业管理有限公司达成股权合作,以2.46亿元受让其70%股权;随后在12月6日,世茂服务与湖南吉立物业管理有限公司达成股权合作,以9964万元受让其70%股权,再次拓展医院细分赛道,深耕湖南物业市场。\n 12月14日,摩根大通因流动性担忧加剧,下调世茂集团与世茂股份投资评级至低配。当天世茂系境内外债券持续跌势。\n 投资人坐“过山车”\n 时间的洪流,是投资人的一面镜子。两个月之内,股债深幅震荡,世茂集团的投资人心态或许正在经历改变。\n 12月13日,世茂股价报7.08港元,跌12.16%。公司总市值258.62亿港元,市盈率1.54倍。\n 12月13日港股开市前,大和证券发表研究报告,下调世茂目标价17.4%,由24.2元调低至20元,重申“买入”评级。大和称,世茂近几个月的股价及债券价格反映出情绪疲弱,股价表现跑输多家中至大型内房股,相信是由于有一些不准确的消息、以及集团降低合同销售指引。虽然认为投资人需要时间恢复信心,但看不到集团有短期贷款违约风险,另料集团未来几个月可受惠于行业信贷放宽松。\n 受到股债双杀与机构调低估值拖累,世茂境内多只公司债13日出现下跌。其中一只由世茂股份发行的将于2022年5月22日到期的“19世茂G1”跌超30%,盘中二次临停;一只由上海世茂建筑有限公司发行的行权日期在2023年8月27日的“20世茂06”跌超54%,盘中临停。其余多只公司债也出现下跌并临停。\n\n\n\n\n 这是继11月5日之后,世茂再度面临股债双杀的局面。\n 债市方面,世茂目前流通中8只美元债均在12月9日开始陆续出现下跌,目前尚未跌至12月初的低点。目前世茂存续美元债规模为57.2亿美元。\n 近两个月来世茂遭遇几次美元债价格下挫,投资人俨然在乘搭一辆股债双杀的“过山车”。\n\n 11月5日,世茂集团突陷信托违约虚假传闻,当天股市收市后,世茂集团副主席许世坛率高管团队与投资者人召开电话会澄清公司资金链问题。次日,世茂股价大幅上涨。12月7日,世茂宣布配股融资约11亿港元。\n 12月13日盘后,上海世茂股份有限公司发布公告称,世茂股份拟将所属的物业管理业务相关公司、资产、负债和业务全部出售给关联方世茂服务控股有限公司(以下简称“世茂服务”),本次交易涉及包括世茂物业管理有限公司100%股权、北京茂悦盛欣企业管理有限公司等29家公司涉及的物业管理业务以及相关的资产负债,交易转让价格为人民币165,350 万元。\n 这个消息,客观而言,对世茂集团应属中性偏正面,而非重大利空,但13日世茂的股债表现,或许是听到风声的投资人误读了该消息,又或许是有资金趁机做空。\n 日前,世茂在给机构的一份回应中,不断释放大股东正在积极主动作为,以期逆市生存的消息。\n 世茂1-11月已实现销售金额约2600亿,回款约2200亿。从年初开始世茂采取防守策略,减少拿地支出。从年初开始,大股东不断增持,1-7月份增持金额约1.42亿港币,11月又通过以股代息方式增持超16亿港币。大股东通过直接和间接的方式对公司提供支持,彰显了对世茂长期发展的信心和对投资者利益的保护。目前,大股东持有世茂集团股权比例超66%,股权结构稳定。公司也在积极回购,尽力减缓市场波动对投资者的影响。7月份世茂集团回购股份超6000万港元;9月份世茂股份购回境内债券超2.3亿元,11月份世茂集团继续回购股票和美元债。\n One (or all) of them might be worth purchasing with your spare pennies.</p>\n<p><b>Nike (NKE)</b></p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/0a24fd7cb9b4e01313c7bb848af6da9d\" tg-width=\"1200\" tg-height=\"500\" width=\"100%\" height=\"auto\"><span>TY Lim/Shutterstock</span></p>\n<p>Nike is a global footwear powerhouse that commands high customer loyalty.</p>\n<p>Customers are willing to pay top dollar for signature gear associated with high-profile athletes like LeBron James and Michael Jordan.</p>\n<p>Despite inflationary pressures, Nike continues to expand gross margins and post solid returns on equity well above 30%.</p>\n<p>The company is also capturing the full price of its products in an increasingly digital, direct-to-consumer business model.</p>\n<p>Management believes digital sales could continue to grow from 20% of revenue currently to about 40% of the business by 2025. And price increases could kick in as early as next year.</p>\n<p>Amazingly, profit margins may keep expanding, even as operating costs rise with inflation.</p>\n<p>Nike shares are up about 19% so far in 2021.</p>\n<p><b>Apple (AAPL)</b></p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/b22460a66469a2da0380edd32d454c84\" tg-width=\"1200\" tg-height=\"500\" width=\"100%\" height=\"auto\"><span>Vytautas Kielaitis/Shutterstock</span></p>\n<p>Global demand for Apple’s premium-priced hardware is growing, as are adoption rates for its high-margin Apple services.</p>\n<p>Strong brand identity, user friendliness, and a wide range of fully integrated products are powerful attributes that aren’t going away any time soon.</p>\n<p>Customers just can’t afford to live outside the Apple ecosystem. That gives the tech giant more freedom to play with pricing as inflation spikes.</p>\n<p>The company’s latest M1 chips, which will gradually replace Intel’s CPUs in every single Mac, underscore its commitment to constant innovation.</p>\n<p>Apple’s ability to pass rising costs to a global consumer base without significant loss of sales volumes is undeniable.</p>\n<p>Warren Buffett has allowed Apple to grow to 40% of Berkshire Hathaway’s investments portfolio for good reason: The business just keeps growing profits through all economic cycles.</p>\n<p>Apple is up about 13% year to date and trades at nearly $150 per share. But if you’re on the fence about jumping in at the current level, some apps might give you a free share of Apple just for signing up.</p>\n<p><b>Levi Strauss & Co. (LEVI)</b></p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/71b31165e275a966ad050139a054c73a\" tg-width=\"1200\" tg-height=\"500\" width=\"100%\" height=\"auto\"><span>dean bertoncelj/Shutterstock</span></p>\n<p>A market leader in the denim business, Levi Strauss has been firing on all cylinders of late.</p>\n<p>Specifically, its well-known brand and a flexible business model have enabled management to grow the top line without sacrificing pricing power.</p>\n<p>In the most recent quarter, revenue increased 41% while adjusted gross margin improved 390 basis points to 57.5%.</p>\n<p>In fact, management proactively started adjusting its pricing for inflation back in 2020.</p>\n<p>The company also sources raw materials from 24 different countries. You might as well profit from it.\n\nHigh inflation rates in the country have become a serious concern on Wall Street.\nBut fortunately for everyday investors, Berkshire Hathaway chief Warren Buffett has plenty of experience in navigating such an environment.\nBuffett managed a stock portfolio through periods of double-digit inflation rates in the 1970s and has plenty of advice on what to own when consumer prices spike.\nIn a 1981 letter to Berkshire shareholders, Buffett highlighted two characteristics that make a business well adapted to an inflationary environment: 1) an ability to increase prices easily, and 2) an ability to take on more business without having to spend too much in order to do it.\nIn other words, aim to invest in asset-light businesses with pricing power.\nLet’s take a quick look at three companies that fit that description. One (or all) of them might be worth purchasing with your spare pennies.\nNike (NKE)\nTY Lim/Shutterstock\nNike is a global footwear powerhouse that commands high customer loyalty.\nCustomers are willing to pay top dollar for signature gear associated with high-profile athletes like LeBron James and Michael Jordan.\nDespite inflationary pressures, Nike continues to expand gross margins and post solid returns on equity well above 30%.\nThe company is also capturing the full price of its products in an increasingly digital, direct-to-consumer business model.\nManagement believes digital sales could continue to grow from 20% of revenue currently to about 40% of the business by 2025. And price increases could kick in as early as next year.\nAmazingly, profit margins may keep expanding, even as operating costs rise with inflation.\nNike shares are up about 19% so far in 2021.\nApple (AAPL)\nVytautas Kielaitis/Shutterstock\nGlobal demand for Apple’s premium-priced hardware is growing, as are adoption rates for its high-margin Apple services.\nStrong brand identity, user friendliness, and a wide range of fully integrated products are powerful attributes that aren’t going away any time soon.\nCustomers just can’t afford to live outside the Apple ecosystem. That gives the tech giant more freedom to play with pricing as inflation spikes.\nThe company’s latest M1 chips, which will gradually replace Intel’s CPUs in every single Mac, underscore its commitment to constant innovation.\nApple’s ability to pass rising costs to a global consumer base without significant loss of sales volumes is undeniable.\nWarren Buffett has allowed Apple to grow to 40% of Berkshire Hathaway’s investments portfolio for good reason: The business just keeps growing profits through all economic cycles.\nApple is up about 13% year to date and trades at nearly $150 per share. (AAPL) reported a massive earnings blowout a few weeks ago, and the numbers were truly staggering. A company of this size reporting revenue growth of more than 53% over the prior year period was truly remarkable. Yes, the company has benefited from soft earlier year comparisons and the work from home tailwinds, but you can't argue that its products are not in high demand. As great as Apple's numbers have been lately, it might prove to be a risk later this year.</p>\n<p>I am saying today that Apple could be a victim of its own success because the stock market is always a what have you done for me lately crowd. As the chart below shows, the high revenue growth rates we'll see are expected to come crashing down once we hit the December quarter (fiscal Q1 2022). That 53% growth figure for the March 2021 quarter sets up an insanely high bar that analysts don't think can be repeated next year. Blue bars are actual results, while green ones are current street average estimates.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/2b61b66cfb83a8e7f307580dd6277be6\" tg-width=\"625\" tg-height=\"397\"><span>(Source: Seeking Alpha estimates page)</span></p>\n<p>I'm sure the Apple bear crowd will be out in full force if Apple guides to or reports a revenue decline for fiscal Q2 2022. Of course, a small top line decline then would still be a tremendous quarter when looking at the longer term picture. Even though analysts are currently looking for a 2.2% revenue decline in that March 2022 quarter, the average revenue estimate for that period has risen by nearly 16% over the past six months, for example. Over the past year, the average is up by almost $20 billion.</p>\n<p>Apple has been helped by the coronavirus in the short term, not only from the work from home crowd buying more tablets and computers, but by the massive stimulus provided by global governments. While those tailwinds will calm down in the coming quarters, economies should be doing better so consumer spending should remain fairly decent. Even though central banks may start to tighten their monetary policy a little, they are certainly not going to do anything severe that will crash things again.</p>\n<p>The other issue for Apple regarding the coronavirus was the timing of major launches. With factories shut down for a time in 2020, the iPhone release schedule for last year changed in a meaningful way. Instead of seeing one or more phones available to consumers in September, two iPhone 12 models went on sale in late October, with the other two in mid-November. If Apple returns to a normal schedule this year, it will pull billions of revenue forward into the September 2021 (fiscal Q4) quarter. That could further make the early 2022 comparisons tougher to match, giving more fuel to the bears.</p>\n<p>When Apple has a big sales year, like it is having with the iPhone currently, investors worry that the next cycle won't be as strong in terms of unit sales. I'm not as concerned this time around with that, partially because consumers are going to want and need to upgrade to 5G smartphones, and that should fuel a multi-year upgrade period. The other thing that could help is if Apple follows what it did with the iPad Pro launch from earlier this year. Take a look at the following table which shows the initial pricing of the larger screen Pro tablet version over the years. There are also the Cellular models that will cost a little bit more, but for this argument, I'm only showing the base Wi-Fi model.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/f77225da409fee0ad2e69fb1c32c2505\" tg-width=\"640\" tg-height=\"107\"><span>(Source: iPad Pro wikipedia page)</span></p>\n<p>Because of both the advancements in technology as well as larger storage, Apple has raised prices significantly over the years. The most expensive version of this tablet has doubled in price since 2015, and the three lowest storage versions are up $100 each over their prior year counterpart. Thus, if you are arguing that iPad unit sales may be down 5-10% a year from now, it may not be a big deal if Apple is seeing average selling prices that are up 15-20% over that time. I could see a similar thing happening with the iPhone this year, depending on how many older generations stick around and whether or not Apple launches a 1 TB storage option for the smartphone.</p>\n<p>Even if Apple's results aren't as tremendous as some hope they might be moving forward, this company is still doing incredibly well. Free cash flow could be well over $80 billion this year, allowing for a dividend and huge buyback. Don't forget that as shares stay around this $125 level, the repurchasing of shares becomes more significant each quarter as the share count comes down. $20 billion in buybacks every three months at a $2.1 trillion market cap does more than at a $2.2 trillion valuation, for example, and earnings per share will continue to benefit.</p>\n<p>Wednesday was another important day for Apple. With the market dropping at the open, Apple fell below its 200-day moving average (green line below). However, the stock was able to regain this key technical level and close above it. As the chart below shows, shares are currently stuck between the 50 and 200-day moving averages, and both lines are mostly flat at this point. Should the stock be able to get back above the shorter term trend line, it could provide a level of support moving forward.</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/de8ca788fa86bda735f874b66546312a\" tg-width=\"640\" tg-height=\"273\"><span>(Source: Yahoo! Finance)</span></p>\n<p>In the end, Apple may become a victim of its own success rather soon. Two massive blowout quarters have not only sent analyst estimates through the roof, but set high bars for future quarters. While the company's sales will remain in an uptrend over the long term, I'm sure the bears will surface if the top line is forecast to decline, especially if a normal iPhone launch pulls sales forward. A company of this size reporting revenue growth of more than 53% over the prior year period was truly remarkable. Yes, the company has benefited from soft earlier year comparisons and the work from home tailwinds, but you can't argue that its products are not in high demand. As great as Apple's numbers have been lately, it might prove to be a risk later this year.\nI am saying today that Apple could be a victim of its own success because the stock market is always a what have you done for me lately crowd. As the chart below shows, the high revenue growth rates we'll see are expected to come crashing down once we hit the December quarter (fiscal Q1 2022). That 53% growth figure for the March 2021 quarter sets up an insanely high bar that analysts don't think can be repeated next year. Blue bars are actual results, while green ones are current street average estimates.\n(Source: Seeking Alpha estimates page)\nI'm sure the Apple bear crowd will be out in full force if Apple guides to or reports a revenue decline for fiscal Q2 2022. Of course, a small top line decline then would still be a tremendous quarter when looking at the longer term picture. Even though analysts are currently looking for a 2.2% revenue decline in that March 2022 quarter, the average revenue estimate for that period has risen by nearly 16% over the past six months, for example. Over the past year, the average is up by almost $20 billion.\nApple has been helped by the coronavirus in the short term, not only from the work from home crowd buying more tablets and computers, but by the massive stimulus provided by global governments. While those tailwinds will calm down in the coming quarters, economies should be doing better so consumer spending should remain fairly decent. Even though central banks may start to tighten their monetary policy a little, they are certainly not going to do anything severe that will crash things again.\nThe other issue for Apple regarding the coronavirus was the timing of major launches. With factories shut down for a time in 2020, the iPhone release schedule for last year changed in a meaningful way. Instead of seeing one or more phones available to consumers in September, two iPhone 12 models went on sale in late October, with the other two in mid-November. If Apple returns to a normal schedule this year, it will pull billions of revenue forward into the September 2021 (fiscal Q4) quarter. That could further make the early 2022 comparisons tougher to match, giving more fuel to the bears.\nWhen Apple has a big sales year, like it is having with the iPhone currently, investors worry that the next cycle won't be as strong in terms of unit sales. I'm not as concerned this time around with that, partially because consumers are going to want and need to upgrade to 5G smartphones, and that should fuel a multi-year upgrade period. The other thing that could help is if Apple follows what it did with the iPad Pro launch from earlier this year. Take a look at the following table which shows the initial pricing of the larger screen Pro tablet version over the years. There are also the Cellular models that will cost a little bit more, but for this argument, I'm only showing the base Wi-Fi model.\n(Source: iPad Pro wikipedia page)\nBecause of both the advancements in technology as well as larger storage, Apple has raised prices significantly over the years. The most expensive version of this tablet has doubled in price since 2015, and the three lowest storage versions are up $100 each over their prior year counterpart. Thus, if you are arguing that iPad unit sales may be down 5-10% a year from now, it may not be a big deal if Apple is seeing average selling prices that are up 15-20% over that time. I could see a similar thing happening with the iPhone this year, depending on how many older generations stick around and whether or not Apple launches a 1 TB storage option for the smartphone.\nEven if Apple's results aren't as tremendous as some hope they might be moving forward, this company is still doing incredibly well. Free cash flow could be well over $80 billion this year, allowing for a dividend and huge buyback. Don't forget that as shares stay around this $125 level, the repurchasing of shares becomes more significant each quarter as the share count comes down. $20 billion in buybacks every three months at a $2.1 trillion market cap does more than at a $2.2 trillion valuation, for example, and earnings per share will continue to benefit.\nWednesday was another important day for Apple. With the market dropping at the open, Apple fell below its 200-day moving average (green line below). However, the stock was able to regain this key technical level and close above it. As the chart below shows, shares are currently stuck between the 50 and 200-day moving averages, and both lines are mostly flat at this point. Should the stock be able to get back above the shorter term trend line, it could provide a level of support moving forward.\n(Source: Yahoo! Finance)\nIn the end, Apple may become a victim of its own success rather soon. Two massive blowout quarters have not only sent analyst estimates through the roof, but set high bars for future quarters. While the company's sales will remain in an uptrend over the long term, I'm sure the bears will surface if the top line is forecast to decline, especially if a normal iPhone launch pulls sales forward. Amid the recent crypto crash, Wood reaffirmed her price target on Bitcoin, though she acknowledged the environmental concerns that led Tesla CEO Elon Musk to say his company would no longer accept the digital currency as payment.</p><p>Let's take a look at Wood's argument before we examine whether it can hit $500,000.</p><h2>Wood's take</h2><p>Back in Nov. 2020, Wood argued that a number of catalysts were supporting Bitcoin's growth. She called it the reserve currency of the digital ecosystem and essentially said it was the crypto equivalent of the dollar.</p><p>Wood also noted that the central bank distributed currencies (CBDCs) that countries like China and the U.S. are beginning to create are bullish for Bitcoin and other crypto coins. They will help legitimize cryptocurrencies by giving the idea behind them a government stamp of approval and by highlighting the advantages of cryptocurrencies in general.
