of raw materials shortages causing production delays for Novavax's (NVAX) COVID-19 vaccine forced the company to postpone signing a supply contract with the European Union Thursday.As Reuters reported, the EU was hoping to order 100 million, or even 200 million doses of Novavax's two-dose vaccine, but now \"they are slowing down the process of finishing the contract.\" That news certainly spooked investors, sending Novavax shares tumbling.And yet, B. Riley analyst Mayank Mamtani is unafraid.Mamtani has spoken with Novavax executives and confirmed that the company's \"EU supply negotiations continue in parallel progression... in order to submit regulatory filing in the U.K. first, shortly followed by EMA to access several countries within the E.U.\"In other words, while there may be a delay in signing, the negotiations have not been called off by any means. To the contrary, says the analyst, Novavax is \"likely be negotiating from position of strength particularly given the relatively increased prominence of variants of concern, and increased skepticism for local vaccine manufacturers.\"Here, Mamtani obviously refers to the well-publicized problem of Europe's off-again, on-again, off-again endorsements of AstraZeneca's AZD1222 coronavirus vaccine over concerns that it may cause blood clots. But the analyst is also referring to a vaccine from CureVac, which he notes has suffered a delay in its \"interim readout\" into mid-Q2 2021, \"in order to account for protocol amendments to include analysis on specific variants.\"As Mamtani explains, the EU had wanted to buy CureVac's mRNA-based vaccine because trials of its effectiveness would have focused intensively on \"subjects in South America,\" where more infectious and more severe COVID-19 variants are running rampant. EU health officials wanted an mRNA vaccine proven effective against those variants, which are also gaining ground on the Continent, and had hoped that CureVac's CVnCoV would be \"the first mRNA-based vaccine exposed in a meaningful way to the U.K., S.A., and/or P1 strains in a clinical trial setting.\"But now deployment of it, like AstraZeneca's troubled vaccine, has been delayed -- creating Novavax's \"position of strength\" mentioned above.Meanwhile, on the subject of raw materials shortages delaying production of Novavax's NVX-CoV2373 vaccine, Mamtani considers any such delays only temporary in nature. As the analyst explains: \"enforcement of Defense Production Act would be able to soon flood the global supply chain markets with these relatively commoditized items.\"As a result, Mamtani continues to anticipate that NVX-CoV2373 will \"play a meaningful role in the Biden administration's ongoing vaccine diplomacy efforts recognizing the need for herd immunity to be attained at globally.\" The analyst predicts a 90% chance that NVX-CoV2373 will ultimately be approved for Emergency Use Authorization.So what's the upshot for investors? Mamtani is sticking to his Buy rating and $365 price target on the stock. In this analyst's view, there's still plenty of reason to hope that Novavax stock will more than double. Buffett has told the board that he doesn’t want to be paid any more. The company did pay $280,000 for security services for Buffett in 2020.</p>\n<p>Buffett personally determines the compensation of his top managers without considering Berkshire’s overall financial performance and stock price.</p>\n<p>“Berkshire’s program regarding compensation of its executive officers is different from most public company programs,” the company said in its proxy.</p>\n<p>Buffett is generous toward his two top managers, Greg Abel and Ajit Jain. The two vice chairmen earned $19 million apiece in each of the past two years, with $16 million in salary. Unlike most big companies, Berkshire doesn’t grant stock compensation to its top executives. Abel oversees Berkshire’s huge non-insurance operations, while Jain runs its large insurance business.</p>\n<p>Berkshire’s 14-member board is one of the lowest paid—and oldest—among major companies. Each board member gets just $300 for each telephone board meeting and $900 for those held in person. Many members earned a total of $1,200 for the year, against an average of more than $250,000 in annual compensation for board members of companies in the S&P 500.</p>\n<p>Many board members view it as a privilege to serve with Buffett and they are willing to do so without getting the financial protection of directors and officers’ insurance—a contrast with nearly all big companies.</p>\n<p>The board has four members 90 years or older: Buffett (90), Vice Chairman Charlie Munger (97), longtime Berkshire holder and Buffett friend David “Sandy” Gottesman (94), and the former CEO of Capital Cities/ABC, Thomas Murphy (95). The two youngest board members are 58.</p>\n<p>Buffett is both CEO and chairman and doesn’t believe in splitting those positions.</p>\n<p>“It is Mr. Buffett’s opinion that a controlling shareholder who is active in the business, as is currently the case and has been the case for Mr. Buffett for over 50 years, should hold both roles,” the proxy says.</p>\n<p>Buffett owns a 16% economic stake in Berkshire worth around $95 billion and has a 32% voting stake reflecting his ownership of supervoting class A stock.</p>\n<p>Berkshire asked shareholders to reject proposals on climate change and diversity, likely reflecting Buffett’s views on those matters. On the diversity issue, a shareholder has proposed that Berkshire publish an annual report on diversity and inclusion.</p>\n<p>Berkshire cited its decentralized conglomerate structure as a reason for opposing them.</p>\n<p>Berkshire said that three of its 14 board members are women and that two are ethnically diverse: Jain and former American Express CEO Kenneth Chenault.</p>\n<p>Unlike most big companies, Berkshire doesn’t focus on having a diverse board. Berkshire’s statement on the matter is unlike anything among major companies:</p>\n<p>“Berkshire does not have a policy regarding the consideration of diversity in identifying nominees for director. The company did pay $280,000 for security services for Buffett in 2020.\nBuffett personally determines the compensation of his top managers without considering Berkshire’s overall financial performance and stock price.\n“Berkshire’s program regarding compensation of its executive officers is different from most public company programs,” the company said in its proxy.\nBuffett is generous toward his two top managers, Greg Abel and Ajit Jain. It proposed that at least one of the lead underwriters in an initial public offering should also act as a sponsor and be held legally responsible for due diligence to align costs and incentives, according to a report released on Monday.</p>\n<p>The move comes amid a boom in deals in the city, stoked by an inflow of mainland Chinese cash and high-profile company listings. The fundraising frenzy has attracted more than a million retail investors on some deals, including those of Yidu Tech Inc. and Kuaishou Technology and the withdrawn Ant Group Co. listing. One third of the 144 listings in Hong Kong last year dropped on their first trading day, data compiled by Bloomberg show.</p>\n<p>The regulator has noticed “inflated or opaque demand” in some offerings, as well as preferential treatment, rebates and misleading “book messages,” it said. It proposed to codify good practices such as disclosures of discounts and conflicts of interest.</p>\n<p>“The general market perception is that more issuers were adopting fluid incentive structures (eg, the late determination of fee arrangements) which incentivize sell-side firms to compete more aggressively to join a syndicate, often at a late stage in an offering,” the SFC said.</p>\n<p>In one debt offering, a broker placed an order for HK$20 million on behalf of a client who had only expressed interest in buying HK$5 million of securities, the SFC found in a review. “Submitting knowingly inflated orders or disseminating misleading book messages undermines the price discovery process and can mislead investors,” it said.</p>\n<p>The proposal will also force banks to report their underwriting fee structures earlier to the SFC with an advised split of 75% fixed and 25% discretionary. The banks can alter the ratio if needed and report accordingly.</p>\n<p>“Having a fee ratio guidance will inevitably limit flexibility,” said Leon Xu, managing director at Huatai International. “It would be better to raise to one third. All in all, the principle of the base fee trumping the discretionary fee makes sense.”</p>\n<p>The rules would create new underwriting categories, including naming an overall coordinator and capital market intermediaries. Almost every day, SOS stock makes a big move one way or the other.</p>\n<p>On last Monday, for example, shares surged 20% on strong operating results. But it quickly followed that up with a nearly 10% loss the next day.</p>\n<p>Fundamentals are similarly mixed. On the one hand, SOS appears to be rapidly scaling up a large cryptocurrency mining business. It put out another press release just this week highlighting substantial progress on that front.</p>\n<p>On the other hand, short sellers have claimed that SOS stock is a house of cards. Who’s right?</p>\n<p>SOS: A Rapidly Growing Crypto Business …</p>\n<p>According to SOS’ management, the company’s business is advancing rapidly. According to an update from earlier this week, the company is getting more mining equipment set-up quickly. SOS states that it has deployed a second group of 5,000 mining units, and has more on the way. According to CFO Steven Li:</p>\n<blockquote>\n <i>Our output should grow in future quarters as we receive and install our third batch of mining rigs and have a full quarter of operations for our current rigs.</i>\n</blockquote>\n<p>Furthermore, SOS stated that it successfully mined its first <b>Bitcoin</b>(CCC:<b>BTC-USD</b>) on Feb. 24 of this year. For all of Q1, it anticipates 41 Bitcoin and 909 ether tokens. Given the current prices of those cryptocurrencies, SOS would generate in the range of $4 million in revenues this quarter.</p>\n<p>Presumably, that’d ramp up quickly next quarter as its mining gear would be online for a full three-month period rather than just a few weeks.</p>\n<p><b>Or Is it a Dangerous Scheme?</b></p>\n<p>Both Hindenburg Research and Culper Research fired off short seller reports against SOS stock recently. I’ll stick to covering the Hindenburg allegations, as its the more well-known firm.</p>\n<p>Hindenburg successfully revealed the skullduggery occurring at <b>Nikola</b>(NASDAQ:<b><u>NKLA</u></b>) last year, and its recent report on <b>Lordstown</b>(NASDAQ:<b><u>RIDE</u></b>) has also caused a major impact. Thus, Hindenburg’s allegations against SOS must be considered seriously.</p>\n<p>Hindenburg lays out a variety of allegations against the company. For one, it documents that the company’s purported headquarters was empty. The company responded and stated that it was at a different address, however this one showed few signs of life either, according to Hindenburg’s photo documentation.</p>\n<p>Hindenburg also revealed that SOS allegedly inflated a key person’s resume. But perhaps the real shocker was that a purported takeover to acquire crypto assets appears to have actually been a related-party transaction. Hindenburg highlighted how both SOS and the purchased company’s website used the same code and cited an employee who said as much, thus suggesting it was a shell transaction.</p>\n<p>Hindenburg wrapped all this up by stating that the company is an “obvious shell game” that is worth nothing. After a company response, Hindenburg doubled down.
