Shares closed at $17.76 Monday, implying about $4.8 billion for the merged entity.</p><p>It’s an attractive early valuation for a new hydrogen-technology stock.Nikola(NKLA), which became publicly traded via a SPAC merger in 2020, is currently valued at about $9 billion. Fuel cell technology companyPlug Power(PLUG) has a market capitalization of about $32 billion.</p><p>Hyzon’s business model is closer to Plug’s than Nikola’s.Nikola plansto manufacture and assemble Nikola-branded hydrogen fuel-cell powered trucks, plus it also wants to build and operate hydrogen filling stations for its customers. Plug focuses more on hydrogen fuel-cell technology and integrating its technology into multiple transportation applications.</p><p>Like Plug, Hyzon isn’t interested in building its own trucks from the ground up. The company has developed what it believes is leading hydrogen fuel-cell technology for heavy duty transportation applications. It wants to supply that powertrain to truck-makers and fleet owners to put in whatever truck or bus body they want. The New York-based firm lists the market value of the stake as a little over $36 million.</p>\n<p><img src=\"https://static.tigerbbs.com/d3a7cda7e86ceb205b99f43f565fd88e\" tg-width=\"837\" tg-height=\"470\"></p>\n<p>It’s another good sign for Wood, whose funds have been recovering after they were caught in a broad tech selloff that spurred three weeks of losses. At the height of the frenzy surrounding Ark in recent months, the firm fueled rallies in the likes of <a href=\"https://laohu8.com/S/DKNG\">DraftKings Inc.</a> after announcing stakes and even triggered gains for competitors by revealing plans for a space ETF.</p>\n<p>Roblox was 13% higher at $78.50 as of 6:19 a.m. in New York, after a 54% surge in its debut on Wednesday.</p>\n<p>The company, based in San Mateo, California, is <a href=\"https://laohu8.com/S/AONE\">one</a> of a handful to have gone public through a direct listing, an alternative to an initial public offering in which the shares begin trading without the company issuing new stock. Roblox has seen its revenue and valuation swell as the pandemic kept people at home and in search of entertainment.</p>\n<p>ARKW climbed 3.9% in the pre-market. (Although its impressive growth throughout the pandemic-fueled gaming boom in 2020 surely helped.)\nThat’s where the metaverse comes in. It’s a concept that’s been thrown around in science-fiction for decades. The metaverse is difficult to understand unless you’re a huge geek, so let’s use the most accessible pop culture example. Imagine if the virtual world depicted in the novel and movie “Ready Player One” actually existed. That’s what Roblox is trying to build.\nThe real long-term goal for Roblox is to build a metaverse where millions (or billions!) can gather to take part in games, meetings, collaborative work and even Roblox’s own virtual economy fueled by its currency called Robux.\nLook over the company’s prospectus and comments from its CEO and investors, and you get a clearer picture of Roblox’s grand vision. Roblox isn’t just making a game that slurps up your hard-earned dollars for virtual items. The company is closer to a futuristic Facebook than, say, a Zynga.\nHere’s how Roblox described that vision in its prospectus:\nWe built Roblox from the start as a single platform, single name, single focus company that would someday support billions of users. The ultimate “product specification” was always to model reality, based on the belief that the more accurately we could simulate the real world, the more utility we could provide. Looking forward, we intend to maintain this focus as a single platform company, even as we expand the ways in which we enable people around the world to play, learn, and work together.\nIn short, Roblox wants to give the building blocks for a metaverse to its users, who will in turn create the digital world as they see fit. And as an economy in the metaverse continues to grow and develop, Roblox will get a slice of each transaction.\nRoblox isn’t alone in exploring the metaverse concept.\nEpic Games, the company behind the popular shooting game Fortnite, has its own sights set on creating a metaverse. It’s already dabbled with experiences outside its core shooting game by hosting a Travis Scott concert and the premiere of a clip from the last Star Wars movie within the Fortnite world, for example. (Roblox held a virtual concert too, featuring Lil Nas X.)Microsoft is involved in the metaverse as well, thanks to its purchase of Minecraft developer Mojang for $2.5 billion in 2014.\nSo, where does Roblox go from here?\nIt’s not going to be easy. The company has the gaming part of the metaverse locked down pretty well. It’s dabbling in live events. But the next challenge will be to convince people outside Roblox’s core demographic of kids and teens to come into Roblox for new kinds of experiences.\nPart of that challenge comes from limitations with today’s technology. The biggest believers in the metaverse are holding out for augmented reality (AR) and virtual reality (VR) tech to improve enough to provide a true sense of presence when you jump into the a digital world. But today’s headsets are too clunky to wear for extended periods of time. Their screens aren’t sharp enough to provide realistic, pixel-free images. And most make you look like a member of Daft Punk. Good luck walking down the street like that.\nStill, almost every Big Tech company is pumping money into AR and VR with the belief that it’ll usher in a new wave of computing, and maybe, one day, eliminate the need to carry around a smartphone in favor of computerized glasses.\nFacebook has been the most open about its plans in AR, and it plans to release its first pair of AR glasses later this year. CEO Mark Zuckerberg is especially bullish on the technology. He bought the VR start-up Oculus back in 2014 for $2 billion and has been building on that technology ever since. In a podcast interview with The Information earlier this week, Zuckerberg expanded on his plans for AR and VR, detailing a world where we can “teleport” anywhere virtually and socialize over a distance while still maintaining a sense of presence.\nMicrosoft has its own AR headset called the HoloLens, which is mostly used for business applications these days. Plus, at a price of over $3,000, it’s not accessible to the average person.Apple has been much more secretive about its headset plans, but many credible reports point to 2022 as the year it’ll launch its first device.\nBut there’s a risk for companies like Roblox there too. If Facebook or Apple controls the dominant AR and VR platforms, then companies like Roblox will still be forced to play by a competitor’s rules and continue paying a cut of all sales generated in the app to someone else.\nRoblox is probably fine with that though. Its focus is on its base of more than 31 million people who use Roblox each day who create the world others play in. Millions of them are developers who build and sell experiences within Roblox. And those developers make their living exclusively building for the world of Roblox.\nNeil Rimer, co-founder of Index Ventures (which owns more than 10% of Roblox shares) and a Roblox board member, told CNBC in an interview Wednesday that the energy around the metaverse will come from those users, not the company.\n“No single company can build a metaverse,” Rimer said. “It has to be a community. While getting a rules overhaul through a bitterly divided Congress won’t be easy, here’s an overview from analysts, consumer advocates and other experts on what might be on the table:</p>\n<p><b>Payment for Order Flow</b></p>\n<p>At the heart of the zero-commission trading platforms offered by Robinhood and other online brokerages is so-called payment for order flow, in which the firms steer investor trades to high-volume market makers such as Citadel Securities in exchange for fees.</p>\n<p>The arrangements have helped expand access to stock markets by dramatically lowering costs for retail investors. Indeed, the free trades offered by Robinhood have become ubiquitous with competitors such as E*Trade Financial Corp.,Interactive Brokers Group Inc.and Charles Schwab Corp.all following suit.</p>\n<p>Citadel Securities,Virtu Financial Inc.and other firms that buy orders make money by taking advantage of minuscule price changes in the market -- seeking to almost instantaneously sell shares for more than they paid for them.</p>\n<p>Critics contend that payment for order flow can leave brokerages beholden to giant financial firms, including high-frequency traders, with their customers unaware of the potential conflicts. The Securities and Exchange Commission has also brought cases tied to the practice, including fining Robinhood $65 millionin December for allegedly failing to inform clients that it sold their orders -- claims that the firm didn’tadmitor deny.</p>\n<p>“Payment for order flow is essentially legalized bribery that creates conflict of interest that incentivize brokers to breach their duties to their clients,” said Better Markets Inc. Chief Executive Officer Dennis Kelleher, who wants to see it banned.</p>\n<p>Tyler Gellasch, a former Senate and SEC counsel who now leads the Healthy MarketsAssociation, offered a similarly caustic view.</p>\n<p>“In few other circumstances do we say, ‘Look on the one hand you have a duty to give customers the best prices; on the other hand you’re allowed to accept bribes and not pass it through, or even disclose to your customers how much they are,’” Gellasch said.</p>\n<p>But Graham Steele, a former Senate Banking Committee staff member who now leads the Corporations and Society Initiative at Stanford’s University’s Graduate School of Business, said challenges to payment for order flow have been raised in response to previous market disruptions, but lawmakers and the SEC have failed to find a way to address the problems it poses.</p>\n<p>“The same issues come up every time and there’s a reason that progress hasn’t been made,” Steele said. “A lot of the market participantsfeellike this is the worst option except for all the others.”</p>\n<p>One issue that might be particularly thorny for lawmakers who are skeptical of payment for order flow is that they probably have constituents who love trading stocks for free. Figuring out a way to boost safeguards while preserving that expectation for no-cost trades could be difficult.</p>\n<p>Financial Transaction Tax</p>\n<p>Discussion about imposing a tax on financial transactions dates back more than a decade, to when then-President Barack Obama’s administration thwarted plans for a levy that were advocated by congressional Democrats and the European Union after the 2008 financial crisis. More recently, Hillary Clinton campaigned for president in 2016 on a Democratic platform backing a transaction tax and Senator Bernie Sanders pushed the idea in his campaign for president last year.</p>\n<p>Transaction tax backers like Bartlett Naylor, a financial policy advocate for Public Citizen, say charging a few basis points every time a financial asset is traded would cut down on high-frequency trading and cause investors to think twice before making speculative bets. Opponents such as Tom Quaadman, who leads the U.S. Chamber of Commerce’ Center for Capital Markets Competitiveness, contend that such a tax would “increase the costs for pension funds and harm investors.”</p>\n<p>And even some supporters like Kelleher of Better Markets and Gellasch of Healthy Markets say a transaction tax wouldn’t have prevented the kind of wild trading that pushed GameStop shares to stratospheric levels.</p>\n<p>“I don’t think a financial transaction fee would have had any impact on the trading in the meme stocks,” Kelleher said, contending that the levels being proposed are too small to serve as a deterrent. Gellasch said high-frequency traders and other market intermediaries would simply pass their costs along to investors.</p>\n<p><b>Increased Disclosures for Short Sellers</b></p>\n<p>At present, hedge funds don’t have to disclose their positions when they bet against a company’s shares, as happened with GameStop. But should they be required to?</p>\n<p>Both Naylor of Public Citizen and Kelleher of Better Markets generally favor more regulation. “The world will not end if short-sellers have to disclose more information, because the world hasn’t ended in Europe,” Kelleher said.</p>\n<p>“Greater transparency there would be better for everybody,” Gellasch said. “It would also dispel some of the misinformation out there.”</p>\n<p>Gellasch added that there are nascent efforts in Congress to require more disclosure, but he cautioned against taking steps that would undermine what he and others see as the crucial role played by short-sellers in helping to keep share prices in line with a company’s potential earnings. That clearly got out of whack with GameStop, which closed as high as $347.51 a share last month despite not being expected to post a profit for years.</p>\n<p>“You do want to be careful, I don’t think you want to overcook it,” Gellasch said.</p>\n<p>Lynn Turner, a former SEC chief accountant, has argued that another issue lawmakers and regulators should examine is the size of short bets. Amid the GameStop frenzy, many market observers were shocked to learn that hedge funds and other professional investors had made bearish wagers against some companies that exceeded 100% of their stock, trading that Turner said looks like manipulation.</p>\n<p><b>What’s Next?</b></p>\n<p>The House plans to hold the first hearing on the GameStop mania Feb. 18. Payment for order flow, a tax on trades and short-selling rules will be debated significantly by lawmakers and witnesses, Gellasch predicts, with all three issues standing a good chance of being part of legislative proposals that emerge after the hearing.</p>\n<p>While a transaction tax requires action by Congress, Gellasch contends that the SEC already has authority to crack down on payments to brokers and to boost disclosure of short bets.
