tg-height=\"1565\"></p>\n<p>共有30余家荣耀代理商、经销商联合发起了本次收购。</p>\n<p>深圳智信新信息技术有限公司于2020年9月27日成立,注册资本1亿元。其中,深圳国资委全资控股的深圳智慧城市科技发展集团持股98.6%,深圳国资协同发展私募基金合伙企业持股1.4%。该基金的出资人包括30余家荣耀代理商、经销商。</p>\n<p><b>1</b></p>\n<p><b>为什么要卖出荣耀?</b></p>\n<p>2019年5月,美国商务部对华为展开制裁,首次将华为列入实体清单,使其无法获得美国技术成分超过25%的产品。</p>\n<p>今年5月,美国商务部规定,若使用了美国政府管控的软件或设备,即使生产过程发生在美国之外,相关企业向华为交付芯片前,也需要向美国商务部申请许可。这一规定直接迫使台积电断供了华为的订单。</p>\n<p>8月份,制裁再度升级,重点限制美国以外企业用美国软件设计的芯片,并将38家华为下属企业加入实体清单。</p>\n<p>余承东不无悲壮地说,<b>麒麟芯片至华为Mate40之后或将成为绝唱!</b></p>\n<p><img src=\"https://static.tigerbbs.com/f10dfca18bf9971653361082fcdea682\" tg-width=\"1080\" tg-height=\"608\"></p>\n<p><b>芯片产业链相当复杂,华为的麒麟芯片,只能实现自主设计,却没办法包揽全产业链,不能实现自主制造。</b></p>\n<p>美国的新一轮制裁于9月15日生效,在这之前,华为让台积电没日没夜地赶货,最终赶出来800万颗。但800万颗芯片对于华为来说,实在是太少了。</p>\n<p>芯片不够了,华为就得考虑保大还是保小的问题。华为的Mate系列和P系列,主打中高端,荣耀主打中低端。</p>\n<p>老爹手里没余粮,只能尽可能留给大哥和二哥,荣耀只有两条出路,要么留在家里等死,要么赶紧找个好人家,卖出去。</p>\n<p>荣耀在被剥离出华为之后,就意味着荣耀与华为之间再无任何瓜葛。这样一来,<b>荣耀理论上就能够不受限制的购买芯片。</b></p>\n<p><b>2</b></p>\n<p><b>脱离了华为的荣耀还会好吗?</b></p>\n<p>荣耀就不再处于美国的实体清单之中,从理论上来说,有可能通过其他途径获得芯片(而不再使用华为自行设计的麒麟芯片)。但是,<b>不是华为的荣耀,还能更好发展吗?</b></p>\n<p>此次出售荣耀,华为将其剥离得干干净净。不持有任何股份,品牌、团队、渠道统统交给新的接收公司。据称,交易完成后,荣耀的8000名员工,也会从华为坂田总部,前往位于深圳梅林的新办公场地。</p>\n<p>有媒体披露,华为将有多名高层加入荣耀担任核心高管,华为消费者业务COO万飙或将担任董事长,赵明则可能继续担任荣耀CEO。</p>\n<p class=\"t-img-caption\"><img src=\"https://static.tigerbbs.com/1036c0ccc4e46175602e6a241e577fe7\" tg-width=\"1080\" tg-height=\"721\"><span>赵明</span></p>\n<p>万飙1996年加入华为,其担任华为消费者业务COO期间,主要负责:第一是华为笔记本电脑销售的供应链。第二个华为销售业务整体的基础性能力的构建,包括流程体系、IT体系。</p>\n<p>万飙的经验能够为荣耀带来稳健的供应链和运营架构体系。</p>\n<p>另外,赵明2015年3月就出任荣耀总裁,一直是荣耀当家人。</p>\n<p><b>从团队成员来看,新荣耀几乎是连锅端,全盘还是原来的班底操刀。</b>但是,大树底下好乘凉,彻底脱离了华为的荣耀,依然面临着很多的不确定性。</p>\n<p><b>第一,没有华为的品牌背书,消费者买账吗?</b>虽然荣耀是独立品牌,但毕竟所有人都知道它是华为旗下的品牌。当跟华为撇清关系之后,一个无根无源的荣耀,消费者还会买账吗?</p>\n<p>有荣耀的用户提出:</p>\n<p>荣耀手机登录的是华为账户,自带的APP是华为商城、华为视频,用的是花粉俱乐部,用户协议是华为终端有限公司,手机盒子上写的是华为技术有限公司。</p>\n<p>剥离之后,这一切都将不复存在。所有关于华为的抬头都会改成“荣耀”。比如说,原来的“花粉俱乐部”就会变成荣耀的会员系统。</p>\n<p><b>第二、华为体系的资源,荣耀还能否使用?</b>研发与供应链方面,荣耀一直与华为共享,荣耀也是使用的华为设计的麒麟芯片,还包括华为其他诸多方面为荣耀提供的资源优势。</p>\n<p>一台手机的生产成本中,通常芯片占总成本20%左右。但如果是进口高端芯片,加上整机价格不贵,那么芯片则可能占到手机成本的60%之多。</p>\n<p>荣耀原本可以以合适的价格拿到最好的芯片,降低整机成本;而且还可以进行定制调教,实现软硬件协同,在影像能力、5G性能等方面实现与华为旗舰一致的体验。</p>\n<p>对于荣耀来说,失去了华为的背书以及麒麟芯片的支撑,如何重获消费者青睐,成为其必须面对的难题。</p>\n<p>很显然,华为充分考虑到了荣耀剥离之后的生存之道,首先,所有员工整体搬迁,从华为员工变成荣耀员工。第二,确保荣耀的销售体系不变,接手的股东包括了荣耀的30家代理商。</p>\n<p>但是<b>,从深层次的角度看,在消费者,经销商,员工团队三者的内心深处,失去了华为这个爸爸的荣耀,终究还是成为了一个需要自立门户的“年轻人”。</b></p>\n<p><b>3</b></p>\n<p><b>小米能松一口气?</b></p>\n<p>2011年,小米以接近成本的价格推出了第一款小米手机M1。这款手机发布前,余承东在微博预告,华为也将推出一款定位相近的手机,名字叫荣耀。这是荣耀第一次出现,身份是华为手机的产品型号之一。</p>\n<p>所以,<b>从一出生开始,荣耀就是盯着小米打的。</b></p>\n<p>华为在11月17日发表的声明中指出:荣耀品牌诞生于2013年,始终面向年轻人,坚持中低端价位,七年间发展成为年出货量超七千万部的互联网手机品牌。</p>\n<p>2013年12月16日,华为终端的中高层和华为官方微博原本都在为这一天的“华为荣耀新品牌发布会”造势,但就在发布会前六个小时,相关微博统一改口径为“华为荣耀新品发布会”。</p>\n<p>一字之差,意义不同。在原先的计划里,荣耀依然只是华为旗下的一个品牌,但是改成“华为荣耀新品发布会”之后,荣耀不再是华为旗下的品牌,发布的新品是“荣耀的新品”。所以,荣耀日后在市场活动中把12月16日作为品牌诞生日。</p>\n<p>2014年3月,小米推出红米Note,广告语为“永远相信美好的事情即将发生”,两天后,荣耀也推新品,广告语是“更美好的事情已经发生”。</p>\n<p>小米办米粉节,荣耀就办狂欢节;小米“主题设计大赛”的口号是“这次,我们整点大的”,随后华为举办的“华为EMUI全球手机主题设计大赛”,口号是“这次,我们整点更大的”。</p>\n<p><b>在跟小米的贴身肉搏战当中,荣耀为整个华为终端消费者业务体系的发展立下了汗马功劳。</b></p>\n<p>Canalys的统计数据显示,在中国市场,今年第二季度,华为以5580万台的手机出货量超过三星和苹果排名第一,其中荣耀占比26%,出货1460万部;第三季度,华为出货的3420万台手机中,荣耀同样占了26%。</p>\n<p>赵明在今年7月份表示,2020上半年华为和荣耀两个品牌是在中国市场上是维度两个实现增长的品牌,在销量上以及在市场份额上都有大幅度增长,而荣耀更是逆势增长,线上份额稳居第一。</p>\n<p>一直以来,华为在消费业务领域,双品牌战略独领风骚,华为+荣耀不仅仅打败了小米,甚至打败了苹果和三星。</p>\n<p>现在华为自断一臂,小米似乎能松了一口气。</p>\n<p>其一,对整个华为的手机业务来说,失去了荣耀,丢失了中低端市场,而这恰恰是小米所最擅长的领域,华为以P系列、mate系列专攻中高端市场,华为少了策应,少了整合,资源单一,会打得比较费力。</p>\n<p>其二,对荣耀来说,离开了华为要去“自立门户”,没有强大的背景支持和资源互动,前途更是充满了不确定性。这显然会给小米更多的机会。</p>\n<p><img tg-height=\"719\"></p>\n<p>有人提出,<b>为什么荣耀不卖给小米呢?如果小米参与竞购,会不会成功?</b></p>\n<p>根据中欧商业评论的报道,此次收购价为400亿美元,约合人民币2621亿元。高于此前市场上的1000亿人民币的传言。</p>\n<p>华为年报中没有单独披露荣耀利润情况,不过此前有知情人士透露,荣耀去年利润为60亿元。</p>\n<p>如果按照60亿利润计算,那么此次400亿美元的售价,则给出了荣耀43倍的PE。而目前在港上市的小米,市值也不过5800多亿港币。</p>\n<p>所以,对荣耀来说,是卖了个好价钱,如果小米想入手荣耀,估计是吃不下。</p>\n<p>从另一个角度来分析,新荣耀的大股东成为了深圳国资委,从本质上来说,荣耀转身成为了一家国有企业。这也是近水楼台先得月,肥水不流外人田,深圳国资委跟华为在当地必然是有着千丝万缕的关联,交易细节到底如何,外人只能细品了。</p>\n<p>小米作为华为的关键竞争对手,显然不可能吃下荣耀这个至少目前看上去还不错的大金牛。就算勉强能吃下,管理团队如何整合进小米的管理体系也是一个问题,文化上的融合是最难的。</p>\n<p><b>4</b></p>\n<p><b>荣耀会有哪些机会点?</b></p>\n<p><b>从华为出走,荣耀的前途更加多了一份风险,但依旧会存在一些新的机会和想象。</b></p>\n<p>第一点,一旦荣耀从华为独立,采购零部件不受美国禁令限制,有助荣耀手机业务与供货商增长,这至少让荣耀和它下游的那些代理商能活下来。</p>\n<p>第二点,分析人士认为,荣耀独立后可发展高端机型。原来在华为的覆盖之下,荣耀只能定位于中低端机型,这次分家之后,荣耀也可以全面发展,开发中高端机型,跟华为和小米等进行全面竞争。</p>\n<p>第三点,未来,不排除荣耀IPO上市的可能性。</p>\n<p>值得注意的是,华为技术有限公司近日新增多条商标信息,商标名为“荣耀视频”、“荣耀钱包”,申请日期为11月6日。其中“荣耀视频”的商标国际分类涉及教育娱乐、科学仪器;“荣耀钱包”的商标国际分类为金融物管,上述商标状态均为“商标申请中”。</p>\n<p>从荣耀视频到荣耀钱包,可以想象,独立之后的荣耀即将甩开膀子,大干一场!</p>\n<p>第四点,深圳国资委控股下的荣耀,也许可以从外部获取更多的国有资源,但在多久时间内保持现有股东结构,不去干预原来的经营团队甚至是经营战略,是个未知数,也会是一个不稳定的因素。</p>\n<p>不管如何,荣耀独立出来成为新荣耀,作为中国人肯定是<b>希望它发展得更好,未来在国际市场也能和其他中国企业一起占据更多的市场份额。</b></p>","source":"lsy1588053976797","collect":0,"html":"<!DOCTYPE
