11:41","market":"us","language":"zh","title":"440亿收购推特后,马斯克瞄准微信","url":"https://stock-news.laohu8.com/highlight/detail?id=1127872326","media":"零态LT","summary":"大家都知道马斯克收购推特是一件蓄谋已久的事情,但他想做的可能还有更多。","content":"<html><head></head><body><p>文/吴狄</p><p>在法院给定的收购期限前一天,马斯克还是把推特买了下来,代价是440亿美元,堪称史上第一人。</p><p>推特高层一方面不想真的让马斯克来接管这家公司,另一方面也实在气不过马斯克“开始声称要占有,中途却又突然反悔”的渣男行为,当真是“怕你乱来,又恨你不来”。拿下推特后,马斯克激动的宣布“这只鸟自由了”,随即开始烧出新官上任第一把火:裁员。</p><p>据《纽约时报》报道,在全面接管推特公司后,马斯克已经计划在推特进行裁员,最快于本周六开始。据一名投资公司高管透露,他得到的来自马斯克家族办公室的消息称,约50%的推特员工将被裁员。</p><p>报道称,推特的裁员将在当地时间11月1日前进行,该日期是公司被裁员工计划获得股票补助的时间。股票补助在员工的薪资中占有很大比重。在此日前之前进行裁员,马斯克将可能避免支出股票份额,根据收购协议他将支付现金来作为补偿。</p><p>大家都知道马斯克收购推特是一件蓄谋已久的事情,但他想做的可能还有更多。</p><p><b>收购推特的真实目的</b></p><p>不得不说,马斯克收购推特的过程,剧情之跌宕起伏,情节之曲折反复,结局之出人意料,足够让网飞再出一部电视剧了。甚至连他入驻推特的第一天,就充满了戏剧性。端着一个洗手台走进推特的总部,开心的像个抱着零食的孩子。</p><p>但你可别真的以为马斯克收购Twitter是幼稚的孩子行为,那就大错特错了</p><p>6月份,在推特全体员工大会上,马斯克对Wechat推崇至极,言外之意,北美地区做一个类似的超级APP,“早期红利”仍在。</p><p>最戳中马斯克心的,当然是它的“包罗万象”。</p><p><img referrerpolicy=\"no-referrer\"/></p><p>看着每天上亿用户在上面发送消息,进行语音、视频通话、分享文件、购物、转账、购买水电燃气、叫车、买卖二手货物,玩游戏…马斯克的内心蠢蠢欲动。</p><p>罗马不是一天建成的,微信从一个聊天软件,成为一个囊括游戏、支付、电商、二手市场、打车、理财,甚至城市服务等功能的超级APP,花了10年时间。</p><p>马斯克显然不想从头开始复制,10年时间里,充满了太多的不确定性。更省力的方式,是寻找一个最有潜力的产品,然后去培养它。</p><p><b>买,不买,买,不买</b></p><p>马斯克想要收购推特时,推特的市值已经超过了400亿美元,已经不是随便花点钱就能摆平的小角色了。而马斯克一贯无拘无束、出其不意的作风,也让推特管理层非常头疼,并不希望马斯克真的成为他们的老板。</p><p>毕竟,马斯克为了能够畅所欲言,取缔了自己的公关团队,那么马斯克来了以后,推特的公关团队也可能命悬一线。加上马斯克一再表达对推特的不满,他的管理模式和产品理念,必然会和现有的推特领导层产生巨大分歧。</p><p>但马斯克,终究是马斯克:爷有钱!</p><p>第一招:白鹤亮钱。</p><p>今年年初开始,马斯克就不断加持推特股票,到了3月份,马斯克就已经成为推特最大的股东,话语权巩固住了。</p><p>为了阻止马斯克,推特开了个“毒丸计划”的大招,允许现有股东以更低的价购买增发的股票,希望稀释马斯克拥有的股份,使他购买公司的成本更高。没想到,马斯克直接出价440亿美元要求收购推特,股东们一下子就坐不住了,纷纷施压管理层同意出售公司。要知道和股东比起来,管理层也就是个打工的。</p><p>不过马斯克为此也付出了巨大代价,不仅出售了85亿美元的特斯拉股票,还学罗永浩开始带货,亲自下场卖香水。</p><p><img referrerpolicy=\"no-referrer\"/></p><p>不仅如此,马斯克还向投资者表示,将在2028年前将推特的收入增加五倍,将年收入提高到264亿美元。</p><p>第二招:泰山压钱。</p><p>马斯克虽然有钱,但440亿无论如何都是一个巨额数字,于是他开始压价了。</p><p>5月中旬,马斯克以平台上机器人和垃圾邮件账户太多为由,表示收购计划"暂时搁置"。他拿路透社的一份报告开炮,对文中报道的推特自称该平台虚假账户比例不足5%表示怀疑。</p><p>相当于推特都已经准备好委身相许了,马斯克却突然以对方不够真诚为由,拒绝了这门亲事。马斯克说推特隐瞒了一些事情,如果不解释清楚将终止交易;而推特则表示,我们一直想跟马斯克解释清楚,并且也邀请他进入董事会,可他就是不听、不看、不答应!</p><p>一番折腾下来,推特的股价跌了12%。推特股东又坐不住了,对马斯克提起集体诉讼,指控他在动荡的收购过程中进行股票操纵。</p><p>第三招:神龙摆钱。</p><p>面对指控,马斯克丝毫不虚,干脆挑明了要放弃对推特的收购。这个时候,推特就陷入了非常被动的局面,只能硬着头皮通过法律途径,强迫马斯克收购推特。</p><p>推特的律师表示,推特方面已经表示,不论马斯克提出任何需求,只要合理,我方都愿意配合,而马斯克单方面想要终止收购协议是无效的。他之所以这么做,纯粹是故意捣乱的,就是想要“随意的改变主意,捣毁公司,破坏其运作,破坏股东价值,然后一走了之。”</p><p>事后证明,马斯克并不是一走了之的人。更不用说如果马斯克真的放弃收购推特,很可能需要支付10亿美元的终止费。10亿美元买一场闹剧,太不划算了。最终,马斯克还是履行了承诺,买下了推特。</p><p><b>有人欢喜有人愁</b></p><p>收购案完成当天,马斯克将自己的推特个人介绍改成了“Chief Twit”,并发誓要彻底改革推特的商业模式,将其私有化,并放宽对骚扰、滥用和误导性索赔的规定。</p><p>目前,推特的商业模式主要依赖广告。2021年,广告为推特贡献了89%的营收。而随着近年来信息流广告出现的越来越频繁,用户不满的声音也水涨船高。所以,推特的广告业务成为马斯克的重点改革对象。</p><p>在马斯克的设想中,推特的愿景是成为“世界上最受尊敬的广告平台”。马斯克表示自己“非常讨厌广告”,但话锋一转又说,如果广告做的好,也可以让用户获得愉悦感和信息。所以,推特欢迎具有高相关性、能满足用户需求的高质量广告,清理相关性低、垃圾广告。</p><p>但广告商不吃这一套。</p><p>市场营销人员则质疑马斯克根本不了解广告商对该平台的需求。认为这会直接影响广告主投放的意愿,这些人可不愿意拿自己的钱陪着马斯克玩儿。</p><p>已经有人率先做出了行动,据路透社报道,当地时间周五,美国最大的汽车制造商通用汽车表示,在马斯克完成收购推特交易后,该公司暂时停止了在推特上的付费广告,理由是“公司正在与推特接触,以了解该平台在新所有权下的发展方向。作为媒体平台发生重大变化的正常业务流程,我们暂时停止了付费广告。”</p><p>更糟糕的是,根据分析机构预测,2022年推特的广告投放增速可能只有2021年的1/4。随后,马斯克表示会组建一个新的内容审核委员会,在该委员会召开之前,不会有重大的内容决定或账户恢复。</p><p>不仅如此,坊间还传闻马斯克准备裁掉75%的推特员工,搞得公司上下人心惶惶。尽管马斯克表示并不会裁掉这么多员工,但我们回顾一下这几天里发生的种种,谁还敢盲目相信马斯克说的话呢?</p><p>如今,推特的股票已于10月28日暂停交易,并将于11月8日从纽约证券交易所彻底退市。私有化后的推特,不需要按季度披露其月度活跃用户或收益等信息,同时还可能会组建一个新的董事会。在新的CEO人选没有敲定之前,马斯克将很开心的接下这副重担。</p><p>无论马斯克未来能把推特带向何方,起码推特的股东们实实在在的大赚特赚了一把。波士顿学院证券法教授表示。股民们什么都不用做,只需要坐等收钱即可,不会花很长时间。至于股票的钱都发放完毕后,股民、用户、广告主、品牌商…未来该如何应对,没人知道。</p><p>毕竟,马斯克会干出什么事,谁能猜到呢?</p></body></html>","source":"lsy1617703875854","collect":0,"html":"<!DOCTYPE referrerpolicy=\"no-referrer\"/></h2><p>股价的暴跌也和一直以来FF吊诡的财务表现有关。至今他们都没有公布2021年第三季度的财务报告,财务报告推迟发布的后果非常严重,将会面临的是收到美国证券交易委员会的退市警示函。</p><p>换句话说,再拖下去就被“销户”了。</p><p>就在这个敏感的档口,FF却临时更换了CFO——将2021年11月刚刚被任命的沃尔特・麦克布莱德 (Walter McBride)撤下,换为新人贝琪・洛夫(Becky Roof)。一上一下之间,不得不让人怀疑里面是否有什么猫腻。</p><p>另一方面,美国国内对贾跃亭的质疑声也越来越大。有人表示他又开始收割新一波韭菜了,割完国内股民又去美国割韭菜。还有不少人表示,FF就是割美国人民的韭菜,来偿还贾跃亭在中国的债务。</p><p>更有细心者,还发现在FF的代工厂中出现了韩国企业的身影,有人为此怀疑,难道贾跃亭在中美都混不下去,跑路去韩国“避险”了吗?</p><p>那么因为这次发布会再次走到舆论漩涡的贾跃亭,这些年来到底是在真心实意的造车,还是又上演了一出“贾氏”骗局?等待贾跃亭的是绝处逢生、咸鱼翻身,还是美国版的“下周回国”2.0版?</p><p><b>01</b></p><p>早在2017年,贾跃亭靠着两份PPT收割150亿,酿成了当年投资圈最大的一起“惨案”。</p><p>从那以后,再看见他公开场合拿出PPT,心里都要多留个心眼。</p><p>不过这次发布会却倒了过来——现场没有PPT,大家的疑虑反而更重了。</p><p>通常意义上来讲,汽车发布会都非常隆重,无论是过去的丰田、大众,还是这几年的特斯拉、蔚小理,都少不了全方位的产品展示,各种<a href=\"https://laohu8.com/S/5RE.SI\">智能</a>优势的呈现和对比,以及对未来的规划和展望。</p><p>毕竟这是新车首次正式对外曝光,对企业品牌形象至关重要。无论是各方面的准备,都有非常严谨的考究,就怕你错过任何信息。</p><p><img src=\"https://static.tigerbbs.com/83b20264a29daa4cb357aeff2c5d5dda\" tg-width=\"550\" tg-height=\"366\" referrerpolicy=\"no-referrer\"/></p><p>而法拉第未来这一次的准量产车的首发仪式,却不按套路出牌。</p><p>因为它实在太简单了。</p><p>开场画面,是贾跃亭坐在副驾驶的位置,一位工程师为他介绍车辆的种种功能,比如中控控制灯光、媒体、车窗等,毕福康看完外观,上车驾驶到既定位置,之后毕、贾二人分别执麦克风讲述准量产车下线的意义,未来的节奏与规划。</p><p>再之后,画面一切,贾跃亭与FF91出现在厂区停车场边的空地上,FF的工程师开着车在摆放的小桩桶上完成行驶。</p><p>THANKS FOR WATCHING,画面结束。</p><p>再一看总时长,只有短短25分钟。期间对FF91相关的车型性能、具体参数、售价和交付日期、汉福德工厂生产线、准量产车型与此前发布车型之间区别等方面,统统都没有提及。知道的,明白这是场发布会。不知道的,以为只是个热场。</p><p><img src=\"https://static.tigerbbs.com/3a8af37b6d32832a5c1552fd51c28654\" tg-width=\"550\" tg-height=\"366\" referrerpolicy=\"no-referrer\"/></p><p>以至于直播间中很多看直播的网友几乎是满脸问号,纷纷留言“这就完了?”“车不介绍?”“等了两小时,发布会就20分钟?”</p><p>业内人士对此也嗤之以鼻,表示与其说是发布会,不如说是贾跃亭一次临阵“画饼”,只是用来安抚资本市场和投资人的情绪而已。</p><p>毕竟像这样的画饼,FF和贾跃亭并不是第一次干了。</p><p>2017年1月18日,在对外公布第一款可量产车FF 91之后,FF即宣布其在美国内华达州APEX园区的工厂项目第一阶段工作完成,将在2018年正式交付首批FF 91。</p><p>随后的2017年7月11日,FF又宣布将其在内华达州APEX园区的部分工厂迁至新厂址并宣布此举将使产品“量产”更快落实。</p><p>意外的是,2017年9月美国内华达州当地媒体曝出“FF位于该州的项目彻底终止”的新闻。几天后,法拉第未来对此消息做出回应称,与内华达州政府的合作仍在持续,新工厂的建设已步入正轨,2018年交付车辆的目标维持不变。</p><p><img src=\"https://static.tigerbbs.com/4453f759d10d82dbcd4e2103a43a468a\" tg-width=\"550\" tg-height=\"309\" referrerpolicy=\"no-referrer\"/></p><p>2019年时,FF又在<a href=\"https://laohu8.com/S/WB\">微博</a>上表示坚信有能力在2019年内向全球预定用户交付车辆。</p><p>是的,FF把时间往后挪了一年。</p><p>而在2019年的一条微博中,FF表示FF 91在参加一个名为“Car and Coffee”的豪车活动。配图中,人群围住一辆棕褐色的FF 91拍照,列在FF 91周围的则是保时捷911、日产GTR等中高端跑车。</p><p>“一切不懈努力,只为初衷的坚守!FF 91, on the way! ”法拉第未来将活动定义为“豪车车展”,并在博文中说。</p><p>不过,这条微博很快被网友揭穿——“Cars and Coffee”只是全世界范围的汽车爱好者组织,该组织会在世界各地定期或者不定期举行豪车聚会,无论是车主还是爱好者,都可以参加活动并交流互动。FF只是假装在“参加豪车车展”。</p><p>纵观它的历史,除了借壳上市外,几乎没有准时的承诺。就像一个身无分文的,却屡屡证明自己有万贯家财。</p><p>而就在几个月前,就连上市这件事,也意外遭遇了“暴雷”。</p><p><b>02</b></p><p>2021年7月22日,纳斯达克新添了一串崭新的股票代码——“FFIE”。</p><p>这意味着,FF成功在美国上市。</p><p>对普通人来说,上市意味着锦上添花。但对贾跃亭来说,是救命稻草。</p><p>此前,由于他个人信用的破产及自身复杂的债务关系,很长时间融资都屡屡碰壁,大多数银行都不愿贷款给他,以至于一度沦落到向乐视相关公司及FF员工“借款”度日。直到顺利登陆美股,才算是解了燃眉之急。</p><p>心情大好的贾跃亭,出现在FF上市的直播画面中,与毕福康一同驾驶FF 91去往纳斯达克交易所,在直播中他介绍FF 91性能优势,满面红光,精神抖擞。</p><p><img src=\"https://static.tigerbbs.com/83c1a113cc7e26586f0daa5f34d050b8\" tg-width=\"550\" tg-height=\"642\" referrerpolicy=\"no-referrer\"/></p><p>他还在微博中写下长文来表达喜悦之情:“FF91是全球智能电动汽车行业唯一的产品,比特斯拉model X和S Plaid还高一个档次”</p><p>被问及是否有回国打算,老贾也信誓旦旦表示,“回国是必须的,解决债务问题”。</p><p>能不能回国不得而知,但比特斯拉model X高一档这件事,从招股说明书中提到的销量来看确实有一拼:其首款旗舰车型FF 91已获得超过1.4万辆订单,预计未来5年销量将超过40万辆,势头惊人。</p><p>尽管FF91的价格高达130万人民币,引进国内售价高达200万左右,但仅仅三天的时间,300辆居然售罄,不得不令业界震惊。</p><p>但谁也没想到,仅仅过了3个月,事情就漏出了马脚。</p><p>2021年10月,美国做空机构J Capital Research发布一份长达28页的做空报告,针对研发投入情况、投产能力、资本运作表现和创始人贾跃亭本身列数了多条罪状,直截了当表示:FF一辆车也卖不出。</p><p>并声称:FF就是割美国人民的韭菜,来偿还贾跃亭在中国的债务。</p><p><img src=\"https://static.tigerbbs.com/46730c9a8340f3018cbc3cfa8af463e9\" tg-width=\"550\" tg-height=\"401\" referrerpolicy=\"no-referrer\"/></p><p>首先在订单数方面。去年年初FF在一份路演文件中透露,已经收到1.4万辆FF 91的订单。但根据JCAP的调查,贾跃亭宣称的那些订单中有78%来自同一家私人公司,且这批订单在2020年就被转换成了年利率8%的应付票据。</p><p>JCAP猜测,前述私人公司为FF的关联公司,而FF也并未真正收到1.4万辆车的订单现金。FF公司CEO毕福康曾宣布,FF 两款车型的美国市场的定金分别为5000美元和1500美元,中国市场的订金为5万元和2万元。但有资料显示,自2021年以来,FF仅有14.4万美元的订金入账。</p><p>在建厂承诺和量产方面,JCAP报告称FF违背了5个建厂承诺,第六个工厂建设也一再推迟,不确定能否建设成功。最新的一系列证据是,位于加利福尼亚的汉福德工厂,在JCAP调查人员8-9月的三次实地考察中,工厂门窗紧闭,甚至看不到一个工作人员。</p><p>JCAP表示,今年9月20日,FF公司曾发布一份报告称其在制造方面取得看进展,但JCAP走访的公司前工程主管并不认为FF的电动汽车已准备好投入生产,甚至至今未研发出合适的电池冷却液。</p><p><img src=\"https://static.tigerbbs.com/38bf753e87154db04bce1e240be92881\" tg-width=\"550\" tg-height=\"371\" referrerpolicy=\"no-referrer\"/></p><p>除了上述问题,JCAP认为FF的财务状况也无法令人信服。</p><p>从FF招股书来看,公司仍处于亏损状态,其中2019年净亏损1.42亿美元,2020年扩大到了1.47亿美元。</p><p>根据招股书数据,上市之前FF总共支出了约20亿美元,却没有产生任何收入。且这20亿美元投入,与FF一直缺钱和数家工厂关闭的现状,以及披露出的每年研发费用不超过3000万美元的事实差距过大,引来一片质疑声。</p><p>在通过SPAC合并上市后,FF支付9230万美元现金用于“咨询、银行、印刷、法律和会计服务”。JCAP怀疑,贾跃亭及其他FF高管通过支付高额咨询费等方式将公司资产掏进个人口袋,有不当得利的嫌疑。</p><p>JCAP还在报告中提及,“危在旦夕”的恒大,最快至2022年1月,也就是禁售期之后,将全部出售其持有的20.5%甚至更多法拉第未来股票。这是FF财务上的另外一个不稳定因素。</p><p><img src=\"https://static.tigerbbs.com/8dd184b63df4d9d75ec2c55fbe72f3fd\" tg-width=\"550\" tg-height=\"356\" referrerpolicy=\"no-referrer\"/></p><p>雪上加霜的是,10月份发布的文件中,FF表明它仍在筹集资金,一些融资成本达到了14%。FF预计到2024年需要额外的14亿美元资金才能实现其财务目标,但不断走低的股价并不足以支持公司大规模融资。</p><p>面对种种质疑,起初贾跃亭并不承认,反之揶揄称:“冷饭热炒,无稽之谈。”</p><p>不过令他没想到的是,此时的FF却闹起了“内斗”——公司专门成立一个调查委员会,自己调查自己。</p><p>这下子,彻底把贾跃亭的底裤扒了。</p><p>“自曝”调查发现,FF91预订数据的确存在造假,FF此前自称的14000多份预订,只有500辆有支付,其余都是空的,那也意味着订单造假率超过96%。</p><p><img src=\"https://static.tigerbbs.com/71940f0dba34fa73391c1dc92e4f01cc\" tg-width=\"550\" tg-height=\"181\" referrerpolicy=\"no-referrer\"/></p><p>而且调查还承认,之前公司上下都“低估了贾跃亭对业务的参与程度”,因为贾跃亭在SPAC上市后,通过在空壳公司的职务直接参与FF的管理。</p><p>根据报道称,财报中的Wang jia wei是贾跃亭外甥,贾跃亭曾将自己的FF股权全转到外甥名下,并任命他为CFO,避免FF因自己的债务风险被查,同时能通过“自己人”实际控制FF。</p><p>不仅瞒报数据,还公饱私囊。这一通爆料后,贾跃亭名财两空,不仅自己被罚降薪25%,在美国的信用也彻底崩塌了。</p><p><b>03</b></p><p>“割美国人韭菜”这件丑闻,反过来又影响到了贾跃亭在国内的落户建厂。</p><p>众所周知,自赴美造车以来,贾跃亭就一直在为回国做准备。</p><p>但这个“回国”不是人回,而是工厂回。</p><p>之所以FF要力图把工厂迁回国内,其名曰推动“中美双主战场”战略,实际上是想通过中国的供应链优势,拉低造车成本。</p><p>山西长治是他们首个相中的地方,FF曾与长治高新区管委会在线上举行过一场会议,专门讨论在国内建设生产基地的问题;湖北也是“绯闻对象”之一,这里不仅传出要建生产基地,还将建立中国总部;此外,珠海在内的5~6个地方政府也都是FF的目标。</p><p><img src=\"https://static.tigerbbs.com/c54853dea0a5d07303c6762ed635a524\" tg-width=\"550\" tg-height=\"310\" referrerpolicy=\"no-referrer\"/></p><p>但在做空机构提出“信息披露不实”指控后,这些项目都遭遇滑铁卢。</p><p>“这个肯定有影响的,如果在美国财务造假被确认的话,那就表明FF的商业模式、公司的一些产品规划、生产运营都是不可信的,也就是说没办法按照这个计划去量产新车。” 在汽车行业分析师张翔看来,被做空机构质疑是电动车骗局,对FF在国内建厂影响巨大,“很可能会黄掉”。</p><p>无奈之下,亟需量产的FF,只得去选择第三方国家的代工企业。</p><p>这时,与大陆毗邻的韩国就进入了视野范围。</p><p>前不久,FF与由韩国明信(Myoung Shin)完成了一笔签约,后者将为其代工第二款车型FF81。</p><p><img src=\"https://static.tigerbbs.com/360bbd867c1515bfef69cf107b0f9783\" tg-width=\"550\" tg-height=\"287\" referrerpolicy=\"no-referrer\"/></p><p>明信这家企业听起来不陌生。早在2019年,他们曾与拜腾汽车签署合作协议,帮助拜腾汽车完成整车制造、销售以及供应链搭建,同时参与了拜腾汽车的C轮融资,而正巧明信也是FF现任CEO毕福康的前东家。</p><p>但不久后,拜腾汽车“暴雷”,从地球上消失。明信集团在2020年又将目光转投到了威马汽车身上,随后在2020年年底正式签署合作协议,但随后威马也接连发生自燃事故,深陷泥潭。</p><p>工艺水平还不是最大的差距,最无解的是供应链体系。毕竟韩国无论是市场规模,还是新能源汽车产业链的完整度,都远远不如中国市场,所以急到连韩国人都下手的贾跃亭,依旧只是找到一个备选或者过渡方案、饮鸠止渴而已,如何中国进行本土化生产,仍是个横亘眼前、迫在眉睫的问题。</p><p><img src=\"https://static.tigerbbs.com/604faaa5f75681c762e8ee4cc5c0c288\" tg-width=\"550\" tg-height=\"332\" referrerpolicy=\"no-referrer\"/></p><p>另一方面,FF的对手也来势汹汹。</p><p>此前FF最大的倚仗是技术,但从如今看来,2019和2020年,FF的研发投入仅2828万美元和2018万美元,而蔚来、理想这些企业,每年研发费用高达上亿美元。</p><p>不仅如此,生产方面后者更是对FF完成了碾压。2021年,蔚来、理想、小鹏汽车的销量分别达到9.14万辆、9.04万辆、9.81万辆,各个造车新势力都已经开始跑马圈地,而FF91甚至还没有开始量产。</p><p>就连贾跃亭的旧部丁磊也过来抢一杯羹。</p><p>2014年,以联合创始人身份加入乐视汽车的。两年后,2017年乐视资金链断裂,贾跃亭卸任乐视控股法定代表人,资金被冻结。同年12月,</p><p>2017年,乐视的联合创始人丁磊辞职创业,成立了华人运通,创建纯电品牌高合Hiphi。</p><p>在短短2年的时间内,他带领高合完成从定位、设计、立厂、生产、上市等等一套操作,与FF形成了天壤之别。</p><p>2021年8月,高合交付469辆,居50万元以上<a href=\"https://laohu8.com/S/DLX\">豪华</a>品牌电动车销量排行第二,仅次于保时捷Taycan。</p><p><img src=\"https://static.tigerbbs.com/f6ba823bfbd7af7146c909801d689f9f\" tg-width=\"550\" tg-height=\"418\" referrerpolicy=\"no-referrer\"/></p><p>尽管FF喊出了2025年交付45万辆的豪言壮语,但业界对其并不好看。乘联会秘书长崔东树认为:“FF91立项很早,可能会跟不上时代,而且定价过高,销量不会很多,很难摊平研发费用。”</p><p>更令人担忧的是,这种差距从目前看来没有缩小的趋势,反而还在进一步扩大。</p><p>前几天,随着蔚来通过<a href=\"https://laohu8.com/S/00388\">香港交易所</a>聆讯,“蔚小理”三家新造车企业又齐聚港股市场。在实现美股、港股两地上市后,投资者群体势必会有扩大。而ff的股价已经跌破谷底,没有故事可讲的贾跃亭,还在为下一步融资而焦头烂额。</p><p>更为拖后腿的是,贾跃亭国内的天坑还没填完。</p><p>就在FF宣布举行发布会的同日,他们就遭遇了“债主”们的“围攻”追债。</p><p><img referrerpolicy=\"no-referrer\"/></p><p>2月23日,贾跃亭新增三条恢复执行信息,执行标的总计25亿余元,涉及案件为贾跃亭与平安证券、华融证券等公司的相关纠纷,执行法院均为北京市第三中级人民法院。</p><p>截至目前,贾跃亭被执行总金额已超52亿元。</p><p>为补资金窟窿,不得不卖地求生,继去年7月贱卖了贾跃亭旗下最值钱的资产——世茂工三后,11月末乐视大厦又以5.7亿的被低价拍卖,足见贾跃亭资产的“烫手”程度。</p><p>七年时间,造车势力的牌局早已改变,各路豪强层出不穷,曾走在前沿率先推出FF91,进度却被造车新势力们赶超,自己的车迟迟不见踪影,而是忙于填补一个又一个窟窿。</p><p><b>尾声</b></p><p>豪言壮语,一直是贾跃亭的标签。</p><p>2016年8月,贾跃亭进入手机领域,称希望乐视+酷派一两年内能够实现年销量破1亿台生态手机。</p><p>不过,理想很美好现实很骨感。</p><p>2016年9月发布的乐Pro 3,成为乐视手机的遗作,从此再无新品上市,最终没活过2017年,治下团队也逐渐分崩离析。</p><p>2017年1月,贾跃亭喜提150亿元融资,让他看到乐视生态翻身的希望。</p><p>或许是过于兴奋,他说道,“长期来讲我们非常有信心让乐视成为在中国上市的第一个千亿美金市值的民营企业之一”、“(股价)什么时候过100,一方面我们自身的努力,我们业务肯定会进入爆发期,对上市公司来讲。另外股价能否快速达到100元,希望的是所有人齐心协力”。</p><p><img src=\"https://static.tigerbbs.com/7ee8069afacfa3610c422142e9eabb9a\" tg-width=\"550\" tg-height=\"381\" referrerpolicy=\"no-referrer\"/></p><p>同一年,他在接受媒体采访时还乐观地表示,汽车产业的四大趋势是电动化、智能化、互联网化、共享化,而后三化全是乐视优势。“我相信,未来,当汽车和互联网融为一体时,将会出现超越<a href=\"https://laohu8.com/S/AAPL\">苹果</a>的公司,而乐视最有可能成为那家公司。”</p><p>只不过后来,乐视总市值跌到7.18亿元,不仅较高峰时的1700亿元市值蒸发99%以上,与当年憧憬的千亿美元市值、比肩苹果更是相差甚远。一地鸡毛的破败局面,让乐视网28万股民血本无归。</p><p>如今,随着FF91的量产,贾跃亭吹牛的老毛病又犯了。</p><p>只不过这次,人们都记住“狼来了”的故事。</p><p>无论贾跃亭是下周回国也好,量产交付也罢;超越迈巴赫也好,脚踩法拉利也罢;在美国⼯⼚开⼯也好,还是在韩国拿地也罢。对于一位早已在信用方面千疮百孔的人来说,大家都不再抱以希望,只是当一个笑话来看。</p><p>毕竟信用,是一个人最大的未来。⽆论怎样,在一个老赖清还完所有债务之前,法拉第未来在我们看来,都没有太多未来。</p></body></html>","source":"lsy1572425666524","collect":0,"html":"<!DOCTYPE 91将成为市面上第一台真正的奢华电动汽车,其第一阶段的市场目标是触达全球塔尖用户,FF 91的出现将实现对传统奢华品牌的颠覆。”或许是迫切地想让外界了解到FF 91将如何触达全球塔尖用户,贾跃亭还不忘补充道:“FF 91的零至百公里加速度远远超过了迈巴赫,且比法拉利的大多数车型更快。”但速度另说,FF91在价格上肯定是上超过了,其在国内及美国的售价分别为200万元及20万美金,足以比肩诸多传统豪车,与特斯拉早期Tesla Roadster也有一拼。但贾跃亭的“野心”不止于此,未来每辆FF91都会有一个特殊的“ ieMedal电子奖章,”用户未来在APP上只要完成指定任务就能够获得特殊的ieMedal,所以基本上就是个现在大火的“NFT”( Roof)。一上一下之间,不得不让人怀疑里面是否有什么猫腻。另一方面,美国国内对贾跃亭的质疑声也越来越大。有人表示他又开始收割新一波韭菜了,割完国内股民又去美国割韭菜。还有不少人表示,FF就是割美国人民的韭菜,来偿还贾跃亭在中国的债务。更有细心者,还发现在FF的代工厂中出现了韩国企业的身影,有人为此怀疑,难道贾跃亭在中美都混不下去,跑路去韩国“避险”了吗?那么因为这次发布会再次走到舆论漩涡的贾跃亭,这些年来到底是在真心实意的造车,还是又上演了一出“贾氏”骗局?等待贾跃亭的是绝处逢生、咸鱼翻身,还是美国版的“下周回国”2.0版?01早在2017年,贾跃亭靠着两份PPT收割150亿,酿成了当年投资圈最大的一起“惨案”。从那以后,再看见他公开场合拿出PPT,心里都要多留个心眼。不过这次发布会却倒了过来——现场没有PPT,大家的疑虑反而更重了。通常意义上来讲,汽车发布会都非常隆重,无论是过去的丰田、大众,还是这几年的特斯拉、蔚小理,都少不了全方位的产品展示,各种智能优势的呈现和对比,以及对未来的规划和展望。毕竟这是新车首次正式对外曝光,对企业品牌形象至关重要。无论是各方面的准备,都有非常严谨的考究,就怕你错过任何信息。而法拉第未来这一次的准量产车的首发仪式,却不按套路出牌。因为它实在太简单了。开场画面,是贾跃亭坐在副驾驶的位置,一位工程师为他介绍车辆的种种功能,比如中控控制灯光、媒体、车窗等,毕福康看完外观,上车驾驶到既定位置,之后毕、贾二人分别执麦克风讲述准量产车下线的意义,未来的节奏与规划。再之后,画面一切,贾跃亭与FF91出现在厂区停车场边的空地上,FF的工程师开着车在摆放的小桩桶上完成行驶。THANKS WATCHING,画面结束。再一看总时长,只有短短25分钟。期间对FF91相关的车型性能、具体参数、售价和交付日期、汉福德工厂生产线、准量产车型与此前发布车型之间区别等方面,统统都没有提及。知道的,明白这是场发布会。不知道的,以为只是个热场。以至于直播间中很多看直播的网友几乎是满脸问号,纷纷留言“这就完了?”“车不介绍?”“等了两小时,发布会就20分钟?”业内人士对此也嗤之以鼻,表示与其说是发布会,不如说是贾跃亭一次临阵“画饼”,只是用来安抚资本市场和投资人的情绪而已。毕竟像这样的画饼,FF和贾跃亭并不是第一次干了。2017年1月18日,在对外公布第一款可量产车FF 91之后,FF即宣布其在美国内华达州APEX园区的工厂项目第一阶段工作完成,将在2018年正式交付首批FF 91。随后的2017年7月11日,FF又宣布将其在内华达州APEX园区的部分工厂迁至新厂址并宣布此举将使产品“量产”更快落实。意外的是,2017年9月美国内华达州当地媒体曝出“FF位于该州的项目彻底终止”的新闻。几天后,法拉第未来对此消息做出回应称,与内华达州政府的合作仍在持续,新工厂的建设已步入正轨,2018年交付车辆的目标维持不变。2019年时,FF又在微博上表示坚信有能力在2019年内向全球预定用户交付车辆。是的,FF把时间往后挪了一年。而在2019年的一条微博中,FF表示FF 91在参加一个名为“Car and Coffee”的豪车活动。配图中,人群围住一辆棕褐色的FF 91拍照,列在FF 91周围的则是保时捷911、日产GTR等中高端跑车。“一切不懈努力,只为初衷的坚守!FF 91, on the way! ”法拉第未来将活动定义为“豪车车展”,并在博文中说。不过,这条微博很快被网友揭穿——“Cars and Coffee”只是全世界范围的汽车爱好者组织,该组织会在世界各地定期或者不定期举行豪车聚会,无论是车主还是爱好者,都可以参加活动并交流互动。FF只是假装在“参加豪车车展”。纵观它的历史,除了借壳上市外,几乎没有准时的承诺。就像一个身无分文的,却屡屡证明自己有万贯家财。而就在几个月前,就连上市这件事,也意外遭遇了“暴雷”。022021年7月22日,纳斯达克新添了一串崭新的股票代码——“FFIE”。这意味着,FF成功在美国上市。对普通人来说,上市意味着锦上添花。但对贾跃亭来说,是救命稻草。此前,由于他个人信用的破产及自身复杂的债务关系,很长时间融资都屡屡碰壁,大多数银行都不愿贷款给他,以至于一度沦落到向乐视相关公司及FF员工“借款”度日。直到顺利登陆美股,才算是解了燃眉之急。心情大好的贾跃亭,出现在FF上市的直播画面中,与毕福康一同驾驶FF 91去往纳斯达克交易所,在直播中他介绍FF 91性能优势,满面红光,精神抖擞。他还在微博中写下长文来表达喜悦之情:“FF91是全球智能电动汽车行业唯一的产品,比特斯拉model X和S Plaid还高一个档次”被问及是否有回国打算,老贾也信誓旦旦表示,“回国是必须的,解决债务问题”。能不能回国不得而知,但比特斯拉model X高一档这件事,从招股说明书中提到的销量来看确实有一拼:其首款旗舰车型FF 91已获得超过1.4万辆订单,预计未来5年销量将超过40万辆,势头惊人。尽管FF91的价格高达130万人民币,引进国内售价高达200万左右,但仅仅三天的时间,300辆居然售罄,不得不令业界震惊。但谁也没想到,仅仅过了3个月,事情就漏出了马脚。2021年10月,美国做空机构J Capital Research发布一份长达28页的做空报告,针对研发投入情况、投产能力、资本运作表现和创始人贾跃亭本身列数了多条罪状,直截了当表示:FF一辆车也卖不出。并声称:FF就是割美国人民的韭菜,来偿还贾跃亭在中国的债务。首先在订单数方面。去年年初FF在一份路演文件中透露,已经收到1.4万辆FF 91的订单。但根据JCAP的调查,贾跃亭宣称的那些订单中有78%来自同一家私人公司,且这批订单在2020年就被转换成了年利率8%的应付票据。JCAP猜测,前述私人公司为FF的关联公司,而FF也并未真正收到1.4万辆车的订单现金。FF公司CEO毕福康曾宣布,FF 两款车型的美国市场的定金分别为5000美元和1500美元,中国市场的订金为5万元和2万元。但有资料显示,自2021年以来,FF仅有14.4万美元的订金入账。在建厂承诺和量产方面,JCAP报告称FF违背了5个建厂承诺,第六个工厂建设也一再推迟,不确定能否建设成功。最新的一系列证据是,位于加利福尼亚的汉福德工厂,在JCAP调查人员8-9月的三次实地考察中,工厂门窗紧闭,甚至看不到一个工作人员。JCAP表示,今年9月20日,FF公司曾发布一份报告称其在制造方面取得看进展,但JCAP走访的公司前工程主管并不认为FF的电动汽车已准备好投入生产,甚至至今未研发出合适的电池冷却液。除了上述问题,JCAP认为FF的财务状况也无法令人信服。从FF招股书来看,公司仍处于亏损状态,其中2019年净亏损1.42亿美元,2020年扩大到了1.47亿美元。根据招股书数据,上市之前FF总共支出了约20亿美元,却没有产生任何收入。且这20亿美元投入,与FF一直缺钱和数家工厂关闭的现状,以及披露出的每年研发费用不超过3000万美元的事实差距过大,引来一片质疑声。在通过SPAC合并上市后,FF支付9230万美元现金用于“咨询、银行、印刷、法律和会计服务”。JCAP怀疑,贾跃亭及其他FF高管通过支付高额咨询费等方式将公司资产掏进个人口袋,有不当得利的嫌疑。JCAP还在报告中提及,“危在旦夕”的恒大,最快至2022年1月,也就是禁售期之后,将全部出售其持有的20.5%甚至更多法拉第未来股票。这是FF财务上的另外一个不稳定因素。雪上加霜的是,10月份发布的文件中,FF表明它仍在筹集资金,一些融资成本达到了14%。FF预计到2024年需要额外的14亿美元资金才能实现其财务目标,但不断走低的股价并不足以支持公司大规模融资。面对种种质疑,起初贾跃亭并不承认,反之揶揄称:“冷饭热炒,无稽之谈。”不过令他没想到的是,此时的FF却闹起了“内斗”——公司专门成立一个调查委员会,自己调查自己。这下子,彻底把贾跃亭的底裤扒了。“自曝”调查发现,FF91预订数据的确存在造假,FF此前自称的14000多份预订,只有500辆有支付,其余都是空的,那也意味着订单造假率超过96%。而且调查还承认,之前公司上下都“低估了贾跃亭对业务的参与程度”,因为贾跃亭在SPAC上市后,通过在空壳公司的职务直接参与FF的管理。根据报道称,财报中的Wang jia wei是贾跃亭外甥,贾跃亭曾将自己的FF股权全转到外甥名下,并任命他为CFO,避免FF因自己的债务风险被查,同时能通过“自己人”实际控制FF。不仅瞒报数据,还公饱私囊。这一通爆料后,贾跃亭名财两空,不仅自己被罚降薪25%,在美国的信用也彻底崩塌了。03“割美国人韭菜”这件丑闻,反过来又影响到了贾跃亭在国内的落户建厂。众所周知,自赴美造车以来,贾跃亭就一直在为回国做准备。但这个“回国”不是人回,而是工厂回。之所以FF要力图把工厂迁回国内,其名曰推动“中美双主战场”战略,实际上是想通过中国的供应链优势,拉低造车成本。山西长治是他们首个相中的地方,FF曾与长治高新区管委会在线上举行过一场会议,专门讨论在国内建设生产基地的问题;湖北也是“绯闻对象”之一,这里不仅传出要建生产基地,还将建立中国总部;此外,珠海在内的5~6个地方政府也都是FF的目标。但在做空机构提出“信息披露不实”指控后,这些项目都遭遇滑铁卢。“这个肯定有影响的,如果在美国财务造假被确认的话,那就表明FF的商业模式、公司的一些产品规划、生产运营都是不可信的,也就是说没办法按照这个计划去量产新车。” 在汽车行业分析师张翔看来,被做空机构质疑是电动车骗局,对FF在国内建厂影响巨大,“很可能会黄掉”。无奈之下,亟需量产的FF,只得去选择第三方国家的代工企业。这时,与大陆毗邻的韩国就进入了视野范围。前不久,FF与由韩国明信(Myoung Shin)完成了一笔签约,后者将为其代工第二款车型FF81。明信这家企业听起来不陌生。早在2019年,他们曾与拜腾汽车签署合作协议,帮助拜腾汽车完成整车制造、销售以及供应链搭建,同时参与了拜腾汽车的C轮融资,而正巧明信也是FF现任CEO毕福康的前东家。但不久后,拜腾汽车“暴雷”,从地球上消失。明信集团在2020年又将目光转投到了威马汽车身上,随后在2020年年底正式签署合作协议,但随后威马也接连发生自燃事故,深陷泥潭。工艺水平还不是最大的差距,最无解的是供应链体系。毕竟韩国无论是市场规模,还是新能源汽车产业链的完整度,都远远不如中国市场,所以急到连韩国人都下手的贾跃亭,依旧只是找到一个备选或者过渡方案、饮鸠止渴而已,如何中国进行本土化生产,仍是个横亘眼前、迫在眉睫的问题。另一方面,FF的对手也来势汹汹。此前FF最大的倚仗是技术,但从如今看来,2019和2020年,FF的研发投入仅2828万美元和2018万美元,而蔚来、理想这些企业,每年研发费用高达上亿美元。不仅如此,生产方面后者更是对FF完成了碾压。2021年,蔚来、理想、小鹏汽车的销量分别达到9.14万辆、9.04万辆、9.81万辆,各个造车新势力都已经开始跑马圈地,而FF91甚至还没有开始量产。就连贾跃亭的旧部丁磊也过来抢一杯羹。2014年,以联合创始人身份加入乐视汽车的。两年后,2017年乐视资金链断裂,贾跃亭卸任乐视控股法定代表人,资金被冻结。同年12月,2017年,乐视的联合创始人丁磊辞职创业,成立了华人运通,创建纯电品牌高合Hiphi。在短短2年的时间内,他带领高合完成从定位、设计、立厂、生产、上市等等一套操作,与FF形成了天壤之别。2021年8月,高合交付469辆,居50万元以上豪华品牌电动车销量排行第二,仅次于保时捷Taycan。尽管FF喊出了2025年交付45万辆的豪言壮语,但业界对其并不好看。乘联会秘书长崔东树认为:“FF91立项很早,可能会跟不上时代,而且定价过高,销量不会很多,很难摊平研发费用。”更令人担忧的是,这种差距从目前看来没有缩小的趋势,反而还在进一步扩大。前几天,随着蔚来通过香港交易所聆讯,“蔚小理”三家新造车企业又齐聚港股市场。在实现美股、港股两地上市后,投资者群体势必会有扩大。而ff的股价已经跌破谷底,没有故事可讲的贾跃亭,还在为下一步融资而焦头烂额。更为拖后腿的是,贾跃亭国内的天坑还没填完。就在FF宣布举行发布会的同日,他们就遭遇了“债主”们的“围攻”追债。2月23日,贾跃亭新增三条恢复执行信息,执行标的总计25亿余元,涉及案件为贾跃亭与平安证券、华融证券等公司的相关纠纷,执行法院均为北京市第三中级人民法院。截至目前,贾跃亭被执行总金额已超52亿元。为补资金窟窿,不得不卖地求生,继去年7月贱卖了贾跃亭旗下最值钱的资产——世茂工三后,11月末乐视大厦又以5.7亿的被低价拍卖,足见贾跃亭资产的“烫手”程度。七年时间,造车势力的牌局早已改变,各路豪强层出不穷,曾走在前沿率先推出FF91,进度却被造车新势力们赶超,自己的车迟迟不见踪影,而是忙于填补一个又一个窟窿。尾声豪言壮语,一直是贾跃亭的标签。2016年8月,贾跃亭进入手机领域,称希望乐视+酷派一两年内能够实现年销量破1亿台生态手机。不过,理想很美好现实很骨感。2016年9月发布的乐Pro
