href=\"https://laohu8.com/S/TSLA\">特斯拉</a>股票由粉丝决定”这一让人无不意外的民调投票到现在,已经有超过300万人参与投票,截止投票截止时间,有近58%的粉丝网友投了“yes!”</p>\n<p>也就是说,<b>如果马斯克真的遵守“无论如何都将遵守投票结果”的承诺,那么这10%的股权大概率是真的要被抛售了。</b></p>\n<p>根据特斯拉2020年度的报告数据,<b>马斯克本人持有特斯拉大概25.42%的股权(可能最新数据有变),这部分10%的股权对应当前的市值将超过200亿美元。</b>如果其真的在四季度也就是剩下的2个月抛售了,对应市场情绪来说很可能就是一个大大的惊吓,股价考验肯定也是非常大的!</p>\n<p><img height=\"auto\"></p>\n<p><b>所有抛售还没有计划呢,今天特斯拉的股价盘前开局就一度跌超了7%,市场恐慌气氛浓厚程度可见一斑!</b></p>\n<p>那么,除了股价异动,我们如何理解马斯克这个不走寻常路的骚操作?他被美国政府逼着交税的背后又说明了什么?</p>\n<h3><b>01</b></h3>\n<h3><b>如何看待这个骚操作?</b></h3>\n<p>很少人会关注到为什么马斯克提抛售的是10%,而不是5%或20%等其他比例。</p>\n<p>其实马斯克也是有自己的考虑的。</p>\n<p><b>上面说的马斯克持有的这部分10%股权,大概是200多亿美元,也大概就是他马上要缴纳的150亿期权税单+最近被逼捐的60多亿的相加。</b></p>\n<p><b>事实上,无论这一次的民意调查结果如何,马斯克很有可能要开始出售掉一些特斯拉的股票,因为在未来几个月他就要面临超过150亿美元的期权税单。</b></p>\n<p>这些期权的税单,是马斯克在2012年就获得的2280万股、执行价格为6.24美元/股的股票期权,但按特斯拉最新收盘价1222.09美元算,这份期权的收益将超过270亿美元。此外,2018年3月,特斯拉董事会曾授予马斯克颇受争议的“CEO 绩效奖”,其中包含了12个阶段共计1.013亿股股票期权(经2020股票一拆五调整)。</p>\n<p>这样一来,按照美国的相关法律,他必须要为这些巨额的增值收益交税,税率甚至超过50%,大概算下来就高达150亿美元。</p>\n<p>作为一个工资只领1美元的打工人,除了股票资产,他的身上可能拿不出多少现金,平时的用度都是通过先抵押股票拿贷款消费的(为何要这样,下面会说),除了抛售股票来交税,他几乎没有什么更好的选择。</p>\n<p><b>当然,他也可以选择继续拿更多手上的股份去抵押贷款来交税,但这怎么看都不是一个合适的生意。</b>首先,截止目前他已经抵押出去了9200万股股票,交这150亿的税款,意味着至少还要再拿出相当部分去抵押,如果未来股价真的大跌了,不排除继续补充抵押股票,这样既麻烦,又有风险(毕竟大部分股权都质押出去了)。</p>\n<p>其次,在之前的Code会议上,当被问及如何以波动如此大的股票为抵押借款时,马斯克也很坦然承认“股票并不总是上涨,它们也会下跌。”的事实,目前这个价位不敢说还能不能继续冲高,起码真的是高了。既然如此,顺水推舟减持一部分股权,同时还捞得一波关注和人心,既要也要都完美实现,这个结局对于马斯克来说不美吗?</p>\n<p>而那60多亿美元的“逼捐”,根据马斯克和联合国世界粮食计划署署长毕斯利的连续2个月来回舌战,目前马斯克算是被逼到了墙角,这钱怕也是捐定了。</p>\n<p>但另外,我们需要想想,马斯克如果真的抛售10%的持股,对特斯拉的股价到底会有什么影响?</p>\n<p>一方面,利空是肯定的了,毕竟这么大比例的减持,这情况跟A股大股东抛股套现跑路的影响是类似的,尤其是在特斯拉股价这么高的情况下。</p>\n<p>但另一方面,马斯克如果真要抛,也不会傻到直接在公开市场抛售,因为这样做很容易引发市场波动,站在要为股东股东负责的职业操守面前,他也不应该这么做,这点道理他没理由不懂。所以,大概率马斯克会通过大宗交易、协议转让的方式,直接找对家接盘,将这个事件引起市场动荡减到最低。<b>也就是说,因为这个事件特斯拉的股价可能会受影响下跌,但可能影响不会有市场担心的那么大。</b></p>\n<h3><b>02</b></h3>\n<h3><b>花式避税的克星来了?</b></h3>\n<p>一直以来,美国的顶级富豪们在面对征税这方面,一直是想方设法规避,然后能拖就拖。</p>\n<p>对于马斯克这种情况,其实也是美国政府近两年在征收富人税方面确实取得一些推进的效果。</p>\n<p>对于马斯克在推文中写到的“最近有很多人认为未实现的收益是一种避税手段”,众多分析认为马斯克此举是在回应美国国会参议院民主党提出的<b>“亿万富翁所得税“</b>。</p>\n<p>据披露,“亿万富翁所得税”的适用对象是连续三年持有资产超过10亿美元或者年收入超过1亿美元的纳税人,美国符合此条件的超级富豪大约有700人。</p>\n<p>根据经济学家祖克曼的研究分析,这一尚在提案中的新税种有望为美国联邦政府带来5000亿美元的收入,仅马斯克一人就将贡献将近500亿美元,而全球富豪榜排名第二的<a href=\"https://laohu8.com/S/AMZN\">亚马逊</a>创始人贝索斯潜在税负也排名第二,高达440亿美元,美国排名前十的亿万富翁累计将“贡献”2750亿美元之多。</p>\n<p><img src=\"https://static.tigerbbs.com/71bba80544a73134739b400db6caa799\" tg-width=\"1001\" height=\"auto\"></p>\n<p><b>与亿万富翁们可能要缴纳的巨额税款相反,亿万富翁们过往缴纳的税率极低。</b></p>\n<p>据非营利性媒体机构ProPublica报道,在过去15年间,美国超级富豪们不仅在实际个人所得税率方面远远低于常人,甚至在某些年份,一些超级富豪的联邦个人所得税为零。比如贝索斯在2007年和2011年都没有缴纳任何联邦个人所得税,但仅2007年他的财富就增长了38亿美元,马斯克在2018年也没有缴纳任何联邦个人所得税,而金融巨鳄索罗斯更是有连续三年未缴纳联邦个人所得税。</p>\n<p><b>股神巴菲特从2014年至2018年间增加了多达243亿美元,申报缴纳了2370万美元的税,“真实税率”为0.1%。</b></p>\n<p><img height=\"auto\"></p>\n<p>不同于常人,富豪的收入往往并不是来源于工资,据公开资料披露,马斯克2018年总薪酬仅有五万多美元,尚不及中产阶级水平,2020年总薪酬甚至为0,此外扎克伯格等人都曾领过1美元的“工资“。</p>\n<p>他们的收入往往以资产的形式实现,比如股票、房产、艺术品等。虽然针对此部分收入有相应的资本利得税,但按照规定资产持有者只有在出售资产并获得利润,也就是“实现收益”时,才需要缴税。在此规定下,资产持有者只要长期持有不出售,再以投资作为抵押获取贷款以支付日常开支,或抛售价格下跌的资产以抵消利得,就能让资本利得税名存实亡。</p>\n<p>而在“富豪税”提案正是针对这一缺口,该法案提出每年对亿万富翁们的资产进行估值,无论他们是否出售资产,都对收益部分进行征税,以马斯克为例,特斯拉股票今年上涨了70%,即便马斯克未遵守投票结果抛售股票,他也要为这上涨的70%纳税。</p>\n<p>同时,该法案要求对亿万富翁们可交易资产截至目前的任何内在收益纳税,也就是说资产持有人要为资产从持有至今所升的值缴税,这对财富基本集中在股票上的富豪来说可谓是“割肉之痛“,与目前的价值相比,他们持有这些股票的成本可谓是九牛一毛,虽然法案对缴清期限放宽至五年,但这仍是一个庞大的数字。</p>\n<p>可见,如果该法案得到落实,美国头部上市公司的财富会被联邦政府分走巨大一块,为拜登的新社会政策和气候问题立法提供资金。</p>\n<p>就在当地时间11月5日夜间,拜登的万亿基建方案结束了数月拉锯,以228对206的结果通过。在美国媒体眼里,这项数十年来最大的单项基建投资计划通过,“拯救了拜登正在消失的理想”。</p>\n<p><img height=\"auto\"></p>\n<p>一般来说,覆盖面越广的税收能带来的收入越高。但拜登在竞选期间,曾多次承诺不会对年收入低于40万美元的人增税,而这个收入人群占所得税纳税人比例高达98.2%。<b>对仅有700人左右的亿万富豪开刀,除了能筹集巨额的资金外,还可以解决此前民主党提出的税收体系不平等的问题,兑现对上述承诺。</b></p>\n<p>但事实上,这项增税法案真有那么完美吗?</p>\n<p>可不要忘记了,这些全球最顶级的超级富豪,身边无不围绕着无数全球最顶尖的精算师、律师顾问和会计,如何找到最合适的规则漏洞去逃税避税,对他们来说从来都是轻车熟路,得心易手的分内事了。</p>\n<h3><b>03</b></h3>\n<h3><b>尾声</b></h3>\n<p>可以预期,向顶级富人征税,将很可能是美国未来一段时间要推动的事情,这后面就算还会牵扯到贝佐斯、巴菲特、扎克伯格等因为旗下公司股价暴涨而拥有惊人财富的顶级富豪,我们大概也不会感到意外。</p>\n<p>作为投资者,在面对特斯拉这个超级成长公司时,谁都非常希望它的股价这一次能暴跌,跌得越多意味着买的机会也就越好。</p>\n<p><b>但事实上,向富人征税是单独一回事,与公司的本身经营发展并没有什么关系。</b>就如这一次抛售事件最多的仅是针对马斯克本人,特斯拉的基本面并没有问题,经营也没有受到什么影响,增长前景依然很广阔。既然无关基本面,经营和未来增长都OK,那么因为一些外部“无关”事件而引发的股价暴跌,能有多大的空间?</p>\n<p>而如果万一特斯拉的股价真的被砸了个大坑,你又敢抄底吗?</p>","source":"gelonghui_highlight","collect":0,"html":"<!DOCTYPE 绩效奖”,其中包含了12个阶段共计1.013亿股股票期权(经2020股票一拆五调整)。\n这样一来,按照美国的相关法律,他必须要为这些巨额的增值收益交税,税率甚至超过50%,大概算下来就高达150亿美元。\n作为一个工资只领1美元的打工人,除了股票资产,他的身上可能拿不出多少现金,平时的用度都是通过先抵押股票拿贷款消费的(为何要这样,下面会说),除了抛售股票来交税,他几乎没有什么更好的选择。\n当然,他也可以选择继续拿更多手上的股份去抵押贷款来交税,但这怎么看都不是一个合适的生意。首先,截止目前他已经抵押出去了9200万股股票,交这150亿的税款,意味着至少还要再拿出相当部分去抵押,如果未来股价真的大跌了,不排除继续补充抵押股票,这样既麻烦,又有风险(毕竟大部分股权都质押出去了)。\n其次,在之前的Code会议上,当被问及如何以波动如此大的股票为抵押借款时,马斯克也很坦然承认“股票并不总是上涨,它们也会下跌。”的事实,目前这个价位不敢说还能不能继续冲高,起码真的是高了。既然如此,顺水推舟减持一部分股权,同时还捞得一波关注和人心,既要也要都完美实现,这个结局对于马斯克来说不美吗?\n而那60多亿美元的“逼捐”,根据马斯克和联合国世界粮食计划署署长毕斯利的连续2个月来回舌战,目前马斯克算是被逼到了墙角,这钱怕也是捐定了。\n但另外,我们需要想想,马斯克如果真的抛售10%的持股,对特斯拉的股价到底会有什么影响?\n一方面,利空是肯定的了,毕竟这么大比例的减持,这情况跟A股大股东抛股套现跑路的影响是类似的,尤其是在特斯拉股价这么高的情况下。\n但另一方面,马斯克如果真要抛,也不会傻到直接在公开市场抛售,因为这样做很容易引发市场波动,站在要为股东股东负责的职业操守面前,他也不应该这么做,这点道理他没理由不懂。所以,大概率马斯克会通过大宗交易、协议转让的方式,直接找对家接盘,将这个事件引起市场动荡减到最低。也就是说,因为这个事件特斯拉的股价可能会受影响下跌,但可能影响不会有市场担心的那么大。\n02\n花式避税的克星来了?\n一直以来,美国的顶级富豪们在面对征税这方面,一直是想方设法规避,然后能拖就拖。\n对于马斯克这种情况,其实也是美国政府近两年在征收富人税方面确实取得一些推进的效果。\n对于马斯克在推文中写到的“最近有很多人认为未实现的收益是一种避税手段”,众多分析认为马斯克此举是在回应美国国会参议院民主党提出的“亿万富翁所得税“。\n据披露,“亿万富翁所得税”的适用对象是连续三年持有资产超过10亿美元或者年收入超过1亿美元的纳税人,美国符合此条件的超级富豪大约有700人。\n根据经济学家祖克曼的研究分析,这一尚在提案中的新税种有望为美国联邦政府带来5000亿美元的收入,仅马斯克一人就将贡献将近500亿美元,而全球富豪榜排名第二的亚马逊创始人贝索斯潜在税负也排名第二,高达440亿美元,美国排名前十的亿万富翁累计将“贡献”2750亿美元之多。\n\n与亿万富翁们可能要缴纳的巨额税款相反,亿万富翁们过往缴纳的税率极低。\n据非营利性媒体机构ProPublica报道,在过去15年间,美国超级富豪们不仅在实际个人所得税率方面远远低于常人,甚至在某些年份,一些超级富豪的联邦个人所得税为零。比如贝索斯在2007年和2011年都没有缴纳任何联邦个人所得税,但仅2007年他的财富就增长了38亿美元,马斯克在2018年也没有缴纳任何联邦个人所得税,而金融巨鳄索罗斯更是有连续三年未缴纳联邦个人所得税。\n股神巴菲特从2014年至2018年间增加了多达243亿美元,申报缴纳了2370万美元的税,“真实税率”为0.1%。\n\n不同于常人,富豪的收入往往并不是来源于工资,据公开资料披露,马斯克2018年总薪酬仅有五万多美元,尚不及中产阶级水平,2020年总薪酬甚至为0,此外扎克伯格等人都曾领过1美元的“工资“。\n他们的收入往往以资产的形式实现,比如股票、房产、艺术品等。虽然针对此部分收入有相应的资本利得税,但按照规定资产持有者只有在出售资产并获得利润,也就是“实现收益”时,才需要缴税。在此规定下,资产持有者只要长期持有不出售,再以投资作为抵押获取贷款以支付日常开支,或抛售价格下跌的资产以抵消利得,就能让资本利得税名存实亡。\n而在“富豪税”提案正是针对这一缺口,该法案提出每年对亿万富翁们的资产进行估值,无论他们是否出售资产,都对收益部分进行征税,以马斯克为例,特斯拉股票今年上涨了70%,即便马斯克未遵守投票结果抛售股票,他也要为这上涨的70%纳税。\n同时,该法案要求对亿万富翁们可交易资产截至目前的任何内在收益纳税,也就是说资产持有人要为资产从持有至今所升的值缴税,这对财富基本集中在股票上的富豪来说可谓是“割肉之痛“,与目前的价值相比,他们持有这些股票的成本可谓是九牛一毛,虽然法案对缴清期限放宽至五年,但这仍是一个庞大的数字。\n可见,如果该法案得到落实,美国头部上市公司的财富会被联邦政府分走巨大一块,为拜登的新社会政策和气候问题立法提供资金。\n就在当地时间11月5日夜间,拜登的万亿基建方案结束了数月拉锯,以228对206的结果通过。在美国媒体眼里,这项数十年来最大的单项基建投资计划通过,“拯救了拜登正在消失的理想”。\n\n虽然预算从4万亿缩水至1万亿,但基建计划资金来源还是个大问题,特别是在1.9万亿美元的纾困法案后,面对美国不断扩大的财政赤字,增税似乎成了最好的选择。\n\n一般来说,覆盖面越广的税收能带来的收入越高。但拜登在竞选期间,曾多次承诺不会对年收入低于40万美元的人增税,而这个收入人群占所得税纳税人比例高达98.2%。对仅有700人左右的亿万富豪开刀,除了能筹集巨额的资金外,还可以解决此前民主党提出的税收体系不平等的问题,兑现对上述承诺。\n但事实上,这项增税法案真有那么完美吗?\n可不要忘记了,这些全球最顶级的超级富豪,身边无不围绕着无数全球最顶尖的精算师、律师顾问和会计,如何找到最合适的规则漏洞去逃税避税,对他们来说从来都是轻车熟路,得心易手的分内事了。\n03\n尾声\n可以预期,向顶级富人征税,将很可能是美国未来一段时间要推动的事情,这后面就算还会牵扯到贝佐斯、巴菲特、扎克伯格等因为旗下公司股价暴涨而拥有惊人财富的顶级富豪,我们大概也不会感到意外。\n作为投资者,在面对特斯拉这个超级成长公司时,谁都非常希望它的股价这一次能暴跌,跌得越多意味着买的机会也就越好。\n但事实上,向富人征税是单独一回事,与公司的本身经营发展并没有什么关系。就如这一次抛售事件最多的仅是针对马斯克本人,特斯拉的基本面并没有问题,经营也没有受到什么影响,增长前景依然很广阔。既然无关基本面,经营和未来增长都OK,那么因为一些外部“无关”事件而引发的股价暴跌,能有多大的空间?\n而如果万一特斯拉的股价真的被砸了个大坑,你又敢抄底吗?","news_type":1},"isVote":1,"tweetType":1,"viewCount":1887,"authorTweetTopStatus":1,"verified":2,"comments":[],"imageCount":0,"langContent":"CN","totalScore":0},{"id":837496972,"gmtCreate":1629903571796,"gmtModify":1629903571796,"author":{"id":"3572443534577546","authorId":"3572443534577546","name":"大黄是只猫","avatar":"https://static.tigerbbs.com/deddc73503c75dc10a55831a77c2fafa","crmLevel":1,"crmLevelSwitch":0,"followedFlag":false,"authorIdStr":"3572443534577546","idStr":"3572443534577546"},"themes":[],"htmlText":"<a
