consultation for feedback from the financial industry, the Securities and Futures Commission, called on fixing syndicate memberships and fees at an earlier stage, as well as limiting a growth in discretionary fees over fixed payments. It proposed that at least one of the lead underwriters in an initial public offering should also act as a sponsor and be held legally responsible for due diligence to align costs and incentives, according to a report released on Monday.</p>\n<p>The move comes amid a boom in deals in the city, stoked by an inflow of mainland Chinese cash and high-profile company listings. The fundraising frenzy has attracted more than a million retail investors on some deals, including those of Yidu Tech Inc. and Kuaishou Technology and the withdrawn Ant Group Co. listing. One third of the 144 listings in Hong Kong last year dropped on their first trading day, data compiled by Bloomberg show.</p>\n<p>The regulator has noticed “inflated or opaque demand” in some offerings, as well as preferential treatment, rebates and misleading “book messages,” it said. It proposed to codify good practices such as disclosures of discounts and conflicts of interest.</p>\n<p>“The general market perception is that more issuers were adopting fluid incentive structures (eg, the late determination of fee arrangements) which incentivize sell-side firms to compete more aggressively to join a syndicate, often at a late stage in an offering,” the SFC said.</p>\n<p>In one debt offering, a broker placed an order for HK$20 million on behalf of a client who had only expressed interest in buying HK$5 million of securities, the SFC found in a review. “Submitting knowingly inflated orders or disseminating misleading book messages undermines the price discovery process and can mislead investors,” it said.</p>\n<p>The proposal will also force banks to report their underwriting fee structures earlier to the SFC with an advised split of 75% fixed and 25% discretionary. The banks can alter the ratio if needed and report accordingly.</p>\n<p>“Having a fee ratio guidance will inevitably limit flexibility,” said Leon Xu, managing director at Huatai International. “It would be better to raise to one third. All in all, the principle of the base fee trumping the discretionary fee makes sense.”</p>\n<p>The rules would create new underwriting categories, including naming an overall coordinator and capital market intermediaries. The fundraising frenzy has attracted more than a million retail investors on some deals, including those of Yidu Tech Inc. and Kuaishou Technology and the withdrawn Ant Group Co. listing. It proposed to codify good practices such as disclosures of discounts and conflicts of interest.\n“The general market perception is that more issuers were adopting fluid incentive structures (eg, the late determination of fee arrangements) which incentivize sell-side firms to compete more aggressively to join a syndicate, often at a late stage in an offering,” the SFC said.\nIn one debt offering, a broker placed an order for HK$20 million on behalf of a client who had only expressed interest in buying HK$5 million of securities, the SFC found in a review. “Submitting knowingly inflated orders or disseminating misleading book messages undermines the price discovery process and can mislead investors,” it said.\nThe proposal will also force banks to report their underwriting fee structures earlier to the SFC with an advised split of 75% fixed and 25% discretionary. The banks can alter the ratio if needed and report accordingly.\n“Having a fee ratio guidance will inevitably limit flexibility,” said Leon Xu, managing director at Huatai International. “It would be better to raise to one third. All in all, the principle of the base fee trumping the discretionary fee makes sense.”\nThe rules would create new underwriting categories, including naming an overall coordinator and capital market intermediaries. The OC should see to it that the pricing and allocation recommendations to the issuer fully take into account the proposed code, while the CMI needs to ensure credible price discovery and a transparent and actual order book.\nThis will avoid the unclear seniority and responsibilities under the various roles such as “joint global coordinators,” “joint representatives” and “billing and delivery banks,” the regulator said.\nThe new rule would cover IPOs, other share offerings, real estate investment trusts, placings oflisted sharesto third party investors followed by a top up The sector lost an estimated $50 billion and 1.17 million jobs worldwide.</p>\n<p>But with vaccines rolling out and countries opening their doors to tourists once again, the cruise industry is angling for a revival. Travelers, tour operators, and investors are all watching carefully to see what happens next to cruise stocks.</p>\n<p>Early pessimism was proved unfounded</p>\n<p>Cruise ships already had a patchy reputation for health, and concerns over environmental damage and overtourism didn't help. And then the pandemic hit hard. In early 2020, there were a number of coronavirus outbreaks on cruise ships, causing multiple deaths and trapping passengers on board. In Australia, for example, the Ruby Princess was linked to over 900 cases and 28 deaths - a lot for a country with 910 total deaths.</p>\n<p>One survey in late 2020 found that 47% of participants didn’t trust cruise lines to look after them if something went wrong, and 67% were less willing to take a cruise as a result of the pandemic. Alongside concerns over traveler demand, cruise lines worried about how long it would be before countries opened their ports and permitted travelers to disembark.</p>\n<p>Allan E. Jordan, an industry expert, reported in February 2021 that \"forecasts are that it might be at least a year before the industry has restored a meaningful portion of its operations.\" But just a couple of months later, the outlook looks much more hopeful.</p>\n<p>Some travel prophets predicted that the industry would have to rely on loyal cruisers while it rebuilt trust, but early booking data includes many first-time travelers. Older tourists haven't been avoiding ships, either. “We really thought older people would be more cautious. Turns out they want to get out of the house, too,” said Royal Caribbean CEO Richard Fain.</p>\n<p>Arnold Donald, CEO of Carnival Corp, agrees, noting “Demand will not be an issue for us; people are ready to sail. The challenge is to do so safely and with the support from governments.” Research conducted by the Cruise Lines International Association (CLIA) found that two-thirds of people who have been on a cruise previously would go again within the next year, while 58% of new cruisers want to join <a href=\"https://laohu8.com/S/AONE\">one</a> in the next few years.</p>\n<p>Vaccine rollout definitely helps. Cruise lines in the US have been fast-tracking vaccination for crew members, and the managing director of Silversea Cruises explained that swift vaccinations are the reason they were able to resume services to the Greek islands.</p>\n<p>Cruise lines are rebuilding trust</p>\n<p>When it comes to enticing travelers back on board, trust and risk perception is everything. Cruisers are generally thought to be a risk-averse group, and cruise ships were referred to as \"floating petri dishes.\"</p>\n<p>Cruise line managers are aware that they need to prove their competence, and they're doing everything they can to stress their safety profile and deliver transparency. The Royal Caribbean, for example, established a Healthy Cruising Panel. The CLIA has released detailed policies for cruise ship operators, including cleaning and hygiene protocols, and lower capacities.</p>\n<p>Companies are embracing technology to track passenger movements and enable contact-free interactions, assisted by the closed system on cruise ships. \"On a ship, tracking can have almost totalitarian features, without passengers being very aware of it,\" cruise analyst Thomas P. Illes says. \"Epidemiologists on land would love to have such track and trace capacities.\" Royal Caribbean rolled out mandatory waterproof bracelets for guests and implemented surveillance tech, in the form of facial and body recognition.</p>\n<p>Cruise lines also accept the need to offer flexible booking policies, raise on-board healthcare provision, and operate with transparency around the measures they'll take to deal with the \"inevitable\" cases that will appear on board.</p>\n<p>It's clear that there's a pent-up demand for cruise trips among consumers. Country restrictions and health guidelines, not demand, appear to be dictating the pace of reopening.</p>\n<p>The first signs of revival</p>\n<p>Limited cruises have been taking place in parts of Europe, Asia and the South Pacific since July 2020. Although only around 400,000 passengers and crew took part in 200 sailings, these \"cruises to nowhere\" are being touted by the CLIA as proof that it's possible to run coronavirus-free cruises.</p>\n<p>In December, Royal Caribbean’s Quantum of the Seas began operations out of Singapore, TUI Cruises, an affiliate of Royal Caribbean, has been sailing three ships in and out of the Canary Islands since November. The Royal Caribbean is taking bookings for cruises in the Mediterranean, Asia-Pacific, around the British Isles, and to the Bahamas for summer 2021; Norwegian Cruises has a trip planned for the Mediterranean in July; and Carnival Cruises looks forward to restarting cruises from Texas and Florida in July.</p>\n<p>There's still uncertainty around cruises departing from the US, because the CDC hasn't agreed to blanketly reopen ports, but the signs are positive. In May 2021, the CDC approved simulated cruise trials to test conditions, and invited cruise lines to apply for conditional sailing certificates. Royal Caribbean received approval on May 25th, followed by Carnival on May 28th. Both cruise operators have trips planned from the US for July, and Norwegian plans to sail to Alaska in August.</p>\n<p>The first ship to leave a US port this year on a revenue-raising run is a Royal Caribbean-owned Celebrity Cruises trip, heading to the Caribbean on June 26th. It's received approval to sail as long as the crew and passengers are 95% vaccinated.</p>\n<p>Investors are taking their cue</p>\n<p>Following a catastrophic year-plus, some investors may see cruise ship stocks as worth a buy. Sailing approvals for the Royal Caribbean and Carnival lines boosted stock performance for the sector as a whole, and those cruise lines which survived may have emerged stronger.</p>\n<p>Some industry insiders are discussing the potential for the sector to come back even better, having used the break to improve the environmental profile of their ships and develop sustainable tourism policies for the most over-visited destinations like Dubrovnik and Venice.</p>\n<p>The Royal Caribbean, in particular, has weathered the coronavirus storm relatively well. Although it announced a net loss of nearly $5.8 billion in 2020, that was lower than predicted and shares rose by about 8% over 5 trading days at the end of May.&nbsp; Consensus estimates indicate that ticket sales for 2022 amount to around $10.1 billion, only slightly below the $10.9 billion in revenue the company posted in 2019. Crucially, the company has plenty of liquidity for the foreseeable future, having raised approximately $9.3 billion in new capital.</p>\n<p>It's clear that cruise stocks aren't&nbsp;going to spring back to 2019 levels overnight, but there are good reasons to hope that they will find a way back to consistent profits. The sector lost an estimated $50 billion and 1.17 million jobs worldwide.\nBut with vaccines rolling out and countries opening their doors to tourists once again, the cruise industry is angling for a revival. Travelers, tour operators, and investors are all watching carefully to see what happens next to cruise stocks.\nEarly pessimism was proved unfounded\nCruise ships already had a patchy reputation for health, and concerns over environmental damage and overtourism didn't help. And then the pandemic hit hard. In early 2020, there were a number of coronavirus outbreaks on cruise ships, causing multiple deaths and trapping passengers on board. In Australia, for example, the Ruby Princess was linked to over 900 cases and 28 deaths - a lot for a country with 910 total deaths.\nOne survey in late 2020 found that 47% of participants didn’t trust cruise lines to look after them if something went wrong, and 67% were less willing to take a cruise as a result of the pandemic. Alongside concerns over traveler demand, cruise lines worried about how long it would be before countries opened their ports and permitted travelers to disembark.\nAllan E. Jordan, an industry expert, reported in February 2021 that \"forecasts are that it might be at least a year before the industry has restored a meaningful portion of its operations.\" But just a couple of months later, the outlook looks much more hopeful.\nSome travel prophets predicted that the industry would have to rely on loyal cruisers while it rebuilt trust, but early booking data includes many first-time travelers. Although only around 400,000 passengers and crew took part in 200 sailings, these \"cruises to nowhere\" are being touted by the CLIA as proof that it's possible to run coronavirus-free cruises.\nIn December, Royal Caribbean’s Quantum of the Seas began operations out of Singapore, TUI Cruises, an affiliate of Royal Caribbean, has been sailing three ships in and out of the Canary Islands since November. The Royal Caribbean is taking bookings for cruises in the Mediterranean, Asia-Pacific, around the British Isles, and to the Bahamas for summer 2021; Norwegian Cruises has a trip planned for the Mediterranean in July; and Carnival Cruises looks forward to restarting cruises from Texas and Florida in July.\nThere's still uncertainty around cruises departing from the US, because the CDC hasn't agreed to blanketly reopen ports, but the signs are positive. Royal Caribbean received approval on May 25th, followed by Carnival on May 28th. by Tesla to invest in bitcoins was seen as further confirmation of the legitimacy of the nascent asset that didn’t exist until about 12 years ago.</p>\n<p>However, bitcoin is seen as a volatile asset that is prone to sharp price volatility and Monday’s announcement by Tesla was described by some&nbsp;corporate finance professionals&nbsp;as an unnecessary addition of risk to the vehicle maker’s balance sheet in the form of currency or a commodity, depending on how you classify bitcoin.</p>\n<p>While it’s not clear, at this point, why Musk &amp; Co. have opted to expose the company to the possible risk of owning bitcoin, here are a few reasons why the revolutionary company may have aligned itself with the crypto crowd.</p>\n<p><b>Diversification</b></p>\n<p>Tesla made it clear in its statement filed with its regulator the Securities and Exchange Commission that it sees bitcoin as a chance to diversify its cash and cash-equivalent holdings.</p>\n<p>Corporations usually hold excess cash and/or cash-equivalents, like Treasury bills or commercial paper on their books to provide operational liquidity and generate returns while limiting risks.</p>\n<p>Tesla wrote, “we updated our investment policy to provide us with more flexibility to further diversify and maximize returns on our cash that is not required to maintain adequate operating liquidity.”</p>\n<p>The move isn’t without risk, Tesla acknowledges as the price of bitcoin could slump.</p>\n<p>“If we hold digital assets and their values decrease relative to our purchase prices, our financial condition may be harmed,” the company acknowledges.</p>\n<p>But a single bitcoin, which has soared 62% so far this year, could easily be headed for a six-digit value if bullish momentum continues to build, which would make Musk look smart.</p>\n<p><b>Publicity stunt?</b></p>\n<p>“Thankfully, Elon Musk on Monday once again ensured no one would be bored, with the unexpected announcement that Tesla will buy&nbsp;bitcoin&nbsp;and accept them as payment for vehicles,” writes Craig Erlam, senior market analyst at Oanda, in a Tuesday research note.</p>\n<p>The analyst referred to the move as a “publicity stunt,” a move that everbody is talking about, but there are a number of ways to think about it.</p>\n<p><b>Brand management</b></p>\n<p>Bitcoin is associated with a group of iconoclastic founders who were attempting to break the mold on payments and fiat money. That was the idea behind cryptos being written into code back in 2009 by a person or persons known as Satoshi Nakamoto.</p>\n<p>Those rebellious notions align somewhat with Musk’s own agenda of disruption. Tesla is making electric-powered vehicles in a world that has thus far been dominated by fossil-fuel driven cars.</p>\n<p>Moreover, Tesla’s direct-to-customer sales model also is viewed as trendsetting, since many companies sell their cars through unaffiliated dealerships.</p>\n<p>Bitcoin’s image as a decentralized asset, not controlled by any one body, also fits with Tesla’s image and that of its leader Musk.</p>\n<p><img src=\"https://static.tigerbbs.com/33c354045da9bf1b0b8bbe93d0eb9e43\" tg-width=\"947\" tg-height=\"673\" referrerpolicy=\"no-referrer\"></p>\n<p><b>The future of $</b></p>\n<p>Tesla’s $1.5 billion investment in bitcoin could also be a simple hedge against the hegemony of the U.S. dollar as the world’s reserve currency since World War Two.</p>\n<p>Bitcoin, or something like it, represents the future of payment systems to many supporters, even if it isn’t currently an effective means of exchange due to its current volatility.</p>\n<p>“Yesterday’s move by Tesla to invest in&nbsp;bitcoin&nbsp;and start accepting it as payment for its own products really moved the needle,” wrote Simon Peters, cryptoasset analyst at multiasset investment platform eToro, in emailed comments.</p>\n<p>The eToro analyst said that there are unconfirmed talks about technology behemoths Apple Inc.&nbsp;and Google-parent Alphabet Inc.,linking it to their own payment systems.</p>\n<p>Musk is viewed as an innovator tied to electric vehicles, batteries and space exploration via SpaceX, but one of his early ventures was in payments.</p>\n<p><b>Writing on the wall</b></p>\n<p>The&nbsp;Wall Street Journal notes&nbsp;that, the Tesla CEO invested most of the $22 million he earned from the sale of an internet business into a new startup, X.com, which became PayPal Holdings&nbsp;about 20 years ago.</p>\n<p>PayPal currently is among the vanguard of bitcoin revolution. PayPal&nbsp;back in November opened up its cryptocurrency platform to all U.S. customers after conducting a more narrow rollout.</p>\n<p>Moreover, several high-profile Wall Street investors, including Stanley Druckenmiller and Paul Tudor Jones, have embraced bitcoin. That was the idea behind cryptos being written into code back in 2009 by a person or persons known as Satoshi Nakamoto.\nThose rebellious notions align somewhat with Musk’s own agenda of disruption. Tesla is making electric-powered vehicles in a world that has thus far been dominated by fossil-fuel driven cars.\nMoreover, Tesla’s direct-to-customer sales model also is viewed as trendsetting, since many companies sell their cars through unaffiliated dealerships.\nBitcoin’s image as a decentralized asset, not controlled by any one body, also fits with Tesla’s image and that of its leader Musk.\n\nThe future of $\nTesla’s $1.5 billion investment in bitcoin could also be a simple hedge against the hegemony of the U.S. dollar as the world’s reserve currency since World War Two.\nBitcoin, or something like it, represents the future of payment systems to many supporters, even if it isn’t currently an effective means of exchange due to its current volatility.\n“Yesterday’s move by Tesla to invest in bitcoin and start accepting it as payment for its own products really moved the needle,” wrote Simon Peters, cryptoasset analyst at multiasset investment platform eToro, in emailed comments.\nThe eToro analyst said that there are unconfirmed talks about technology behemoths Apple Inc. and Google-parent Alphabet Inc.,linking it to their own payment systems.\nMusk is viewed as an innovator tied to electric vehicles, batteries and space exploration via SpaceX, but one of his early ventures was in payments.\nWriting on the wall\nThe Wall Street Journal notes that, the Tesla CEO invested most of the $22 million he earned from the sale of an internet business into a new startup, X.com, which became PayPal Holdings about 20 years ago.\nPayPal currently is among the vanguard of bitcoin revolution. PayPal back in November opened up its cryptocurrency platform to all U.S. customers after conducting a more narrow rollout.\nMoreover, several high-profile Wall Street investors, including Stanley Druckenmiller and Paul Tudor Jones, have embraced bitcoin.
