The amendment to the proposal reflects an increase of $0.18 per share in the consideration that would be paid for each share of Monmouth Common Stock, resulting in a net cash consideration of $18.88 per share, reflecting a stated purchase price of $19.51 per share reduced by the termination fee of approximately $62.2 million, or $0.63 per share, if Monmouth terminates the merger agreement it previously entered into with Equity Commonwealth (“EQC”) in accordance with its terms to accept the amended proposal. The increase results from the investment firm’s decision that the purchase price would no longer be reduced by the $0.18 per share dividend on Monmouth’s common stock previously declared by Monmouth’s Board on July 1, 2021 and payable on or about September 15, 2021. On July 16, 2021, Monmouth’s common shares closed at $19.23 per share.
\n
As previously announced, on May 4, 2021, Monmouth entered into a definitive merger agreement with EQC pursuant to which EQC agreed to acquire Monmouth in an all-stock transaction valued at approximately $3.4 billion, including the assumption of debt. The combined company is expected to have a pro forma equity market capitalization of approximately $5.5 billion.
\n
Consistent with its statutory duties and in consultation with its financial and legal advisors, Monmouth’s Board is now evaluating the amended proposal and has not made any determination as to what action to take in response to the proposal. The Company’s Board intends to respond to the proposal in due course and remains committed to acting in the best interests of the Company and its shareholders.
\n
J.P. That's understandable, with several of them del","content":"
Meme stocks have been all the rage so far this year. That's understandable, with several of them delivering triple-digit and even four-digit percentage gains.
\n
However, what goes up can come down. Analysts don't expect the online frenzy fueling the ginormous jumps for some of the most popular stocks will be sustainable. Here are three meme stocks that Wall Street thinks will plunge by more than 20% within the next 12 months.
\n
AMC Entertainment
\n
AMC Entertainment(NYSE:AMC)ranks as the best-performing meme stock of all. Shares of the movie theater operator have skyrocketed close to 2,500% year to date.
\n
The consensus among analysts, though, is that the stock could lose 90% of its current value. Even the most optimistic analyst surveyed by Refinitiv has a price target for AMC that's more than 70% below the current share price.
\n
But isn't AMC's business picking up? Yep. The easing of restrictions has enabled the company to reopen 99% of its U.S. theaters. AMC could benefit as seating capacity limitations imposed by state and local governments are raised. Thereleases of multiple movies this summerand later this year that are likely to be hits should also help.
\n
However, Wall Street clearly believes that AMC's share price has gotten way ahead of its business prospects. The stock is trading at nearly eight times higher than it was before the COVID-19 pandemic.
\n
Clover Health Investments
\n
Only a few days ago, it looked like Clover Health Investments(NASDAQ:CLOV)might push AMC to the side as the hottest meme stock. Retail investors viewed Clover as a primeshort squeezecandidate.
\n
Since the beginning of June, shares of Clover Health have jumped more than 65%. Analysts, however, don't expect those gains to last. The average price target for the stock is 25% below the current share price.
\n
Clover Health's valuation does seem to have gotten out of hand. The healthcare stock currently trades at more than 170 times trailing-12-month sales. That's a nosebleed level, especially considering that the company is the subject of investigations by the U.S. Department of Justice and the Securities and Exchange Commission.
\n
Still, Clover Health could deliver improving financial results this year. The company hopes to significantly increase its membership by targeting the original Medicare program. This represents a major new market opportunity in addition to its current Medicare Advantage business.
\n
Sundial Growers
\n
At one point earlier this year, Sundial Growers(NASDAQ:SNDL)appeared to be a legitimate contender to become the biggest winner among meme stocks. The Canadian marijuana stock vaulted more than 520% higher year to date before giving up much of its gains. However, Sundial's share price has still more than doubled in 2021.
\n
Analysts anticipate that the pot stock could fall even further. The consensus price target for Sundial reflects a 23% discount to its current share price. One analyst even thinks the stock could sink 55%.
\n
There certainly are reasons to be pessimistic about Sundial's core cannabis business. The company's net cannabis revenue fell year over year in the first quarter of 2021. That's understandable, with several of them delivering triple-digit and even four-digit percentage gains.\nHowever, what goes up can come down. Analysts don't expect the online frenzy fueling the ginormous jumps for some of the most popular stocks will be sustainable. Here are three meme stocks that Wall Street thinks will plunge by more than 20% within the next 12 months.\nAMC Entertainment\nAMC Entertainment(NYSE:AMC)ranks as the best-performing meme stock of all. Shares of the movie theater operator have skyrocketed close to 2,500% year to date.\nThe consensus among analysts, though, is that the stock could lose 90% of its current value. Even the most optimistic analyst surveyed by Refinitiv has a price target for AMC that's more than 70% below the current share price.\nBut isn't AMC's business picking up? Yep. The easing of restrictions has enabled the company to reopen 99% of its U.S. theaters. AMC could benefit as seating capacity limitations imposed by state and local governments are raised. Thereleases of multiple movies this summerand later this year that are likely to be hits should also help.\nHowever, Wall Street clearly believes that AMC's share price has gotten way ahead of its business prospects. The stock is trading at nearly eight times higher than it was before the COVID-19 pandemic.\nClover Health Investments\nOnly a few days ago, it looked like Clover Health Investments(NASDAQ:CLOV)might push AMC to the side as the hottest meme stock. Retail investors viewed Clover as a primeshort squeezecandidate.\nSince the beginning of June, shares of Clover Health have jumped more than 65%. Analysts, however, don't expect those gains to last. The average price target for the stock is 25% below the current share price.\nClover Health's valuation does seem to have gotten out of hand. The healthcare stock currently trades at more than 170 times trailing-12-month sales. That's a nosebleed level, especially considering that the company is the subject of investigations by the U.S. Department of Justice and the Securities and Exchange Commission.\nStill, Clover Health could deliver improving financial results this year. The company hopes to significantly increase its membership by targeting the original Medicare program. This represents a major new market opportunity in addition to its current Medicare Advantage business.\nSundial Growers\nAt one point earlier this year, Sundial Growers(NASDAQ:SNDL)appeared to be a legitimate contender to become the biggest winner among meme stocks. The Canadian marijuana stock vaulted more than 520% higher year to date before giving up much of its gains. However, Sundial's share price has still more than doubled in 2021.\nAnalysts anticipate that the pot stock could fall even further. The consensus price target for Sundial reflects a 23% discount to its current share price. One analyst even thinks the stock could sink 55%.\nThere certainly are reasons to be pessimistic about Sundial's core cannabis business. The company's net cannabis revenue fell year over year in the first quarter of 2021. Although Sundial is taking steps that it hopes will turn things around, it remains to be seen if those efforts will succeed.\nSundial's business deals could give investors reasons for optimism. After all, the company posted positive adjusted earnings before interest, taxes, depreciation, and amortization (EBITDA) in Q1 due to its investments.\nHowever, the cash that Sundial is using to make these investments has come at the cost of increased dilution of its stock. The company can't afford any additional dilution without having to resort to desperate measures to keep its listing on the Nasdaq stock exchange.","news_type":1},"isVote":1,"tweetType":1,"viewCount":143,"authorTweetTopStatus":1,"verified":2,"comments":[],"imageCount":0,"langContent":"EN","totalScore":0},{"id":165023483,"gmtCreate":1624082356042,"gmtModify":1634010890490,"author":{"id":"3566622473134694","authorId":"3566622473134694","name":"Fallie","avatar":"https://static.tigerbbs.com/1d331797f3bd6a23a1aff7a9cc406a99","crmLevel":2,"crmLevelSwitch":0,"followedFlag":false,"authorIdStr":"3566622473134694","idStr":"3566622473134694"},"themes":[],"htmlText":"Interesting","listText":"Interesting","text":"Interesting","images":[],"top":1,"highlighted":1,"essential":1,"paper":1,"likeSize":2,"commentSize":0,"repostSize":0,"link":"https://laohu8.com/post/165023483","repostId":"1175119628","repostType":4,"isVote":1,"tweetType":1,"viewCount":114,"authorTweetTopStatus":1,"verified":2,"comments":[],"imageCount":0,"langContent":"EN","totalScore":0},{"id":166148175,"gmtCreate":1623998848997,"gmtModify":1634024341265,"author":{"id":"3566622473134694","authorId":"3566622473134694","name":"Fallie","avatar":"https://static.tigerbbs.com/1d331797f3bd6a23a1aff7a9cc406a99","crmLevel":2,"crmLevelSwitch":0,"followedFlag":false,"authorIdStr":"3566622473134694","idStr":"3566622473134694"},"themes":[],"htmlText":"Great","listText":"Great","text":"Great","images":[],"top":1,"highlighted":1,"essential":1,"paper":1,"likeSize":1,"commentSize":0,"repostSize":0,"link":"https://laohu8.com/post/166148175","repostId":"2144721797","repostType":4,"isVote":1,"tweetType":1,"viewCount":143,"authorTweetTopStatus":1,"verified":2,"comments":[],"imageCount":0,"langContent":"EN","totalScore":0},{"id":161639296,"gmtCreate":1623921269615,"gmtModify":1634025853340,"author":{"id":"3566622473134694","authorId":"3566622473134694","name":"Fallie","avatar":"https://static.tigerbbs.com/1d331797f3bd6a23a1aff7a9cc406a99","crmLevel":2,"crmLevelSwitch":0,"followedFlag":false,"authorIdStr":"3566622473134694","idStr":"3566622473134694"},"themes":[],"htmlText":"Like \"pin\" to underlying prices. It's why, even though we are enjoying a beautiful spring week, Goldman notes that single stock options trading activity is elevated relative to historical levels. To wit, daily options volumes are up 70% in April, up from YTD lows of $2.4bn on 30-Mar.

In total, across single stocks, $544BN of options are set to expiry today, including $305BN calls. As such, today’s expiry could be important for stocks with large open interest in at-the-money(ATM) options, as market makers delta-hedging their unusually large options portfolios will be active. This flow is likely to dampen volatility in some names while exacerbating stock price moves in others.

How to trade this?

As Goldman's Vishal Vivek writes, at major expirations, options traders track situations wherea large amount of open interest is set to expire. In situations where there is a significant amount of expiring open interest in at-the-money strikes (strike prices at or very near the current stockprice), delta-hedging activity can impact the underlying stock’s trading that day. If market makers or other options traders who delta-hedge their positions are net long ATM options, expiration-related flow could have the effect of dampening stock price movements, causing the stock price to settle near the strike with large open interest. This situation is often referred to as a “pin” and can be an ideal situation fora large investor trying to enter/exit a stock position. Alternatively, if delta-hedgers are net short ATM options (have a “negative gamma” position), their hedging activity could exacerbate stock price moves.

What that means it expiration-related trades may cause trading activity to aggressively pick up for stocks with a significant amount of ATM open interest.

So to help traders looking to hop on for daytrading opportunities, here is a table identifying possible focus stocks with large ATM open interest expiring today, which is compared to the average daily volume of the underlying stocks.
\n
J.P. Morgan Securities LLC and CS Capital Advisors, LLC are acting as financial advisors and Stroock & Stroock & Lavan LLP is serving as legal advisor to Monmouth.
\n
About Monmouth
\n
Monmouth Real Estate Investment Corporation, founded in 1968, is one of the oldest public equity REITs in the world. On July 16, 2021, Monmouth’s common shares closed at $19.23 per share.\nAs previously announced, on May 4, 2021, Monmouth entered into a definitive merger agreement with EQC pursuant to which EQC agreed to acquire Monmouth in an all-stock transaction valued at approximately $3.4 billion, including the assumption of debt. The combined company is expected to have a pro forma equity market capitalization of approximately $5.5 billion.\nConsistent with its statutory duties and in consultation with its financial and legal advisors, Monmouth’s Board is now evaluating the amended proposal and has not made any determination as to what action to take in response to the proposal. The Company’s Board intends to respond to the proposal in due course and remains committed to acting in the best interests of the Company and its shareholders.\nJ.P. Morgan Securities LLC and CS Capital Advisors, LLC are acting as financial advisors and Stroock & Stroock & Lavan LLP is serving as legal advisor to Monmouth.\nAbout Monmouth\nMonmouth Real Estate Investment Corporation, founded in 1968, is one of the oldest public equity REITs in the world.
Although Sundial is taking steps that it hopes will turn things around, it remains to be seen if those efforts will succeed.
\n
Sundial's business deals could give investors reasons for optimism. After all, the company posted positive adjusted earnings before interest, taxes, depreciation, and amortization (EBITDA) in Q1 due to its investments.
\n
However, the cash that Sundial is using to make these investments has come at the cost of increased dilution of its stock. The company can't afford any additional dilution without having to resort to desperate measures to keep its listing on the Nasdaq stock exchange.
","collect":0,"html":"\n
\n
\n\n\n\n
3 Meme Stocks Wall Street Predicts Will Plunge More Than 20%
\n\n
\n
\n
\n
\n
\n3 Meme Stocks Wall Street Predicts Will Plunge More Than 20%\n
\n\n
\n\n\n2021-06-19 09:13 GMT+8 fool\n\n\n
\n\n
\n
\n
\n
Meme stocks have been all the rage so far this year. For the three days it’s lost 9%. Declines pared after Apple Dailyreportedthat the government sees a lower chance of raising the Covid-19 alert level.Forced selling has compounded this week’s losses, with the level of margin debt falling by a net NT$12.9 billion ($461 million) on Wednesday, according to exchange data compiled by Bloomberg. That takes the two-day drop in leverage to NT$25.6 billion, showing traders faced margin calls by brokers to cover losses in their stock accounts. The worry is that falling share prices will trigger a continuous downward spiral in Taiwan equities, adding to a long list of challenges facing investors in the $1.9 trillion market. The value of margin debt in surged 46 per cent this year to about NT$274 billion at its peak at the end of April, the highest since 2011. By comparison, the Taiwan benchmark was up 19 per cent in that period, an indication that people were taking out loans faster than stocks were appreciating. The sharp reversal in Taiwan stocks is a warning to highly leveraged investors around the world. The Redmond, Washington-based tech giant already has six data centers in the country, operated by local partner 21Vianet, and now seeks to capitalize on a global surge in demand for internet services during the pandemic.
\n
A Microsoft spokesman declined to comment.
\n
The rapid growth is driven by Chinese businesses, slow to digitize in years past, now migrating to the cloud. New regulations, including a sweeping set of data security edicts coming into effect in September, are also prompting domestic and foreign enterprises to shift to local data management and boosting IT spending. The cloud market in China is expected to grow to $46 billion in 2023, according to a government white paper cited by Microsoft.
\n
Like Apple Inc., Microsoft is expanding data capabilities within China in concert with a local partner, anticipating a boom in data storage and management needs. But it will be going head to head with Alibaba Group Holding Ltd. and Huawei Technologies Co., the two domestic leaders in providing cloud infrastructure.
\n
Microsoft can count on the maturity and ubiquity of its cloud services. Its Azure enterprise offering enables customers to host data and run applications in the cloud while Office 365 delivers internet-based versions of its familiar word processing, spreadsheet and collaboration programs. The company said its planned northern China expansion in 2022 would “effectively double” its intelligent cloud capacity in the country in the coming years.
\n
The Redmond firm’s commercial cloud sales in the quarter that ended March 31 rose 33% to $17.7 billion. In that same period, the company reported $6 billion in capital expenditures and forecast it will lay out an even larger sum in the current quarter. The stock had fallen almost 18% Thursday after announcing the sale, which had followed a 95% rise Wednesday and a nearly 23% gain Tuesday.

Bed Bath & Beyond (BBBY) – Bank of America Securities moved to a “no rating” on the housewares retailer, an unusual move that reflects the firm’s belief that the so-called “meme stock” is no longer trading on fundamentals. The firm also dropped coverage on GameStop (GME) for similar reasons, saying the videogame retailer’s stock is trading on non-fundamental factors. GameStop fell 1.4% in premarket trading, while Bed Bath & Beyond was little changed.Shares of Koss Corp (KOSS) and BlackBerry(BB) dropped between 1% and 5%.

Facebook (FB) – Europe and Britain launched formal antitrust investigations into Facebook on Friday to determine if the world's largest social network is using customers' data to unfairly compete with advertisers, in a new threat to its business model.Facebook Inc dropped 0.3% in premarket trading.

Lululemon (LULU) – The athletic apparel and casualwear retailer reported quarterly earnings of $1.16 per share, compared to a consensus estimate of 91 cents a share. Revenue also exceeded forecasts, as Lululemon benefited from both a return by customers to physical locations as well as a jump in e-commerce sales. It also gave an upbeat forecast.

CrowdStrike (CRWD) – The cybersecurity company beat Wall Street forecasts by 4 cents a share, with quarterly earnings of 10 cents per share. Revenue also topped analysts’ forecasts as CrowdStrike added more than 1,500 net new subscription customers.

Broadcom (AVGO) – The chip maker beat estimates by 19 cents a share, with quarterly profit of $6.62 per share. Revenue came in slightly above forecasts. Broadcom also gave a better-than-expected outlook, helped by the ongoing adoption of 5G technology.

DocuSign (DOCU) – DocuSign shares rallied 6.8% in premarket trading after the company beat Wall Street forecasts by 16 cents a share, with quarterly earnings of 44 cents per share. Revenue also beat estimates, and DocuSign gave an upbeat outlook as more companies adopt its electronic signature technology.

Five Below (FIVE) – Shares of the discount retailer jumped 5.7% in the premarket, after first-quarter profit and revenue comfortably exceeded Street forecasts. Comparable-store sales surged 162% compared to the same quarter a year ago.

MongoDB (MDB) – The database platform provider lost 15 cents per share for its latest quarter, less than half of the 37 cents a share loss expected by analysts. Revenue also exceeded estimates as subscription sales jumped 40%, and the company forecast a lower-than-expected full-year loss. The stock surged 6.2% in premarket action.

ChargePoint (CHPT) – The electric vehicle charging network’s stock rose 1.1% in the premarket, despite reporting a wider-than-expected loss for its latest quarter. Shares rose 2% in the premarket.

Zumiez (ZUMZ) – The seller of apparel, footwear and athletic equipment gained 5% in premarket trading, after Zumiez surged past Wall Street’s consensus 4 cents a share estimate with first-quarter profit of $1.03 per share. Revenue also beat forecasts, with the company saying its business has recovered beyond pre-pandemic levels.

Asana (ASAN) – The maker of collaboration software saw its stock rally 8.6% in the premarket after it reported a smaller-than-expected quarterly loss while its revenue and outlook beat consensus estimates.
","collect":0,"html":"\n
\n
\n<meta http-equiv=\"Content-Type\" content=\"text/html;
