(Nasdaq: MSFT) released a proxy statement ahead of its Nov. 30 annual shareholders meeting disclosing a 12.6% compensation increase for CEO Satya Nadellaand a board of directors nomination.</p>\n<p>Nadella's base salary of $2.5 million for 2020 didn't go up this year, according to the statement filed Thursday with the Securities and Exchange Commission. But Microsoft, which last year shifted to base more of its CEO's pay on company performance, rewarded Nadella for its recent successes.</p>\n<p>His total compensation for fiscal 2021 was $49.9 million, up from $44.3 million in 2020. The increase came in the form of stock awards worth $33 million, up from $30.7 million, and cash incentive awards worth $14.2 million, up from almost $11 million.</p>\n<p>Chief Financial OfficerAmy Hoodand PresidentBrad Smith also received compensation bumps, including salary raises.
