没有什么失败的因素吧，目前想不到，典型失败收购涉及垄断，避税，或者没凑够钱。这几条微软都没有。

  基本上就是时间问题，价格也合适啊，溢价这么多简直了，自从股价腰斩，涨回去都不敢想，想不出哪个股东会不同意。

  这个就只是时间问题了？目前这个是约束性的协议还是已经定了，需要股东投票什么的吗？或者降价，或者其它股东抗议起诉纠纷等
